THIS FIRST AMENDMENT TO CUSTODIAL MAINTENANCE
AGREEMENT, is entered into on March /$,2005, by and between L.A. CHA
Maintenance Company ("Contractor") and the City of Santa Ana, a charter city and
municipal corporation of the State of California ("City").
Recitals:
A. The parties entered into an Agreement dated January 21, 2003, (hereinafter "said
Agreement") by which Contractor has provided custodial maintenance services for
the Depot at Santa Ana.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
renew said Agreement for an additional four-month period.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Agreement, the parties agree as follows:
1. In an effort to provide uninterrupted custodial maintenance services, Contractor and
City agree to extend the term of said Agreement for a four-month period to June 30,
2005.
2. Contractor shall continue to perform those services and accept payment as set forth in
said Amendment.
3. City agrees to pay and Contractor agrees to accept as total payment for its services, a
monthly fee of$7,800.00. The total sum to be expended under this First Amendment
to Custodial Maintenance Agreement shall not exceed $36,800.00 during this
extended term.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Custodial Maintenance Agreement on the date and year first written above.
