26 NOW. THEREFORE. IT IS MUTUALLY AGREED AS FOLLOWS:

THIS FIRST AMENDMENT. entered into thi s ni neteenth day of April 2005.
which date is particularized for reference purposes only. is to that certain
AGREEMENT Number WSH0204 between the parties hereto. dated July 1. 2004.
hereinafter referred to as the "Agreement" and is by and between the COUNTY OF
ORANGE. hereinafter referred to as "COUNTY." and CITY OF SANTA ANA. a
California municipality. hereinafter referred to as "CONTRACTOR," This
Amendment shall be administered by the County of Orange Social Services
Agency. hereinafter referred to as "ADMINISTRATOR."
WIT N E SSE T H:
WHEREAS. COUNTY agrees to increase funding for the provision of
additional Welfare-To-Work employment services to clients referred to
CONTRACTOR by COUNTY; and
WHEREAS. CONTRACTOR agrees to provide such services under the terms and
conditions set forth in this Agreement;

Subparagraph 17.1 of the Agreement is hereby amended to read as follows:

servi ces under the terms of thi s Agreement. Thi s percentage is based upon a
40-hour work week. For sa 1 ari ed employees. FTE is defi ned as the amount of
time (stated as a percentage) the position will be paid for under the terms of
this Agreement. regardless of the number of hours actually worked.

12.1 CONTRACTOR and ADMINISTRATOR may agree in writing to add. delete
or otherwise modify individual line items andlor amounts andlor the number and
type of FTE positions particularized in this andlor Paragraph 13 of Exhibit A
of this Agreement without changing the COUNTY's maximum obligation under this
Agreement."

All other terms and conditi ons of the Agreement shall remai n the same
