AGREEMENT BETWEEN THE CITY OF SANTA ANA AND
SANTA ANA UNIFIED SCHOOL DISTRICT
REGARDING SALE OF SURPLUS K-9 UNIT
This Agreement, made and entered into this 2D'4"-day of December, 2004, by and
between the City of Santa Ana, a charter city and municipal corporation of the State of
California ("CITY") and Santa Ana Unified School District, ('DISTRICT"),
WITNESSETH
Recitals:
A. The CITY owns a 1996 Chevrolet Caprice (hereinafter "Vehicle"), fully equipped
with a canine conversion kit. The Chief of Police has determined that the Vehicle
is surplus property and has no present or prospective use to the City.
B. The District whishes to purchase said Vehicle for use by the Santa Ana Unified
School District Police.
WHEREFORE, it is agreed by and between the parties that the foregoing Recitals are a
substantive part of this Agreement and the following terms and conditions are approved
and shall constitute the entire Agreement between the CITY and DISTRICT:
1. City shall transfer and deliver to District, and District shall accept and pay
$3,000.00 for the 1996 Chevrolet Caprice, VIN#1G1BL52P8TR153337, known to the
City as K-9 Unit#31-896.
2. District shall take possession of the Vehicle at the City yard, 220 S. Daisy Avenue,
Santa Ana, California, upon delivery to City of a check in the amount of $3,000.00. Title
shall pass to District at the time District takes possession.
3. Said Vehicle is fully equipped with a canine conversion kit, light bar, Unitrol,
center console, temperature sensor, and door pop system. The Vehicle does not have a
radio or computer installed. The door pop system needs repair.
4. City shall transfer Vehicle to District "AS IS". City does not warrant that the
Vehicle is of merchantable quality or that it can be used for any particular purpose.
District has inspected said Vehicle and accepts it "AS IS".
5. This Agreement supersedes any and all other agreements, either oral or in writing,
between the parties hereto with respect to said Vehicle. Each party to this Agreement
acknowledges that no representations, inducements, promises or agreements, orally or
otherwise, have been made by any party, or anyone acting on behalf of any party, which

are not embodied herein, and that no other agreement or amendment hereto shall be
effective unless executed in writing and signed by both CITY and DISTRICT.
6. This Agreement shall be governed by and construed in accordance with the laws
of the State of California. Both parties further agree that Orange County, California, shall
be the venue for any action or proceeding that may be brought or arise out of, or in
connection with this Agreement.
7. The invalidity in whole or in part of any provision of this Agreement shall not void
or affect the validity of any other provision of this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the last
date and year written below.
