FIRST AMENDMENT TO
CONSULTANT AGREEMENT
G:PP.Z5 THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into
(p•Rutw) on January 18, 2005, by and between Video Engineering Services ("Consultant") and the
City of Santa Ana, a charter city and municipal corporation of the State of California
("City").
Recitals:
A. The parties entered into Agreement 4A-2003-269, dated February 1, 2004,
(hereinafter "said Agreement') by which Consultant has provided audio/visual
equipment maintenance and service to the City.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
extend said Agreement for an additional one-year period and to increase
compensation to pay for services during the extended term.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
I. Section 2. a, COMPENSATION, shall be deleted in its entirety and replaced with the
following:
"City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in Exhibit A. The total sum to be expended under this
Agreement shall not exceed $45,760.00, annually, during the tern of this
Agreement."
2. Section 3, TERM, shall be amended to extend the termination date from February I,
2005 to January 31, 2006.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
