THIRD AMENDMENT TO AGREEMENT
BETWEEN COUNTY OF ORANGE
AND
THE CITY OF SANTA ANA
THIS THIRD AMENDMENT is entered into this 10th day of August 2005, which date is
enumerated for purposes of reference only, by and between the County of Orange, a political subdivision 0<
the State of California, hereinafter referred to as "COUNTY" and the City of Santa Ana, hereinafter
referred to as "CONTRACTOR", to amend that certain Agreement between the parties commencing
October 1,2003, pertaining to the provision of Workforce Investment Act services, hereinafter referred to
as "the Act."
WITNESSETH
WHEREAS, the CONTRACTOR has met planned enrollment numbers and is in need of the final
phase of funding made available by the Department of Labor through the National Emergency Grant fund.
WHEREAS, the COUNTY requested and received approval from the County of Orange, Board of
Supervisors through Agenda Item 24, dated March 16, 2004, of the ability to fund CONTRACTOR
in phases as enrollment deadlines were achieved and funds were made available from the Department of
Labor.
WHEREAS, the parties desire to revise the budget contained in the Agreement to show an
increase of One Hundred Twelve Thousand and Four Hundred Dollars ($112,400) in the amount of
compensation for a total compensation of Three Hundred Twenty Nine Thousand and Thirteen Dollars
($329.013) to CONTRACTOR for the remainder of the Agreement through September 30, 2005 for the
High Technology funding and through December 31, 2005 for the Transportation funding;

WHEREAS, the parties desire to revise the Budget Exhibit D I-B attached to the Agreement
through the term of the Agreement.

NOW, THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS:
1. Paragraph 18, subparagraph (a) under "PAYMENTS BY COUNTY", on page 10, is hereby
amended to read as follows:
(a) Monthlv Payments.
Beginning August 10th. 2005, upon receipt and written approval by COUNTY'S Housing and
Community Services Department Director or her designee, hereinafter referred to as "DIRECTOR",
of CONTRACTOR'S invoice showing the prior month's actual expenditures, COUNTY shall make
monthly reimbursement payments based on CONTRACTOR'S invoice so long as the total
payments under this Agreement do not exceed Three Hundred Twenty Nine Thousand and Thirtee
Dollars ($329.013.00)."
2. For the term of this Agreement beginning October 1, 2003, and ending December 31, 2005,
all references to Budget Exhibit D I-A, are amended to read as Budget Exhibit D I-B, a copy of
which is attached hereto and is incorporated herein into the Agreement by reference.

1 IN WITNESS WHEREOF, the parties hereto certify that they have read and understand all the
2 terms and conditions contained herein and have hereby caused this Third Amendment to the Agreement to
3 be executed this 10th day of August, 2005.
