CONSULTANT AGREEMENT

THIS AGREEMENT, made and entered into this ;)!7d day of fY1A- Y ,2005 by
and between PSOMAS, a California corporation (hereinafter "Consultant"), and the City of
Santa Ana, a charter city and municipal corporation organized and existing under the
Constitution and laws of the State of California (hereinafter "City").
RECITALS
A. The City desires to retain a consultant having special skill and knowledge in the field of
civil engineering to provide services on a project basis.
B. Consultant represents that Consultant is able and willing to provide such services to the
City.
C. In undertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting firm in the field.
NOW THEREFORE, in consideration ofthe mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Contractor shall perform those services as set forth in Exhibit A (Proposal dated March
24,2005) to this Agreement, to prepare the City's UWMP in accordance with the requirements
of the California Urban Water Management Planning Act, as amended (Act).
2. COMPENSATION
a. City shall pay, and Consultant shall accept as total payment for its services, the rates
and charges set forth in each accepted Proposal for each individual proj ect. The total sum to be
expended under this Agreement shall not exceed $42,599.00 during the term ofthis Agreement.
b. Payment by City shall be made within thirty (30) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment need not
be made for work which fails to meet the standards of performance set forth in the Recitals
which may reasonably be expected by City.
3. TERM
This Agreement shall commence on the date first written above and terminate on
December 31,2005, unless terminated earlier in accordance with Section 12, below. The term of
this Agreement may be extended upon a writing executed by the Executive Director and the City
Attorney.
4. INDEPENDENT CONTRACTOR
Consultant shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create an employer-employee relationship, a joint venture relationship, or
to allow the City to exercise discretion or control over the professional manner in which
Consultant performs the services which are the subject matter of this Agreement; however, the
services to be provided by Consultant shall be provided in a manner consistent with all
applicable standards and regulations governing such services. Consultant shall pay all salaries and
wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
5. INSURANCE
Prior to undertaking performance of work under this Agreement, Consultant shall
maintain and shall require its subcontractors, if any, to obtain and maintain insurance as
described below:
a. Commercial General Liability Insurance. Consultant shall maintain commercial
general liability insurance naming the City, its officers, employees, agents, volunteers and
representatives as additional insured(s) and shall include, but not be limited to protection against
claims arising from bodily and personal injury, including death resulting therefrom and damage
to property, resulting from any act or occurrence arising out of Consultant's operations in the
performance of this Agreement, including, without limitation, acts involving vehicles. The
amounts of insurance shall be not less than the following: single limit coverage applying to
bodily and personal injury, including death resulting therefrom, and property damage, in the total
amount of $1 ,000,000 per occurrence. Consultant shall supply City with a fully executed
additional insured endorsement in substantially the form attached hereto as Exhibit C upon
execution of this Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for
owned, hired and non-owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
ofthe Labor Code, Consultant, if Consultant has any employees, is required to be insured against
liability for worker's compensation or to undertake self-insurance. Prior to commencing the
performance of the work under this Agreement, Consultant agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.

d. Professional liability (errors and omissions) insurance, with a combined single limit
of not less than $1,000,000 per claim.
e. The following requirements apply to the insurance to be provided by Consultant
pursuant to this section:
(i) Consultant shall maintain all insurance required above in full force and
effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
f. If Consultant fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to furnish the City with required proofthat insurance has been procured
and is in force and paid for, the City shall have the right, at the City's election, to forthwith
terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its
time and materials expended prior to notification of termination. Consultant waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.
6. INDEMNIFICATION
Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents,
employees, consultants, special counsel, and representatives from liability: (1) for personal
injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims
for personal injury, including health, and claims for property damage, which may arise from the
negligent operations of the Consultant or its contractors, subcontractors, agents, employees, or
other persons acting on their behalf which relates to the services described in section 1 of this
Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution,
judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement.
This indemnity and hold harmless agreement applies to all claims for damages, just
compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered,
by reason ofthe events referred to in this Section or by reason of the terms of, or effects, arising
from this Agreement. The Consultant further agrees to indemnify, hold harmless, and pay all
costs for the defense of the City, including fees and costs for special counsel to be selected by the
City, regarding any action by a third party challenging the validity of this Agreement, or
asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief
due to personal or property rights arises by reason of the terms of, or effects arising from this
Agreement. City may make all reasonable decisions with respect to its representation in any
legal proceeding.
7. CONFIDENTIALITY

If Consultant receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Consultant agrees
that it shall not use or disclose such information except in the performance ofthis Agreement,
and further agrees to exercise the same degree of care it uses to protect its own information of
like importance, but in no event less than reasonable care. "Confidential Information" shall
include all nonpublic information. Confidential information includes not only written
information, but also information transferred orally, visually, electronically, or by other means.
Confidential information disclosed to either party by any subsidiary and/or agent ofthe other
party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure
shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is,
through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful
possession of the Consultant without an obligation of confidentiality; (d) is required to be
disclosed by operation of law; or (e) is independently developed by the Consultant without
reference to information disclosed by the City.
8. CONFLICT OF INTEREST CLAUSE
Consultant covenants that it presently has no interests and shall not have interests, direct
or indirect, which would conflict in any manner with performance of services specified under
this Agreement.
9. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be properly given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other
telegraphic communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any communication shall be addressed and transmitted to the new address. If sent by mail, any
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by telefacsimile, any notice, tender, demand, delivery, or
other communication shall be effective or deemed to have been given twenty-four (24) hours
after the time set forth on the transmission report issued by the transmitting facsimile machine,
addressed as set forth above. For purposes of calculating these time frames, weekends, federal,
state, County or City holidays shall be excluded.
10. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Consultant, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms ofthis Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Consultant. The parties
agree that any terms or conditions of any purchase order or other instrument that are inconsistent
with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant nor
the City. Each party to this Agreement acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone acting on
behalf of any party, which are not embodied herein.
11. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Consultant,
Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement
shall be construed to limit the City's ability to have any of the services which are the subject to
this Agreement performed by City personnel or by other consultants retained by City.
12. TERMINATION

This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant
compensation for all services performed by Consultant prior to receipt of such notice of termination,
subject to the following conditions:
a. As a condition of such payment, the Executive Director may require Consultant to deliver
to the City all work product completed as of such date, and in such case such work product shall be
the property of the City unless prohibited by law, and Consultant consents to the City's use thereof
for such purposes as the City deems appropriate.
b. Payment need not be made for work which fails to meet the standard of performance
specified in the Recitals of this Agreement.
13. DISCRIMINATION
Consultant shall not discriminate because of race, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited
by applicable law, in the recruitment, selection, training, utilization, promotion, termination or
other employment related activities. Consultant affirms that it is an equal opportunity employer
and shall comply with all applicable federal, state and local laws and regulations.
14. JURISDICTION - VENUE
This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws ofthe State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
15. PROFESSIONAL LICENSES
Consultant shall, throughout the term of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services
hereunder and required by the laws and regulations of the United States, the State of California,
the City of Santa Ana and all other governmental agencies. Consultant shall notify the City
immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals,
waivers, and exemptions. Said inability shall be cause for termination ofthis Agreement.
16. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature hereinbelow has the power,
authority and right to bind their respective parties to each of the terms of this Agreement, and shall
indenmify City fully, including reasonable costs and attorney's fees, for any injuries or damages to
City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.

b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.
IN WITNESS WHEREOF, the parties hereto have execnted this Agreement the date and year

Psomas understands the distinct requirements to integrate into an effective 2005 Urban Water Management Plal.'
(UWMP) and is prepared to create a City of Santa Ana 2005 UWMP that meets the requirements of a complete plan.
Psomas is uniquely qualified to prepare the City's UWMP in accordance with the requirements of the Califomia Urban
Water Management Planning Act, as amended (Act). Psomas' recent and relevant experience in preparing successful
urban water management plans, water supply assessments, water supply reports, and water master plans, as well as
analysis of the new requirements of the Act for 2005, is evidenced within our proposal, which demonstrates the
capability of our staff.
Our Project Team has successfully prepared numerous urban water management plans for water agencies within
Orange County and other areas in Southern California. Further, we recently participated in three of the California
Department of Water Resources (DWR) workshops on 2005 UWMPs, as well as a DWRlCalifomia Urban Water
Conservation Council workshop on Implementation ofSB 221/SB 610. These workshops provided essential
infomlation to dew lop qualified UWMPs, including incorporation ofSB 610 requirements into UWMPs.
Psomas is familiar with the City and its water supplies and facilities, and we look forward to your consideration of

other services to public agencies. Psomas was founded in 1946 and has grown
into a full-service consulting finn with over 600 employees in more than 12
locations. The firm's 59-year history and continued growth arc indicators of
Psomas' organizational stability and strength. Psomas will perform the City of
Santa Ana project from its Costa Mesa office.

Psomas successfully prepared the Municipal Water District of Orange County
Regional Urban Water Management Plan (UWMP) and six retail water agency
UWMPs in 2000, and is cuncntly under contract with multiple agencics for 2005
UWMPs. Psomas will institute a partnership with the City and has assemblcd a
team of profcssionals that will develop a Plan for Completion that will ensure
that the 2005 UWMP will be prepared in accordance with the Urban Water
Management Planning Act of 1983, as amended (Act). The Team's Project
Manager, Denise Landstedt, has numerous years of experience in water planning
and will lead a team of professionals, ineluding a Senior Engineer, Project
Engineer, and Environmental Analyst, with a proven track record in developing
UWMPs. The result is a team with precisely the expertise needed to deliver an
UWMP that meets the requirements of the Act and is considered "complete" by
the Department of Water Resources.

Psomas staff will utilize their collective knowledge of the Act and its
amendments for 2005, regional and local water issucs, DWR UWMP workshop
infonnation, requirements of Senate Bills (SB) 610 and 221, DWR's Guidebook

applicable documents to meet the requirements of a complete UWMP.

Psomas understands that the City desires to prepare its 2005 Urban Water
Management Plan (UWMP) Update in accordance with the California Urban
Water Management Planning Act (Act), Water Code Sections 10610 through
10656 cnacted in 1983, as amended. The UWMP will also assist in providing
long-range planning for water snpply, a source of data for development of the
Metropolitan Water District of Southern Califomia (Metropolitan) 2005 Regional
UWMP, and a source document for the City's General Plan.
The City desires that the 2005 UWMP will be a Senate Bill (SB) 610 foundational
document incorporating the requirements for connecting land use with water
planning. This will allow the City to utilize the 2005 UWMP as a source of
information for SB 610, Watc" ~upplv Assessments, and SB 221, Written
Verifications ofWatcr Supply. ~i3 610 also requires additional infonnation to be
included in an UWMP, including specific groundwater and well infonnation since
groundwater is a significant source of water for the City. SB 610 additionally
includes the requirement to describe all water supply projects and programs
that may be undertaken to meet total projected water demand. Psomas will .
confidently incorporate requirements ofSB 610 and SB 221, as appropriate to the
City.
Psomas understands that assistance to develop the City's 2005 UWMP
will include background work, utilizing the City's 2000 UWMP and other
documents listed in our Scope of Work, including data and information
collection, coordination, and analysis and preparation of statistics, graphics and
documentation ncccssary to completc submission of the City's 2005 UWMP to
the Department of Water Resources no later then December 31, 2005.
For urban water planning, it is most important to understand the City's water
sources and facilities, as well as regional (Metropolitan) and statewide sources
(State Water Project and the Colorado River), to develop a comprehensive and
sound 2005 UWMP that will withstand potential challenges. The City purchases
imported water from Metropolitan to supplement groundwater supplies. Water
quality, reliability and conservation of these sources are an essential element of
the 2005 UWMP.

Psomas will institute a partnership with thc City and establish a Plan for
Completion. The plan will includc a method, schcdule and communication
measures that will ensure that the 2005 UWMP will be preparcd in accordance
with thc Urban Water Management Planning Act of 1983, as amended (Act).
Psomas recently conducted an analysis of the Act for 2005, which identifies the
specific changes from the 2000 requirements of the Act, and we are thoroughly
familiar with the new requircmcnts.
Psomas staff will utilize our knowledgc of the City and use the City's 2000
UWMP as a foundation to develop the 2005 UWMP Update. Essential data
will be obtained, reviewed, and incorporated, whcre appropriate, that includes
existing water planning documents, plans and studics on thc local, regional and
state levcls.
Additionally, we will utilize our knowledge of water issues, infonnation gained
at the recent DWR workshops on 2005 UWMP development, requirements of
the Act, and requirements for water supply assessments based on SB 610 and SB
221. To accomplish this, Psomas will utilize the January 18,2005, Guidebook to
Assist Water Suppliers in the Preparation of a 2005 Urban Water Management
Plan prepared by DWR; DWR's 2005 Urban Water Management Plan "Review
for Completeness" Form and DWR's 2005 Urban Water Management Plan
"Review of Demand Management Measurcs for Completeness" Form. This
approach will facilitate the preparation of a "complete" 2005 UWMP as
evaluatcd by DWR staff.
Psomas will also utilize DWR's Guidebook for Implementation of Senate Bill
610 and Senate Bill 221 to incorporate and integrate, where appropriate for the
City, land use and water supply planning. Additionally, Psomas recommends and
will utilize demand and supply projections through the year 2030 providing for
a 25-year planning period. The Act requires a 20-year planning period; however,
since UWMPs are required every five years, 25-year projections will consistently
provide a 20-year projection as required by SB 610 and SB 221. This will allow
the City to use its 2005 UWMP as a foundational document for future water
supply assessments and verifications.

Mr. Thornton has over 35 years of experience in the development and
management of water resource projects ranging in scope and magnitude. He has
been in responsible charge of the preparation of feasibility studies and facilities
master plans; preliminary and final dcsign documents (constmction drawings,
specifications, and cost cstimates); and constmction supervision of canals,
pipelines, wells, pump stations, reservoirs, reclaimed water use systems, and
agricultural crop and landscaping irrigation facilities.
Relevant Project Experience
City of Bellflower, Water Master Plan, CA: Project Manager for the
development of overall water master plan for the City. With a population
of approximately 64,000 people, it is served by six watcr companies.
A comprehensive hydraulic computer model was developed combining
all six systems. Thc adequacy of each system was evaluated along with
recommcndations for combining the systems. Recommendations were provided
regarding the facilities and financing altcrnativcs.
City of Simi Valley, Hydraulic Computer Model, CA: Project Manager
for the dcvelopment of a hydraulic computer model for the system, serving
approximately 12,000 customers through 125 miles of pipelinc with scven
pressurc zoncs. The project consisted of preparing a hydraulic computer model
using Cybernct calibrating and ficld testing the model.
Cadiz/Fenner Conjuntive Use and Storage Program, San Bernardino
County, CA: Project Manager for the development of preliminary engineering
and economic analysis for a conjunctive use, water storage and transfcr program
located in Cadiz and Fenner Valleys of San Bernardino County. The Corc
Program could provide a dry-year water supply to the Metropolitan Water District
of Southern California of up to 100,000-acre fcet per year. The program concept
is to convey Colorado River water from the Colorado River Aqueduct (CRA) to
the Cadiz/Fenner area during periods of excess supply. The imported water would
be stored in the local groundwater aquifer system. This water and indigenous
groundwatcr would be extracted by wells and returned to the CRA during periods
of drought.
San Juan Basin Groundwater Management Plan, CA: District Engineer and
Project Manager for the San Juan Basin Authority in developing a groundwater
management plan. The goal of the Plan was to develop a groundwater management
plan maximizing the use of the Basin's storage capacity in conjunction with
artificial and natural recharge. A mathematical model of the groundwater basin
was developed incorporation basin hydraulics as well as water quality. Various
groundwater management scenarios were simulated. Water production facilities
were identified including 16 wells and an 8-MGD desalting plant. A detailed
financial and economic analysis was mack for the project, \\hich included capital
operation and maintenance and lifecycle cost of the desalter and other facilities.

Ms. Landstedt's experience includes water resource management, water supply
assessments, urban water management plans, competitiveness and privatization
studies and processes, benchmarking studies, financial budgeting and analysis,
state and federal grant proposals and program management, legislative analysis,
environmental compliance, and conservation and public affairs programs. She
conducted analysis on water supply and demand for urban water management
plans, analysis of various water resource issues, prepared water management and
strategic plans, and developed programs to meet legislative mandates and grant
requirements. She has also developed and participated in various public and

Ms. Landstedt has also prepared water supply assessments and verifications

2000 Regional Urban Water Management Plan, Municipal Water District
of Orange County, CA: Prepared the MWDOC 2000 Regional Urban Water
Management Plan Update. Preparation included meetings with kcy District staff,
information and data collection, analysis of water sourccs, supply and demand,
coordination with the Metropolitan Water District of Southern Califomia's data
and programs, and preparation of draft and final plans. Prepared for and assisted
in a member agency workshop to present the Draft 2000 Regional UWMP, and

Refinement and Strategic Plan Update Participation, City of Compton,
CA: Participated in the MWD Member Manager's Meetings on behalf of the

The Municipal Water District of Orange County (MWDOC) is a wholesaler
of imported water to 30 member agencies. MWDOC provides imported water
through its member agencies to approximately 1.8 million people. Water is used
for municipal, industrial, agricultural and groundwater replenishment purposes.
A key goal of MWDOC is to provide services and programs that arc broad
reaching and that the retail agencies cannot reasonably provide as single entities.
Therefore, MWDOC became signatory to the Memorandum of Understanding
Regarding Urban Water Conservation in California in 1991, and has since
implemented many BMP programs on behalf of its member agencies.
