The parties entered into Consultant Agreement N- 2002 -059, dated March 29, 2002, (hereinafter "said Agreement ") by which Consultant has provided telephone technical support for all SIGMA IV related matters, upgrades to SIGMA, KIOSK and Job Analysis /WRIPAC programs and on -line documentation. B. Consultant sold its business to Cooperative Personnel Services, a California joint powers agency doing business as CPS Human Resource Services (hereinafter "CPS "). The sale included the assignment to and assumption by CPS of all of the obligations to be performed by SIGMA. C. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one -year period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. City hereby consents to the assignment of the rights and obligations held by Consultant pursuant to Consultant Agreement N- 2002 -059, to CPS. 2. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall perform those services as set forth in Exhibit A -3 to said Agreement, attached hereto and incorporated by this reference." 3. Section 2.a., COMPENSATION, shall be increased by $2,715.30 to pay for Technical Support Services provided by Consultant during the 2005/2006 extended term of said Agreement. 4. Section 3, TERM, the expiration date shall be extended from June 30, 2005 to June 30, 2006. 5. Except as amended herein, all terms and conditions of said Agreement shall remain in full force and effect. The cost for technical support for those who do not have the ETS program is based upon the time spent assisting you.
