FOURTH AMENDMENT TO AGREEMENT
THIS FOURTH AMENDMENT TO AGREEMENT is entered into on March

I ,2005, by and between System Innovators, Inc. ("Contractor") and the City of
Santa Ana, a charter city and municipal corporation of the State of California ("City").
RECITALS
A. The parties entered into Purchase and Software License Agreement #A200l-230,
dated September 4, 2001, (hereinafter "said Agreement") for the purchase of
computer equipment and related peripherals and supplies, Professional consulting,
programming, installation, support and training services, as well as the licensing of
computer software and related documentation by Contractor for the City.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
extend the term of said Agreement and increase the compensation to provide software
and hardware maintenance during the extended term.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
Third Amendment to Consultant Agreement, the parties agree as follows:
1. The parties agree that the termination date of said Agreement shall be extended to
March 31, 2006.
2. The amount of compensation to Contractor is hereby amended to increase
compensation $23,000.00, to pay for software and hardware support services from
April 1, 2005 through March 31, 2006.
3. Except as hereinabove modified, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Fourth Amendment to
Agreement the date and year first above written.
