SECOND AMENDMENT TO
CONSULTANT AGREEMENT
THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered
into on October 17, 2005, by and between The Planning Center, a California corporation
("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the
State of California ("City").
Recitals:
The parties entered into Consultant Agreement N-2005.083, dated June 24, 2005,
(hereinafter "said Agreement") by which Consultant has provided public meeting
facilitation services for Planning related matters.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
Amend the Scope of Services to provide for additional services, and amend the
Compensation to pay for the additional services.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this Second
Amendment to Consultant Agreement, the parties agree as follows:
1. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with
the following:
"Consultant shall provide meeting facilitation services for a minimum of four Santa
Ana River Task Force meetings and for various meetings of the Planning and Building
Agency related to development planning issues, as requested by City."
2. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the
following:
"City agrees to pay, and Consultant agrees to accept as total payment for its services,
the amounts identified in Exhibits A and A. I to said Agreement The total fee for the
Santa Ana Task Force meetings shall not exceed $9,500.00. The fee for additional
services provided to the Planning and Building Agency shall be agreed between
Consultant and the Executive Director of Planning and Building, in writing, prior to
Consultant providing those services. The total sum to be expended pursuant to said
Agreement shall not exceed $30,000 during the term of said Agreement"
3. Section 3, TERM, shall be extended from December 31,2005 through December 31,
2006.
4. Except as herein amended, all terms and conditions of said Agreement shall remain in
full force and effect

IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to
Consultant Agreement on the date and year first written above.
