FIRST AMENDMENT TO
CONSULTANT AGREEMENT
THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into
on October 25, 2005, by and between Priority Dispatch Corp., a Utah corporation
( "Consultant ") and the City of Santa Ana, a charter city and municipal corporation of the
State of California ( "City ").
Recitals:
A. The parties entered into Agreement N- 2005 -024, dated March 3, 2005, (hereinafter
"said Agreement') by which Consultant has provided computer software support for
City's emergency fire dispatch software.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
renew said Agreement for an additional one -year period and increase compensation to
pay for services during the extended term.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
1. Section 2.a., COMPENSATION, shall be amended to add $2,000.00 to pay for
services during the term from November 1, 2005 through October 31, 2006. The total
amount to be paid for services pursuant to said Agreement shall not exceed $7,000.00
during the term of said Agreement.
2. Section 3, TERM, shall be extended from October 31, 2005 to October 31, 2006.
3. Except as herein amended all terms and conditions of said Agreement shall remain in
fill force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
