INSURANCE NOT REQUIRED WORK MAY PROCEED CLERK OF COUNCIL DJTE: /-/1-0" FIRST AMENDMENT TO AGREEMENT URBAN AREA SECURITY INITIATIVE (UASI) THIS FIRST AMENDMENT TO AGREEMENT is entered into on November ~, 2005, by and between the City of Newport Beach, acting as the Lead Agency for the Orange County Integrated Law and Justice ("IL&1") project ("Subgrantee") and the City of Santa Ana ("City"). Recitals: A. The parties entered into Agreement A-2004-176-06, dated January 14,2005 (hereinafter "said Agreement") by which City, in its capacity as the Core City for the Santa Ana Urban Area under the FY04 Urban Area Security Initiative (hereinafter "UASI"), transferred UASI Grant Funds to Subgrantee, as lead agency for the IL&J project to integrate the diverse information systems of all criminal justice agencies in Orange County. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend said Agreement to provide additional UASI funds to reimburse Subgrantee for expenses of the IL&J project. Wherefore, in consideration ofthe covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: I. Section 5 of said Agreement shall be deleted in its entirety and replaced with the following: "5. a. CITY will reimburse SUBGRANTEE in an amount not to exceed $1,976,803.00, for I) equipment and services as specified in Attachment B hereto, 2) consulting services provided pursuant to that Agreement dated February 8, 2005, between the City of Newport Beach and Deloitte Consulting in relation to the implementation of the IL&J Project, and 3) approved change orders relating to the IL&J project, all in accordance with grant guidelines and in full compliance with all of Sub grantee's purchasing and bidding procedures. S.b. Other expenditures of SUB GRANTEE which comply with the guidelines of the U.S. Homeland Security Department and California Office of Homeland Security, regarding expenditure ofUASI Grant Funds, including services, equipment or staffing costs, may be reimbursed from UASI Grant Funds if such funds are available and upon the prior written approval of the Chief of Police of the City of Santa Ana." 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
