(; IJ/e- ((Jujlp~-l , .l- ilt -LV, A-2005-300 SIXTH AMENDMENT TO AGREEMENT THIS SIXTH AMENDMENT TO AGREEMENT (A-2003-226) is entered into on December 19,2005, by and between Securitas Security Services USA, Inc., a Delaware corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The City entered into, Agreement # 2001-057, dated October 1,2001, with Consultant by which Consultant has provided security guard services at the Santa Ana Transportation Depot, Santa Ana Zoo at Prentice Park, City Hall and Corporate Yard (hereinafter "said Agreement"). B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional twelve-month period and to increase the compensation to provide services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement and all Amendments thereof, except those amended in this Amendment to Consultant Agreement, the parties agree as follows: I. Section 2, COMPENSATION, shall be amended to increase compensation by $313,040.00. Said section shall read, in full, as follows: "City agrees to pay and Consultant agrees to accept, as total payment for its services, the rates and charges set forth in Exhibit A to said Agreement. The total amount to be expended to provide security services for the Depot at Santa Ana, Corporate Yard, Santa Ana Zoo at Prentice Park and to provide security services during Homeland Security Alerts and a continuous tire watch at City Hall, shall not exceed $313,040.00, during the term from December 1,2005 through November 30, 2006." 2. Section 3, TERM, shall be amended to extend the term for an additional twelve- month period, through November 30, 2006. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. II II il . .
