AGREEMENT FOR CONSULTING SERVICES

February, 2000 by and between the City of Santa Ana, a municipal
corporation of the State of California ("CITY") and HARPER &
ASSOCIATES ENGINEERING, a California Corporation, hereinafter
referred to as "Consultant".

Recitals:
A. CITY desires to contract for civil engineering
services to inspect and evaluate existing conditions
and prepare Specifications for coating and sealant
repair of Howard Crooke Reservoir.
WHEREFORE, in consideration of their mutual and respective
promises, the parties hereto do hereby agree as follows:
1. CONSULTANT agrees to fulfill all the requirements set
forth in Consultant's Proposal attached hereto as "Exhibit A"
and incorporated herein by this reference. All work shall be
performed under the direction of CITY's Executive Director of
the Public Works Agency or his designated representative.

2. CITY agrees to pay, and CONSULTANT agrees to accept
for said services, a not to exceed fee of $9,975.00 for the
scope of work specified in their Proposal. CONSULTANT shall be
paid for services actually rendered.
The time of completion for the design portion of
consultant's work shall be 45 days from the date of this
contract. That portion of Consultant's work relating to
construction support services, shall be completed in conjunction
with the actual construction schedule, which will be determined
once the design is complete and a construction contract has been
awarded.
CONSULTANT shall periodically submit a detailed invoice
Showing services performed.
Payment by CITY shall be within
thirty (30) days following receipt of said invoice for work
performed, subject to CITY accounting procedures.
Notwithstanding the foregoing, payment need not be made for
work which fails to meet the standard of performance specified
in Section 4.
3. The CITY's Executive Director of the Public Works
Agency, or his Designee, shall be the representative of the CITY
and may issue all consents, approvals, directives, or agreements
on behalf of CITY for by this AGREEMENT. Andre Harper, Vice
President shall be the representative of CONSULTANT for purposes
of this AGREEMENT.

4. Termination of Agreement
This AGREEMENT may be terminated by the CITY before
CONSULTANT's services have been fully performed, upon thirty
(30) days written notice of termination to CONSULTANT. In such
event, CONSULTANT shall be entitled to receive and CITY shall
pay CONSULTANT compensation for all services performed by
CONSULTANT prior to CONSULTANT's receipt of such notice of
termination; provided, however, that as a condition of such
payment, CITY may require CONSULTANT to deliver to CITY all work
products completed as of such date.
5. Independent Contractor
CONSULTANT is an independent contractor and not an employee
of the CITY and all CONSULTANT's personnel shall be employees or
subcontractors of CONSULTANT and not employees of CITY.
CONSULTANT shall pay all salaries and wages, employer's social
security taxes, unemployment insurance and similar taxes
relating to employees and shall be responsible for all
applicable withholding taxes.
6. Insurance
A. CONSULTANT shall furnish CITY with an insurance
certificate evidencing that it carries workers' compensation
insurance and that the policy shall not be canceled nor the
coverage reduced except upon thirty (30) days prior written
notice to the CITY.

B. CONSULTANT shall obtain at its sole cost and file with
CITY, prior to exercising any right or performing any obligation
pursuant to this AGREEMENT, and maintain for the period covered
by this AGREEMENT, a policy or policies of general liability
insurance or a certificate of such insurance from companies
authorized to do business in the State of California,
satisfactory to City Attorney of CITY, naming the City of Santa
Ana, its officers, agents and employees, as additional insureds,
which provides coverage not less than that provided in the form
of a comprehensive general liability insurance policy against
liability for any and all claims and suits for damages or
injuries to persons or property resulting from or arising out of
negligent operations of CONSULTANT, its officers, agents or
employees. CONSULTANT shall furnish a certificate of such
insurance to CITY prior to commencing services hereunder.

CONSULTANT shall give to CITY prompt and timely notice of claim

made or suit instituted arising out of CONSULTANT's operations
hereunder. CONSULTANT shall procure and maintain at its own
cost and expense, any additional kinds and amounts of insurance
which, in its own judgement, may be necessary for its proper
protection in the prosecution of the work.
7. Subcontractors
None of the services included in this AGREEMENT shall be
subcontracted without prior approval of CITY, except as
specified in the PROPOSAL. CONSULTANT shall be fully
responsible to CITY for performance of subcontractors.
8. Assignability
CONSULTANT shall not assign or transfer any interest in this
AGREEMENT, whether by assignment or novation, without the prior
written consent of CITY; provided, however, that claims for
money due or to become due from CITY under this AGREEMENT may be
assigned to a bank, trust company or other financial
institution, or to a trustee in bankruptcy, without such
approval. Notice of any such assignment or transfer shall be
promptly furnished to CITY.
9. Hold Harmless
CONSULTANT shall indemnify and save harmless CITY, its
officers, agents, and employees, from and against any and all
damages to property or injuries to or death of any person or
persons, including property of employees or agents of CITY, and
shall defend, indemnify and save harmless CITY, its officers and

employees, from any and all claims, demands, suits, actions or
proceedings of any kind or nature, including, but not by way of
limitation, workers' compensation claims, resulting from or
arising out of the negligent or wrongful acts, errors or
omissions of CONSULTANT, its employees or subcontractors..
10. Certification of Nondiscrimination
By signing this AGREEMENT, CONSULTANT certifies that it does
not discriminate in hiring on the basis of race, color, creed,
religion, sex, age, marital status, national origin, ancestry,
physical handicap or medical conditions.
11. Validity
The invalidity in whole or in part of any provision of this
AGREEMENT shall not void or affect the validity of any other
provision of this AGREEMENT.
12. Law Governing This Agreement
This AGREEMENT shall be governed by and construed in
accordance with the laws of the State of California.
13. Exclusivity and Amendment of Agreement
This AGREEMENT supersedes any and all other agreements,
either oral or in writing, between the parties hereto with
respect to the services set forth in the PROPOSAL and contains
all the covenants and agreements between the parties with
respect thereto. Each party to the AGREEMENT acknowledges that
no representations, inducements, promises or agreements, orally
or otherwise, have been made by any party, or anyone acting on

behalf of any party, with respect to such services, which are
not embodied herein, and that no other agreement or amendment
hereto shall be effective unless executed in writing and signed
by both CITY and CONSULTANT.

PROPOSAL TO
CITY OF SANTA ANA
FOR
ENGINEERING CONSULTING SERVICES FOR EV ALUA TION
OF A CONCRETE WATER STORAGE RESERVOIR,
PREPARATION OF A SPECIFICATION AND CONSTRUCTION SERVICES
I. PROJECT DESCRIPTION
A. The 6.0 MG concrete water storage reservoir is located on City-owned site in Santa
Ana, California and is designated as the Crook Reservoir
B. SCOPE OF WORK - INVESTIGATION
I. Telephone conference with City to verifY approach to project.
2. Accomplish field investigation of complete interior of the reservoir, to
evaluate the present condition of the reservoir from the following standpoints:
a. Corrosion-related structural soundness of the reservoir.
b. Condition of concrete regarding cracking and spalling and how it is
protecting the steel from corrosion, the percent failures, and their
ability to be repaired.
c. Condition of the expansion joints and sealants.
d. Environmental and operating conditions which affect the use of the
reservoir, maintenance ofthe reservoir, the aggressiveness of the

atmosphere and water, and extent of abrasion damage.
e. Condition of interior appurtenances: float, overflow, inlet, interior
ladder, etc.
3. Field evaluation of the reservoir to visually inspect and photograph visible
deficiencies would entail one site visit with reservoir drained, unless
corrosion damage is sufficient to warrant further evaluation.
4. Surfaces would be photographed and entered into a Photographic Survey
album which would be included in the written report.
5. Conclusions and recommendations would be prepared for the following and
included in the detailed written report.
a. Cause(s) of deficiencies.
b. Concrete repair and sealant replacement, including extent of deficient
areas, estimated costs, and life expectancey.
c. Additional items to enhance maintenance and safety
6. Three copies of the written report will be submitted.
C. SCOPE OF WORK - SPECIFICATION
I. Met with City to verify approach to project, to determine scope of work,
based on utilizing report and estimated costs to accomplish the work.
2. Prepare technical specification covering interior repairs and sealant
replacement for reservoir.
3. Submit to City for 90% completion review, and accomplish all revisions
determined needed.
4. Furnish City with a cost estimate for project in accordance with the bid
schedules generated.
5. Furnish City with a list of potential bidders to forward Notice Inviting Bids
to qualified contractors.
6. Provide telephone liaison with potential bidders as regards all matters
concerning bidding of the project and preparation of addenda as required to

document design changes or clarifications.
7. Assist City in conducting Pre-Bid Conference to ensure prospective bidders
are totally aware of scope of work and local conditions.
a. Prepare minutes of Pre-Bid Conference covering all aspects of
contractor's questions and clarifications of project and mail to all
attendees and become part of the contract documentation.
8. Assist City in telephone evaluation of bids received and make
recommendations for award or rejection.
9. Assist City in conducting Pre-Construction Conference to enable all relevant
parties to comprehend scope of project, implementation of specification and
City requirements.
a. Prepare minutes of Pre-Construction Conference covering all aspects
of contractor's questions and clarifications of project and present to
all parties.
10. Assist City in review and approval of Contractor submittals and project
procedures. Rejected submittals would be supplemented with an explanation
of the reason for rejection and requirements for re-submittal.
D. SCOPE OF WORK - INSPECTION
I. Pre-Job Conference - Meet with City and Contractor to review specification,
job conditions, schedules, etc. to prepare for an efficient and expeditious
operation.
a. Schedule of work is established and will be maintained throughout
project.
b. Liaison personnel are designated
c. Specification is reviewed and clarified as necessary.
2. SURFACE PREPARATION INSPECTION (INTERIOR) - Physical
inspection of blast cleaned surfaces to verify compliance to specification,
removal of dust, etc.
a. Weather conditions will be verified by use of a sling psychrometer to
determine suitability of climatic conditions prior to and during all

blast cleaning operations.
b. Surface will be observed throughout cleaning operations to determine
compliance with specifications.
3 . MATERIAL APPLICATION INSPECTION (INTERIOR) - After approval
of surface preparation, ongoing inspection monitors weather condition,
Contractor's application equipment and its operation, mixing and physical
inspection of application, including spray techniques, cleanliness of surface,
thickness, etc.
4. FINAL INSPECTION (INTERIOR) - Requires input at conclusion of finish
coating to insure application, film continuity (holiday detection) and dry film
thickness are in complete conformance to specification.
5. LIMITATIONS OF AUTHORITY
a. Resident Project Inspector:
(I) Shall not authorize any deviation from the Contract
Documents or substitution of materials or equipment, unless
authorized by ENGINEER/OWNER in writing.
(2) Shall not exceed limitations of CONSULTANT'S
AUTHORITY as set forth in the Agreement or the Contract
Documents.
(3) Shall not undertake any of the responsibilities of
CONTRACTOR, subcontractor or CONTRACTOR'S
superintendent.
(4) Shall not advise on, issue directions relative to or assume
control over safety precautions and programs in connection
with the work.
(5) Shall not advise on, issue directions regarding or assume
control over any aspect of the CONTRACTOR'S means,
methods, techniques, sequences or procedures of construction
unless such advice or directions are specifically required by
the Contract Documents.
(6) Shall not accept Shop Drawings or sample submittals from
anyone other than CONTRACTOR, and shall immediately

deliver such submittals to ENGINEER/OWNER.
(7) Shall not authorize ENGINEER/OWNER to occupy the
Project in whole or in part.
(8) Shall not participate in specialized field or laboratory tests or
inspections conducted by others except as specifically
authorized by ENGINEER/OWNER.
b. Definitions:
(1) ENGlNEER/O WNER is intended to apply as a joint reference
or a single reference subject to the applicable circumstances.
II. SCHEDULE
A Investigation of the reservoir and filing of a report for work noted above would be
accomplished at mutually agreed time, upon execution of an agreement and issuance
of the Notice to Proceed.
III. CITY RESPONSIBILITIES
A The City shall provide the following items, personnel and/or services to be utilized
in connection with this work.
1. All drawings and relevant records for the reservoir, as required.
2. The City shall make available to the Consultant reasonable and timely staff
input for purposes of conference discussion, reviewing submissions from the
Consultant, providing factual information and/or suggestions relating to the
work in a manner such that the Consultant may meet the project completion
schedule.
3. The City shall provide designated water operations person for access to
reservoir site and unobstructed access to reservoir interior upon request by the
Consultant at time and in the manner mutually agreed upon as required to
accommodate work ofConsultanl.
4. City will provide payment on monthly progress estimates to the Consultant
based upon work accomplished during the previous month or portion thereof.
IV. WORK PRODUCT
A The City designee shall at all times have access to the work product of the Consultant
while it is under preparation or in progress. Upon completion of the project, all
drawings, documents and notes shall become property of the City, including all

renderings, slides, sketches and correspondence.
V. DESIGNATED REPRESENTATIVES
A. Project shall be under direct control of Mr. William B. Harper, to whom all questions
may be directed. Field investigation shall be under direct control of Mr. Andre
Harper It is understood the City's representative will be Mr. Steve Worrall, who will
provide the interface between the City's Staff and Consultant.
VI. COST ESTIMATE
A. Based on previously noted Scope of Work - Investigation, cost for performing
services will not exceed $1,805.
B. Based on previously noted Scope of Work - Specifications, cost for performing
services will not exceed $2,7] 0, based on accomplishing work with item A. above.
C. Based on previously noted Scope of Work - Inspection, cost for performing services
will not exceed $5,460, based on project duration offourteen (14) days The estimate
is based on Inspector working 8 hours per day, 5 days per week, Monday through
Friday. Inspection hours are based on the hourly rate of$48.75 per hour. Cost also
includes attendance at the Pre-Construction Conference.
D. Additional meetings and work as directed by City = Hourly basis or negotiated fee
