AGREEMENT

THIS AGREEMENT is made and entered into this '3A,) day ofAaJiC/f_
1996, by and between the CITY OF ~ANTA ANA, a municipal corporation of the State
of California ("City") and ~ENTIX INCORPORATED, a California corporation
("Contractor") .
Recitals:
A. The City desires the ser~ices of a firm to connect the booking system
with the fingerprinting workstation in the City's new Police Facilities Building.
B. Contractor has submitted a proposal to provide such services as set
forth in Exhibit A, attached hereto and incorporated herein (the "Proposal").
NOW, THEREFORE, the parties hereto do hereby agree as follows:
1. Contractor shall provide the services specified in the Proposal on
notification to proceed from City's Police Department.
2. Upon satisfactory completion of Contractor's services, the City shall
however, that total compensation to Contractor under this Agreement shall not
compensate Contractor for such services as specified in the Proposal, provided,
exceed $10,000.00.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement the
date and year first above written.

Per your request, below is shown a price quote and statement of work for terminal emulation to
download the demographic data from your Tiburon booking system to the TP-900 TouchPrint live scan
fingerprinting workstation:

Identix will install the ternlinal emulation board and software, reconfigure the TouchPrint to emulate
your Tiburon booking system and test to make sure everything functions properly.
The above quote assumes that Tiburon will have the necessary cable(s) in place when we arrive on site to
install the tenninal emulation package. Should Tiburon not be ready for the hook-up, additional
installation days may be required and will be billed at a cost of $800 per day. Once Tiburon is ready,
please call me to schedule installation.
Once the terminal emulation is in place, when the booking officer creates a record, the TouchPrint will
query whether he wants to create a new record by typing in the demographic data, or import data from
the Tiburon system. If the booking officer selects to import data, the TouchPrint will "emulate" a
tenninal on the Tiburon system and create the record. 111e booking officer then only needs to capture the
fingerprints and prinUtransmir as is currenely being done.
