(,',If' t..:; U -ch This Memorandum of Understanding is between the City of Santa Ana, a charter city and municipal c,~~ corporation duly organized and existing under the Constitution and laws of the State of California, by and through the Santa Ana WORK Center (housing Jobs for Santa Ana Graduates) 1000 E. Santa Ana Blvd., Suite 200, Santa Ana, California 92701, hereinafter referred to as LOCAL AFFILIATE, and JOBS FOR CALIFORNIA GRADUATES, INC., hereinafter referred to as JCG, an affiliate of Jobs for America's Graduates, hereinafter referred to as JAG, a national non-profit organization. ..1. " -'. .J" ']o--?- (;)~OJ WITNESSETH WHEREAS, the LOCAL AFFILIATE is seeking to better prepare high school students and dropouts to graduate and enter the world of work; and WHEREAS, the LOCAL AFFILIATE is located in an area with a number of students who do not graduate from high school; and WHEREAS, JCG develops partnerships with business, education, and local communities to operate model programs for at-risk youth, providing support and oversight to those programs to ensure their success; and WHEREAS, JCG assists partners to operate programs through collaborative grant-writing and fund raising efforts; WHEREAS, the LOCAL AFFILIATE desires to engage JCG and JAG for such special services upon the terms herein provided; and NOW, THEREFORE, the parties hereto do mutually agree as follows: I RESPONSIBILITIES OF JCG JCG shall: A. Assist in establishing one JAG-accredited Dropout Recovery model application in Santa Ana through a mutually beneficial partnership between JCG and the LOCAL AFFILIATE. B. Maintain adequate staff and an active, involved Board of Directors to provide oversight to the implementation, operation, and continuous improvement of programs in California which satisfy the accreditation standards of the JAG Program Model. C. Develop a positive working relationship with local communities, including employers, high schools, post-secondary and/or technical schools, and community service organizations for the purpose of promoting and establishing local JAG accredited programs in accordance with the JAG Model. D. Provide technical assistance and training to the LOCAL AFFILIATE'S Career Specialist( s) and other LOCAL AFFILIATE key staff on the successful implementation and operation of a JAG-accredited program. E. Provide JAG Model books and other program materials, publications, and national communications to the LOCAL AFFILIATE'S Career Specialist(s), other LOCAL AFFILIATE key staff and partners. F. Provide staff development experiences for all LOCAL AFFILIATE'S Career Specialist(s) to assure understanding of the JAG Model Program and the Dropout Recovery application and to share best practices through planned local/state staff development activities and by attending the JAG National Training Seminar held annually in July. G. Provide technical support and conduct periodic quality assurance reviews and consulting visits to give encouragement, support and feedback as well as a review of documentation to track students, services, and outcomes throughout the program and follow-up period. H. Conduct periodic visits to review and assist JAG in its accreditation process to ensure conformity with the performance standards as promulgated by lCG and JAG. I. Provide the above services through June 30, 2002. II RESPONSIBILITIES OF JAG JAG shall: A. Provide on-site assistance for LOCAL AFFILIATE Career Specialist(s) and the JCG State Office upon request. B. Make available its copyrighted model books and materials, operational guides, administrative manuals, electronic data management system, etc. Network members receive a full set of the JAG model books for all LOCAL AFFILIATE Career Specialist(s). C. Provide LOCAL AFFILIATE Career Specialist(s) and other appropriate LOCAL AFFILIA TE staff the opportunity to attend the annual JAG National Seminar. D. Assist JCG with the full implementation of JAG electronic data management system designed to track students, services, and outcomes for the purpose of determining the effectiveness of the program based on specific performance standards. State affiliates have access to the National Database which produces management information for decision making and program/staff evaluation purposes. E. Conduct accreditation of the leG program to ensure conformity with the standards as promulgated by JAG. F. Make available the protected trademark, "Jobs for America's Graduates", and associated emblem and copyrighted materials directly related to and limited to the periods in which the program is delivered in a manner consistent with the mission and goals of the JAG program model and terms of this Memorandum of Understanding. 2 ill RESPONSffiILITlES OF LOCAL AFFILIA TE The LOCAL AFFILIATE agrees, during the term of this Agreement to: A. Establish one JAG-accredited Dropout Recovery Model. Provide one staffperson qualified to fulfill the responsibilities of the LOCAL AFFILIATE Career Specialist who takes personal responsibility for a minimum of 20 students, as submitted on the JAG Roster. B. Implement fuIIy and completely the JAG database management system, providing all reports to JCG as required per pre-determined deadlines. JAG and JCG will provide all training and technical assistance required to ensure the LOCAL AFFILIATE is able to effectively maintain the database management system. C. Interpret LOCAL AFFILIATE policies and procedures to staff of JCG and the LOCAL AFFILIATE Career Specialist(s). D. Establish a site-based advisory committee to assist the LOCAL AFFILIATE Career Specialist(s) in recruiting, screening, and selecting students with the greatest chance of benefiting from the services. E. Include the LOCAL AFFILIATE Career Specialist in any relevant training provided through the LOCAL AFFILIATE. F. Coordinate the job development efforts of the LOCAL AFFILIATE Career Specialist(s) with other One-Stop Centers, and other community efforts. G. Work with JCG to provide evaluation of services of the LOCAL AFFILIATE Career Specialist(s) to ensure full compliance with the JAG Program Model Standards. H. Provide adequate supervision to ensure that the LOCAL AFFILIATE Career Specialist(s) fulfills the responsibilities ofthis Memorandum of Understanding and achieves the performance standards of the JAG Program Model and requirements of any funding sources. I. Provide feedback to the JCG State Office that will result in the continuous improvement of the program to maintain accreditation by Jobs for America's Graduates. J. In all advertising and promotion of the program, reference the program's affiliation with Jobs for California Graduates (i.e., "an affiliate of Jobs for California Graduates"). N COMPENSATION A. The LOCAL AFFILIATE agrees to pay Jobs for California Graduates, Inc. a sum of $5,000 annually to provide materials and services as outlined in this Memorandum of Understanding and Exhibit A. 3 B. JCG shall submit semi-annual invoices to the LOCAL AFFILIATE which will include itemized costs for the period. Invoices shall be submitted no later than July 30 and January 31 of each year. V lNDEPENDENT CONTRACTOR JCG is, for all purposes arising under this Agreement, an independent contractor. No officer, agent, employee or independent contractor of JCG, JAG or LOCAL AFFILIATE shall be deemed an officer, agent, or employee of the other party hereto. Neither JCG, JAG nor LOCAL AFFILIA TE, nor any officer, agent, employee or independent contractor thereof shall be entitled to any benefits to which employees of the other party hereto are entitled, including, but not limited to overtime, retirement benefits, workers' compensation benefits, and injury leave or other leave benefits. VI INSURANCE A. JCG shall furnish the LOCAL AFFILIATE's Clerk's Office with an insurance certificate from its workers compensation insurance carrier certitying that it carries such insurance as established and required under California law and that the policy shall not be canceled nor the coverage reduced except upon thirty (30) days prior notice to LOCAL AFFILIATE. B. JCG shall obtain, at its sole cost, a policy or policies of commercial general liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall as indicated in Exhibit B: (I) name the City of Santa Ana, its officers, agents, representatives, employees and volunteers as additional insureds; (2) be primary with respect to insurance or self-insurance programs maintained by the CITY; (3) contain standard separation of insureds provisions; and (4) give to CITY prompt and timely notice of any claim made or suit instituted arising out of lCG's operations hereunder. JCG shall: (a) prior to exercising any right under this Agreement, furnish properly executed certificates of insurance and additional insured endorsement to the LOCAL AFFILIATE, for approval by the Local Affiliate's City Attorney which shall clearly evidence all coverage required above; (b) provide that such insurance shall not be materially changed or terminated except on 30 days prior written notice to the LOCAL AFFILIATE; (c) maintain such insurance for the period covered by this Agreement; and (d) replace such certificates for policies expiring prior to the expiration of this Agreement. VII ASSIGNMENT A. Neither JCG, JAG nor LOCAL AFFILIATE may assign and/or transfer any interest in this Agreement, without the prior written consent of the other parties hereto. B. This shall serve as written notification that the JCG and JAG shall provide the materials and services as described in sections I and II of this Memorandum of Understanding. 4 VIII lNDEMNlFICATION A. JCG and JAG agree to defend, indemnify, and save free and harmless the LOCAL AFFILIATE, its officers, agents and employees against any and all losses, injuries, claims, actions, causes of action, judgment, and liens arising from, or alleged to have arisen from JCG and JAG, its agents or employees performance or lack thereof under this Agreement. B. LOCAL AFFILIATE agrees to defend, indemniry and save free and harmless JCG and JAG, its officers, agents and employees against any and all losses, injuries, claims, actions, causes of action, judgment, and liens arising from, or alleged to have arisen from LOCAL AFFILIATE's performance or lack thereof, under this Agreement. IX AMENDMENT No changes in the responsibilities of LOCAL AFFILIATE and/or JCG and JAG to be performed hereunder shall become effective until mutually agreed upon by the LOCAL AFFILIATE and JCG and JAG in writing. Such changes as are mutually agreed to by the LOCAL AFFILIATE and JCG and JAG which require additional services or a reduction in services to be performed by JCG and JAG under the Agreement and an adjustment to the amount to be paid to JCG and JAG as provided herein shall be incorporated in written amendments to this Agreement, signed and approved by all parties. X TIMELYPERFO~ANCE It is understood and agreed that the services herein contemplated will require the timely efforts and performances of each of the contracting parties in order that the sequential phases of the assignments can be accomplished, and in the event either party shall fail in this requirement, the other party shall not be penalized for a delay in any phase of the process occasioned by the delaying party. XI TE~ AND TE~INATION OF AGREEMENT A. The term ofthis Agreement shall commence on April I, 2001 and shall continue until June 30, 2002. B. Notwithstanding the foregoing, this Agreement may be terminated upon thirty (30) days written notice by either party hereto. Said termination shall not be deemed to be a breach of this Agreement and/or tortuous conduct. EXHIBIT A LOCAL AFFILIATE SERVICES Jobs for California Graduates provides start-up and on-going technical assistance to locai affiiiates to ensure the successful implementation and operation of a JAG-accredited program. The basic package of technical assistance includes, but is not limited to, the following services. PrOQram Start-UD . Assistance in preparing rollout plan for implementing a JAG accredited program. . On-site assistance in presenting the program to governmental, educational, community-based organizations, foundations, potential funding sources and private sector empioyers and groups. . Guidance in establishing regional and locai advisory councils and a non-profit organization. . Assistance in preparing operating budget. . Assistance in identifying potential funding sources to support a local affiliate. . Promotion of the JCG Network with potential local and state funding sources . Guidance in the selection of staff members, including: a. Management team (executive director, supervisors and program managers) b. Administrative staff c. Specialists . Implementation of JAG's Data Management System to support tracking and reporting of program services and outcomes. ' . Assistance in the development of key program planning documents: a. Management Plan b. Staff Development Plan c. Employer Marketing and Job Development Plan d. Annual Pian . Assistance in launching and overseeing a successful Career Association (JAG's student-led organization). Associated costs: $500 (est.) On-Goina Technical Assistance . Telephone/email consultation on implementation and funding issues. . On-site program reviews to ensure that local programs and the statewide organization comply with the standards as set forth in the JAG Model and Program Applications. . Consultation on preparing for a JAG on-site accreditation visit (and mid-year reviews for new sites). . Preparation of an accreditation report that outlines strengths, areas of improvements, major and minor areas of non-compliance, and recommendations. . Assistance in implementing the recommendations by the site review team. . Assistance in conducting student events, i.e., Initiation & Installation, Leadership Conference, Career Development Conference. . Assistance in developing summer work-based learning experiences for program participants. . Consultation in launching follow-up services for participants. Associated Costs: $2000 Initial JAG Model Training Site visits/evaluation and technical assistance as required Traininq Services . On-site training for manager on implementation of JAG Model program. . On-site training for new Specialists on implementation of JAG Model and Program Applications. . Participation in periodic JCG statewide staff development seminars for supervisors and job specialists. . JAG's annual National Training Seminar (NTS) - includes dynamic and informational general sessions, best practices workshops, and networking opportunities for management and staff members. . JAG's annual Management Deveiopment Institute (MOl) designed for new and experienced managers. Designed to improve understanding of the JAG Model as well as develop and refine leadership, coaChing and management skills. . Refresher trainirig for those who implement the JAG Model. . Advanced training for those who wish to move beyond the "what" (of the JAG Model) and understand "why" the model works. . Participation in JAG's annual National Student Leadership Conference (NSLC), an intensive four-day leadership training conference for JAG youth. Associated Costs: $500 Statewide Staff Retreat: $300 per person for coordination and preparation; (specialist travel expenses not included) Coordination of JAG Conference workshops with needs of JCG local affiliates (included) -- Other Resources . Assistance in securing funding to expand the program to serve a larger number of at-risk youth and/or at- risk youth in earlier grades of high school. Associated Costs: $1500 (Includes design, development, and printing of marketing materials, technical assistance in developing funding proposals, development of curriculum, and all JAG Model Manuals) Data Manaaement System . Access to JAG'~ Data Management System (OMS) and training. . Ability to track program participant data, including: a. Student profiles b. Graduation rates c. Full-time and part-time employment rates d. Enrollment in postsecondary education and advanced training e. Military placements f. Non-seniors returning to school g. Placement and follow-up record h. Placement report . Development of national, state, site and school summary reports based upon DMS documentation. . Conduct Destination Verification Surveys using DMS documentation. (Random sampling is used to pull a 10% sample of all participants to determine if the destination reported on JAG data collection forms is accurate.) Associated Costs: $500 National Leadershio . Opportunity to provide input to the JCG state director on issues that are relevant to the continuation and growth of the JCG state network and the JAG national Network (Le. federal and state legislation, policy and procedures, social trends, work force trends, etc.) . Access to "work-based learning" opportunities with state and national employers. . Participation in annual "JAG Leadership Awards Event", a national visibility event attended by prominent corporate and government leaders, JAG national and state board members, staff, and youth from around country. Currently the event is held in Washington, D.C., with plans for a west coast event in the near future.
