THIS FIRST AMENDMENT TO CONSULT ANT AGREEMENT, is entered into on 'pn~~ q., .200', by and between Young Olympians, a California corporatio ("CONSULT ANT') and the City of Santa Ana, a charter city and municipal corporation of the State of Cali fomi a ("CITY"). Recitals: A The parties entered into an Agreement dated September 20, 2000, ("AGREEMENT") by which Consultant has instructed students in Youth Self Defense from September 21,2000 until January 5, 2001. B. In accordance with the terms and conditions of the Agreement, the parties wish to renew the Agreement for an additional six month period. Wherefore, in consideration of the covenants contained in the Agreement, and subject to all the terms and conditions of the Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Pursuant to Paragraph 3 of the Agreement, Consultant and City agree to renew the Agreement for six months, beginning January 8, 2001 and ending June 30, 2001. 2. Consultant shall continue to perform those services and accept payment as set forth in Exhibit A of this First Amendment, attached hereto. The total sum to be expended under this First Amendment to Consultant Agreement shall not exceed $1' ,000.00 during this renewal term. .. , IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Consultant Agreement on the date and year first written above. Consultant will prepare and instruct students in the techniques of Youth Self Defense and Safety Awareness and Youth Soccer for a period of six months, teaching classes periodically as follows: Self defense and Safety awareness classes will be held at the Memorial Recreation Center on Thursdays from January 8, 2001 - June 30, 2001, two sessions per week.. No classes will be held between December 25 - January 7, 2001, January 15,2001, February 19,2001 and May 28, 2001. B. Consultant will provide and be responsible for equipment, records, personnel and clean up of the facilities and material necessary to insure the effectiveness of said instruction. Class Size Registration A. The minimum number of participants is 25 per class, B. Registration shall be accepted up to the fourth week of classes. C. In the event the minimum number of enrollees is not realized by the second week of classes, the class shall be canceled and Consultant will be under no obligation to provide services, and City will be under no obligation to pay Consultant compensation. Fees A. The fee to participants shall be no more that $5.00 per week per enrollee, with a $4.00 registration fee to the consultant. No refunds shall be made to participants, unless class is canceled by the Parks, Recreation and Community Services Agency. B. City shall collect said fees from each participant in the class during the period of registration. Consultant shall not collect fees and refer participants to Center office. City agrees to pay Consultant seventy percent (70%) of the total fees within fifteen (15) working days after completion of said class period. City and Consultant agree that City shall retain thirty percent (30%) of the fees collected. C. Consultant agrees that City representative shall be entitled to audit Consultant's records to insure compliance with the Agreement. -. Estimate Contract Fees for six month (prior to 70/30 percent) Youth Self Defense class: Six months @ 25 students x $20 fee = $3,000 x 2 sessions = $6,000
