and between the CITY OF SANTA ANA, a charter city and municipal corporation duly organized ,::://1/
and existing under the Constitution and laws of the State of California, hereinafter referred to as
"Licensee," and Digital Map Products, hereinafter referred to as "DMP,"
RECITALS:
1. Licensee and DMP entered into that certain "Sublicense Agreement No. 9704001," dated April
1, 1997, hereinafter referred to as "said Agreement," setting forth the terms, scope and
conditions of the license granted to Licensee by DMP.
2. The parties hereto desire to amend said Agreement to grant Licensee a perpetual term license to
the County Parcel Landbase and to modify the license to upgrade the digital orthophotography
to be provided by DMP.
WHEREFORE, in consideration of their mutual and respective covenants hereinafter set forth,
and subject to the terms and conditions hereof, the parties hereto do hereby agree as follows:
A. Section 3, "Grant of Rights," of said Agreement is hereby amended to add the following
thereto:
At the conclusion of this Agreement, Licensee's rights to the County Parcel Landbase (Right of
Ways and Parcels) as listed on Exhibit "A" attached hereto, shall convert to a perpetual term
license. Future updates to the County Parcel Landbase will be available to Licensee at
prevailing rates and terms.
B. Exhibit "B," Option 3, "Upgrade Digital Orthophotography to 6 inch Pixel" of said Agreement
is hereby amended to read as follows:
Option 3 - Upgrade Digital Orthophotographv to 3inch Pixel
Digital orthophotography (2 foot pixel) included in the Licensed Product described in Exhibit
"A" can be exchanged for a single delivery of the same coverage at a higher resolution (3
inch pixel) for an additional fee of $126,875.00. Specific deliverables for this option are as
follows:
(1) Black & white digital orthophotography delivered in multiple images in GeoTiff format
per mutually agreeable tile scheme and one seamless image file covering the whole City
of Santa Ana in MrSid format
(2) Plots on high-quality photo paper (1"=100')
(3) Plots on reverse reading mylar (1"=100')
(4) Blue lines of mylar plots (3 sets)

(6) Four color mosaics mounted on \12" gatorboard (66"x 66")
(7) Three color mosaics mounted on 1/2" gatorboard (40"x 40")
C. Section 7.1, "License Fees and Payments," of said Agreement is hereby amended to read as
follows:
7.1 License Fees and Pavrnents.
(a) In consideration of the license rights granted in Section 3 above, Licensee shall pay
annual license fees for the Licensed Products as set forth in Exhibit "A", plus all applicable
taxes. The Licensed Products License Fees for both initial delivery and subsequent
maintenance updates shall be invoiced annually at the beginning of each contract year.
Licensee shall be invoiced for all Licensed Products in-full upon delivery and Licensee will
pay the invoiced amount to DMP in full within sixty (60) days from date of invoice.
(b) DMP's obligation for providing digital orthophotography (2 foot pixel) for years 1999,
2000 and 2001 shall be exchanged for Option 3 listed on Exhibit "B" attached hereto. The
additional fee for Option 3 shall be invoiced 50% ($63,437.50) upon option initiation with
progress billings not to exceed $103,985.00 before June 30, 2000. The remaining balance of
$22,890.00 shall be invoiced after June 30, 2000 unless funds can be made available sooner
at the Licensee's discretion. Ownership of the digital orthophotography shall be with
Licensee, allowing DMP non-exclusive rights of distribution in exchange for 50% royalty.
D. As amended hereby, all of the terms, covenants and conditions of said Agreement shall remain
in full force and effect, and the parties shall continue to benefit from and be bound thereby.

This product contains the cadastral GIS database utilized by
the County of Orange and maintained by the Orange County
Surveyors office. The product is based upon highly accurate
parcel and right-of-way elements complemented by other
related landbase themes. The following pages contain feature
tables which detail the product content.
