21 funds!o SUB GRANTEE as s.oon after receipt by COUNTY as is reasonably practiCllhle.
22 2. SUB GRANTEE shall use said grant funds only toacl;jliire personal property, .eqmpment,

24 functions, if any, fOr which Attachm:ents A andB hereto permit SUBGRANTEE to expend grant funds.
25 SUBGRANTEE shall provide COUNTY with ablidget breakdown signed by the authorizedageht.
26 3. Throughout their useful life, SUB GRANTEE shall use any personal property,
27 equipm~t, technology or supplies acqliired with grant fr!nds only fur those purposes permitted under the
28 terms ofthe gtlll1t, and shall make it available, if appropriate, for inutual aid response.

I 4. SUB GRANTEE shall exercise due care to preserve and safeguard persQllal property,
2 eqllipment, technology and supplies acquired with grant funds from damage or destruction and shall
3 provide regular maintenance and such repairs for sai,d personal property, equipment and technology as
4 are necessary, in order to keep said personal property, equipment and teohnology continually in good
5 working order. Such maintenance and servicing shall be the sole resp<msibility of SUB GRANTEE,
6 whj'ch shall pay for matenal and labor costs for any maintenance and repair 6f said personal property,
7 equipment and technology throughout its useful life.
8 5. SUB GRANTEE shall assume all continuation costs of said personal property, equipment,
9 technologys and/or service,s to 'include but not be limited to upgrades, licenses and renewals of said
10 personal property, equipment, technology or services.
II 6. If personal property, equipment, technolog)'or supplies acquired with grant
12 funds become obsolete, SUBGRANTEE shall dispose Of them only in accordance with the instructions
13 of COUNTY.
14 7. By executing this AgreeP1ent, SUBGRANTEE agrees to COP1ply with and be fully bound
15 by all applicable provisions of Attachments A and B hereto. SUBGRANtEE sha1l notifY COUNTY
16 immediately upon discovery that it has not abided or no longer will abide by any applicable provision of
17 Attachments A or B hereto.
18 8. SUBGRANTEE and COUNTY shall he subject to examination and audit by the State
19 Auditor General with respect to this Agreement for a period of three years after final payment
20 hereunder.
21 9. SUBGRANTEE agrees to indemnity, dllfend with counsel approved in writing by the
22 indemnitee, and save harmless COUNTY and the agency nom which COUNTY received grant funds,
23 and their elected and appointed officials, officers, employees and agents from any and all claims and
24 losses of any kind or nature, including but not limited to personal injury or property damage, arising
25 from or related to SUBGRANTEE's performance of this Agreement, including Attachments A and B
26 hereto. If judgment is entered against SUBGRANTEE and COUNTY or the agency from which
27 COUNTY received funds by a court of competent jurisdiction because of concurrent active negligence

I of COUNTY, COUNTY indem:nitees, Dr the agency from which COUNTY received grant funds, that
2 liability will be apportioned by the court. Neither PartY shall request jury apportionment.
3 10. No alteration Dr variation of the terms of this Ag(eement shall be valid unless made in
4 writing and signed by duly authorized representatives ofthe parties hereto, and no oral understanding or
5 agreement not incorporated herein shall be binding on any of the parties hereto.
6 11. SUBGRANTEE may not assign this Agreement in whole or in part without the express
7 written consent of COUNTY.
8 12. For a period of three years after final payment hereunder Or until all claims related to this
9 Agreement are finally settled, whichever is later, SUBGAANTEE shall preserve and maintain all
10 documents, papers and records relevant to the work performed or the property, equipment, technologies,
II services or supplies acquired in accordance with this Agreement, including Attachments A and B hereto.
12 For the SlllUe time period, SUB GRANTEE shall make said documents, papers and records available to
13 COUNTY and the agency frolIl which COUNTY received grant funds or their duly authorized
14 representative(s), for cxlllUination, copying, or mechanical reproduction on or off the premises of
15 SVBGAANTEE, upon request during usual working hours,
16 13. SUBGRANTEE shall provide to COUNTY lIJl reco,ds and inforn;tation requested by
17 COUNTY for ,incluslOn in quarterly reports and such other reports Dr records as COUNTY may be
18 required to provide to the agency from which COUNTY received grant funds Or other persons or
19 agencies.
20 14. COUNTY may k1lUinate this Agreement and be relieved of the payment of any
21 consideration to S,UBGRANTEE if a) SVBGRANTEE fails to perform any of the covenants contained
22 in this Agreement, including Attachments and B hereto, at the time and in the manner herein provided,
23 or b) COUN1Y loses funding undeI the grant. In the event of termination, COUNTY may proceed with
24 the work in any manner deemed proper by COUNTY.
25 15. SUB GRANTEE and its agents and employees shall act in an independent capacity in the
26 performance of this Agreement, including Attachments A and B hereto, and shall not be considered
27 officers, agents Dr employees of COUNTY Dr of the- agency from which COUNTY received grant funds.

RECOMMENDED ACTION(S)
I. Accept 2005 Buffer Zone Protection Program grant in the amount of $1 ,085,810 from the
Governor's Office of Homeland Security.
2. Authorize the Purchasing Agent to purchase equipment identified on Exhibit B, using a form of
purchase agreement not materially different than the standard County purchase order, except that
the Purchasing Agent is directed to return to the Board of Supervisors for approval in the event
that a vendor requires the use of non-standard terms and conditions or if the purchase agreement
is otherwise materially different than the standard County purchase order.
3. Authorize the Sheriff-Coroner to use such equipment for grant purposes at the facilities indicated
in Exhibit B.
4. Approve the form Agreement to Transfer Funds for 2005 Buffer Zone Protection Program GIant
Purposes and authorize the Sheriff-Coroner to complete the form agreement for each city that will
receive funding, and to execute said agreements on behalf of the County of Orange in order to
transfer grant funds, identified on Exhibit A, Grant Distribution 2005 Buffer Zone Protection
Program, to those cities listed on Exhibit A whose first responder is not the Sheriff-Coroner.
5. Direct the Auditor-Controller, upon the direction of the Sheriff-Coroner and receipt of an
executed Agreement to Transfer Funds for 2005 Buffer Zone Protection Program Grant Purposes
from a recipient city, to transfer funds obtained by the County pursuant to the 2005 Buffer Zone
Protection Program grant to each recipient city listed in Exhibit A, Grant Distribution 2005
Buffer Zone Protection Program, whose first responder is not the Sheriff-Coroner.

SUMMARY:
The Sheriff-Coroner requests that the Board accept the 2005 Buffer Zone Protection Program grant in
the amount of $1 ,085,81 0, approve the transfer of grant funds to other entities, and authorize the
purchase of grant-funded equipment.
BACKGROUND INFORMATION:
The Governor's Office of Homeland Security is distributing federal funding to local govenunents under
the 2005 Buffer Zone Protection Program (BZPP). The funding is to be used fOI costs of equipment
Ielated to enhancing the protection of identified Critical Infrastructure and Key Resources (CI/KR)
sites. CI/KR sites are potential terrorist targets that have been determined to be of national-level
importance in the areas of public health and safety, governance, economic and national security, and
public confidence. Within the Orange County Operational Area, 23 CI/KR sites have been identified and
approved for funding to develop protective measures to deter, prevent, prepare and protect the sites from
a potential terrorist threat or attack.
The 23 Orange County CI/KR sites, which were selected by the federal Department of Homeland
Security from a larger list submitted by the Orange County Operational Area and the Governor's Office
of Homeland Security, are all located within cities (see Exhibit A). The filst Iesponders for each city
(Sherifflcity police departments) have prepared Vulnerability Reduction Purchasing Plans for the
identified sites, which have been approved by the Governor's Office of Homeland Security and the
federal Department of Homeland Security. The grant funding is to be used to purchase equipment from
the Department of Homeland Security's 2005 Authorized Equipment List, pursuant to these plans. Four
ofthe sites are located within cities that are law enforcement contract partners with the Sheriff's
Department (Lake Forest, Laguna Hills, Mission Viejo and Stanton), and one site is the Orange County
Fairgrounds, which is also a contract partner. As the first responder for these five sites, the Sheriff's
Department will purchase and retain the equipment approved on their Vulnerability Reduction

Area, is administering and managing the grant and will therefore retain the 2.5 percent ($27,145) of the
total amount allocated ($1,085,810).
There is no match required for this grant. Budget adjustments are requested as part of this Board action,
plus authorization to purchase grant funded equipment, in order to expedite the purchase of this
equipment to avoid the possibility of equipment price increases, and so that all grant-funded equipment
is purchased, installed and in operation prior to the grant deadline of December 2006.

All costs are offset by grant revenue.
