SEVENTH AMENDMENT TO AGREEMENT
THIS SEVENTH AMENDMENT TO AGREEMENT (A-2003-226) is entered
into on June 28, 2006, by and between Securitas Security Services USA, Inc., a Delaware
corporation ("Consultant") and the City of Santa Ana, a charter city and municipal
corporation of the State of California ("City").
RECITALS:
A. The City entered into, Agreement # 2001-057, dated October 1,2001, with
Consultant by which Consultant has provided security guard services at the Santa Ana
Transportation Depot, Santa Ana Zoo at Prentice Park, City Hall and Corporate Yard
(hereinafter "said Agreement").
B. In accordance with the terms and conditions of said Agreement, the parties wish to
include a rate schedule for security guard services.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement and all Amendments thereof,
except those amended in this Amendment to Consultant Agreement, the parties agree as
follows:
I. Section 2, COMPENSATION, shall be amended to delete the reference to Exhibit A
to said Agreement and include a new rate schedule, attached hereto as Exhibit A-I.
Said section shall read, in full, as follows:
"City agrees to pay and Consultant agrees to accept, as total payment for its services,
the rates and charges set forth in Exhibit A-I, attached hereto. The total amount to be
expended to provide security services for the Depot at Santa Ana, Corporate Yard, Santa
Ana Zoo at Prentice Park and to provide security services during Homeland Security
Alerts and a continuous fire watch at City Hall, shall not exceed $313,040.00, during the
term from December 1,2005 through November 30,2006."
2. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this Seventh Amendment to
Consultant Agreement on the date and year first written above.
