Boh ~er A-2006-219 THIRD AMENDMENT TO AGREEMENT FOR PROVISION OF COMPUTER SUPPORT SERVICES THIS THIRD AMENDMENT made and entered into this 21 sl day of August, 2006, by and between the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of Cali fomi a ("City"), and Northrop Grumman Public Safety, Inc. ("Consultant"). RE.GIIAL.s A. The City and the Consultant entered Agreement A-2003-I88, dated September 2nd 2003, hereinafter referred to as "said Agreement", by which Consultant has provided service and maintenance for Digital Hardware operating systems software services. B. The parties hereto now desire to renew the Term and increase Compensation terms of said Agreement in order to provide continuous uninterrupted services under the terms of said Agreement. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: 1. Section 2, COMPENSATION, shall be amended to increase compensation in an amount not to exceed $75,000.00 during the term of this extension, 2. Section 3, TERM, shall be amended to extend the termination date for an additional one-year period, to terminate on August 31,2007. 3. Except as hereinabove modified, the terms and conditions of said Agreement and all Exhibits thereto remain unchanged and in full force and effect. DISCUSSION The Police Department entered into a one-year maintenance agreement with four one-year renewal options with Northrop Grumman Public Safety, Inc. (PSI) in September 2003 to provide maintenance services for computer software and equipment for the Computer Aided Dispatch (CAD) system. The CAD is the primary data communication tool for exchanging information between police dispatchers and patrol officers who provide emergency response to our community. The ability to continue to provide specialized maintenance on this system is critical to the overall effectiveness of police service. The PSI software is proprietary and can only be serviced by Northrop Grumman Public Safety, Inc. Police Department staff recommends the renewal of the agreement for continued maintenance, upgrades, and support for the CAD software. FISCAL IMPACT Funds are available in the Police Department's Computer Services, Contractual Services account (account no. 011-338-6291).
