DATE: 7-/a-D1p FIRST AMENDED AND RESTATED AGREEMENT FOR COLLECTION AND HANDLING OF CONSTRUCTION AND DEMOLITION DEBRIS GENERATED, PRODUCED AND/OR ACCUMULATED AT TEMPORARY CONSTRUCTION SITES IN THE CITY OF SANTA ANA A-2006-076 Ra- This FIRST AMENDED AND RESTATED AGREEMENT, made and entered into this . day of &k-t 1 2006 by and between the City of Santa Ana, a charter city and municipal corporation duly authorized under the Constitution and laws of the State of California (referred to herein as "City")," and USA Waste of California, Inc. (hereinafter "CONTRACTOR"). RECITALS 1. The Legislature of the State of California, by enactment of the California Integrated Waste Management Act of 1989, Division 30 of the California Public Resources Code, commencing with Section 40000 ("CIWMA"), declares that it is within the public interest to authorize and require local agencies to make adequate provisions for Solid Waste handling within their jurisdictions. 2. In the opinion of the City Council of the City of Santa Ana, the public health, safety and well being desire the recycling and reuse of construction and demolition debris and inert debris that may otherwise be disposed in landfills. 3. On October 3, 2005, CITY and CONTRACTOR entered into an agreement for such Solid Waste collection and handling (the "Original Agreement"). 4. Since the execution thereof, CITY and CONTRACTOR jointly concur that it would be in - ----the-bestinterest-of -the--CM—,-ts-Tesident-and-businessm-therehrdm he-Originat-Agreement-w- amended to extend the term of the Agreement and to ensure the fees charged to Customers remain affordable and competitive. 5. The Original Agreement is scheduled to terminate on June 30, 2008, and provides an option to extend the Original Agreement for an additional seven (7) years. 6. On April 3, 2006, the City Council of the City of Santa Ana voted to authorize a ten- year extension of the Original Agreement upon termination of the Original Agreement. The Parties hereto desire to amend the term of said Original Agreement until June 30, 2018. 7. In addition, the CITY hereby desires that the fees charged to Customers remain affordable and competitive. To effectuate this goal the CITY desires to incorporate a new term that will allow the CITY the flexibility to regularly evaluate the Customer rate. NOW, THEREFORE, for the reasons recited above, and in consideration of the respective and mutual covenants and promises hereinafter contained and made, and subject to all the terms and conditions hereof, the parties hereto do hereby agree as follows: PARAGRAH 2 of the Original Agreement is amended to read as follows: Y; u I I ►Y ; I ►YYI►t Y•► I F. The term of this Agreement shall begin upon execution of this Agreement and shall extend to June 30, 2018. PARAGRAPH 5 of the Original Agreement is amended by adding a new section "d" to read as follows: a. Hauling Rate CONTRACTOR shall charge rates for collection of C&D Debris that are no higher than those rates set forth in Attachment A. b. Rmcessing Rate CONTRACTOR shall pay Madison Materials for processing of C&D Debris rates that are no higher than those set forth in Attachment B. c. Adjustments The Hauling Rate and Processing Rate will be adjusted effective July 1 each year in an amount equal to 90% if the April Consumer Price Index for All Urban Consumers (base year 1982-1984 = 100) for Los Angeles -Anaheim -Riverside area, published by the United States Department of Labor, Bureau of Labor Statistics. In calculating new rates, the program surcharge and host fees shall be excluded from the rates before such adjustment (increase or decrease) is made. The CITY will take steps to ensure that the Hauling Rate and Processing Rate remain competitive with other Orange County facilities. Commencing in 2008, the CITY will conduct a rate comparison every three (3) years of surrounding Orange County facilities. The CITY will meet and confer with the Contractor to adjust rates to a level that is competitive with the market hauling and processing rates for the surrounding Orange County facilities. Except as expressly amended herein to extend the term of the agreement and to allow for a rate comparison, the Original Agreement shall remain in full force and effect. 2 IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and year fast hereinabove written.
