Home My WebLink AboutURS CORPORATION/EG&G 6A-2007 , A-2006-243-01 ~ 5 - ! - 0 '7 FEB 0 5 Z007 'D' ~b{J) /fb-S~) FIRST AMENDMENT TO CONSULTANT AGREEMENT THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into on January 2,2007, by and between URS Corporation, a Nevada corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement # A-2006-243, dated September 5, 2006, (hereinafter "said Agreement") by which Consultant has agreed to conduct a Homeland Security Exercise and Evaluation Program, collectively "Exercises". B. In accordance with the terms and conditions of said Agreement, the parties wish to amend said Agreement to clarify their intention that the City will pay the cost of the performance bond provided by Consultant. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 2.a., "COMPENSATION" shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A. City shall reimburse the cost of the Consultant's Performance Bond, in an amount not to exceed $9,500.00. The total sum to be expended under this Agreement shall not exceed $750,000 during the term of this Agreement." 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II , .
