FIRST AMENDMENT TO AGREEMENT

THIS FIRST AMENDMENT TO AGREEMENT, is entered into on February 22,
2007, by and between Doubletree Hotel Santa Ana/Orange County Airport (hereinafter
"Doubletree"), and the City of Santa Ana, a charter city and municipal corporation of the
State of California ("City").
RECITALS:
A. The parties entered into Agreement # N-2006-092, dated August 24, 2006,
(hereinafter "said Agreement") by which Doubletree agrees to provide event services
for the annual Santa Ana Police Department awards banquet.
B. The City has determined that the number of people attending the event has increased.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
increase the compensation available from City to pay for the event services.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
First Amendment to Agreement, the parties agree as follows:
1. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the
following:
"City agrees to pay, and Doubletree agrees to accept as total payment for its services,
the rates and charges identified in Exhibit A. The total sum to be expended by the
City and/or sponsors of said event pursuant to this Agreement shall not exceed
$18,000.00, collectively, during the term of this Agreement.
2. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
