HomeMy WebLinkAboutGLOBAL MESH TECHNOLOGIES 1-2007 " A-2007-033 f-/? -CJ 7 ..y-(~-07 0,' Pb(;{) THIS AGREEMENT, made and entered into this 5th day of February, 2007 by and ( ) between Global Mesh Technologies, a division of Large Screen Display Rentals, LLC H.s~ (hereinafter "Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). MOBILE WIRELESS NETWORK AGREEMENT RECITALS A. The City issued Request for Proposals 07-004 for a Mobile Ad-Hoc Network, seeking a regional wireless mobile ad-hoc system for use in first responder vehicles. B. In response to City's Request for Proposal, the Contractor submitted a written proposal dated January 22, 2007. C. City, acting through the Santa Ana Police Department in its capacity as a Core City for the Santa Ana Urban Area under the FY06 Urban Areas Security Initiative ("UASI"), has applied for, received and accepted a grant from the federal Department of Homeland Security, Office of Domestic Preparedness, through the State of California, Office of Homeland Security, to enhance countywide emergency preparedness, hereinafter referred to as "the Grant". D. Following the proposal evaluation process, the City has agreed to purchase and the Contractor has agreed to provide the City with a Mobile Ad-Hoc Wireless Network., initially providing Santa Ana police and fire first responders to exchange data, including documents, maps, photographs and videos. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES 1.1 The Contractor hereby agrees to provide all software, hardware and related services and materials to implement the CAMMSTM (Command Anywhere Mobile Mesh Software) to enable a totally secure, scalable mobile mesh network as set forth in the City's Request for Proposal 07-004, on file with the Santa Ana Police Department and incorporated by reference; Contractor's Scope of Work, attached hereto as Exhibit A and incorporated herein by this reference (the "Scope of Work"); and Contractor's Response to RFP 07- 004 Ad Hoc Wireless Network, attached hereto as Exhibit B and incorporated herein by this reference (the "Proposal"), all upon the terms, conditions and provisions of this Agreement. The City hereby agrees to purchase the system and related services and materials identified in the Scope of Work and the Proposal, all upon the terms, conditions and provisions of this Agreement. The parties agree that the proprietary CAMMS software, consisting of executable software, data and documentation is transferred to City as a license only, not sold to City. 1.2 The CAMMSTM system shall provide the following time and distance parameters for communication between and among the components: . Line of sight range for AP to AP communications will be a minimum of 300 feet with an expected range of 800 to 1500 feet, dependent upon terrain. . Contractor warrants mesh formation by up to 100 AP's at any single mesh event. . Remote cameras shall be connected via cat 5/6 cable to the DFK (deployable field kits) and provide a selectable frame rate of 15 or 25 FPS. Wireless connection between the DFK and standard AP will be the same as AP to AP under similar conditions. . Wireless 2.4 GHz remote cameras will provide a frame rate of 15 FPS. Range from camera to AP will be a minimum of200 feet. Operating time of the deployed camera will be a minimum of 5 hours at full charge. . DFK AP repeater battery operating time - ten (10) hours (4 hour recharge) DFK AP and camera battery operating time - eight (8) hours (4 hour recharge) 1.3 Form of Agreement. Incorporated in this Agreement by reference are: Exhibit A - RFP 07-004 Exhibit B - Scope of Work (with attachments) Exhibit C - Contractor's Proposal Exhibit D - Pricing In the event of any conflict or inconsistency among documents related to this Agreement, said conflict or inconsistency shall be resolved by giving precedence to this Agreement, followed by the Scope of Work, followed by the Contractor's Proposal. 2. COMPENSATION a. The City agrees to pay and Contractor agrees to accept as total payment for its services, including software, hardware and necessary devices, an amount not to exceed $350,000, as set forth in the Pricing list, attached hereto as Exhibit C and incorporated by reference. The Parties have agreed that pricing will be set at the 101 + unit pricing level. The total amount above shall be the maximum price to be paid to Global Mesh Technologies by the City, except as that price may be changed in accordance with approved Change Orders. b. Payment by City shall be made as follows: . 30% on execution of this agreement . 30% on installation of the equipment 2 . ~<( ~o 2Q"A on System Acceptance I 0% within 10 days of City's sign off of project which includes notification that all equipment has been delivered, installed and accepted. . c. Additional Equipment or Software. For one (I) year after the Effective Date, City may order additional equipment or software at the pricing level set forth in Exhibit B. Notwithstanding any additional or contrary terms in the order, the applicable provisions of this Agreement (except for pricing, delivery, passage of title and risk ofloss to equipment, warranty commencement and payment terms) will govern the purchase and sale of the additional equipment or software. Title and risk ofloss to additional equipment will pass at shipment, warranty will commence upon installation, and payment is due within thirty (30 days) after invoice date. Contractor will invoice City as the additional equipment is installed or software licensed. 3. TERM This Agreement shall commence on the date first written above, the "Effective Date". Unless terminated in accordance with Section 13 or extended by mutual agreement of the Parties, the term of this Agreement begins on the Effective Date and continues until the date of Final Project Acceptance or expiration of the Warranty Period, whichever occurs last. 4. SYSTEM ACCEPTANCE 4.1. COMMENCEMENT OF ACCEPTANCE TESTING. After installation of the equipment and software, Customer shall commence Acceptance Tests for a minimum of ten (10) business days. System testing will verify that the equipment functions fully within the time and distance parameters set forth in Section 1.2. Customer will notify Contractor promptly upon completion of acceptance tests. 4.2. SYSTEM ACCEPTANCE. System Acceptance will occur upon successful completion of the Acceptance Tests. Upon System Acceptance, the Parties will memorialize this event by promptly executing a System Acceptance Certificate. If the Acceptance Test Plan includes separate tests for individual Subsystems or phases of the System, acceptance of the individual Subsystem or phase will occur upon the successful completion of the Acceptance Tests for the Subsystem or phase, and the Parties will promptly execute an acceptance certificate for the Subsystem or phase. If Customer believes the System has failed the completed Acceptance Tests, Customer will provide to Contractor a written notice that includes the specific details of the failure. If Customer does not provide to Contractor a failure notice within thirty (30) days after completion of the Acceptance Tests, System Acceptance will be deemed to have occurred as of the completion of the Acceptance Tests. If Customer fails to provide notification pursuant to Section 4.1, above, system acceptance will be deemed to have occurred forty (40) days after installation of the equipment and software. 5. INDEPENDENT CONTRACTOR Contractor shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor 3 shall it be construed to create an employer-employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Contractor performs the services which are the subject matter of this Agreement; however, the services to be provided by Contractor shall be provided in a manner consistent with all applicable standards and regulations governing such services. Contractor shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. INSURANCE Prior to undertaking performance of work under this Agreement, Contractor shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Contractor shall maintain commercial general liability insurance naming the City, its officers, employees, agents, volunteers and representatives as additional insured(s) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Contractor's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1 ,000,000 per occurrence. Contractor shall supply City with a fully executed additional insured endorsement in substantially the form attached hereto as Exhibit E upon execution of this Agreement and shall be approved in form by the City Attorney. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non-owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Contractor, if Contractor has any employees, is required to be insured against liability for worker's compensation or to undertake self-insurance. Prior to commencing the performance of the work under this Agreement, Contractor agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. The following requirements apply to the insurance to be provided by Contractor pursuant to this section: 4 (i) Contractor shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. (ii) Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved in form by the City Attorney. (iii) Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. e. If Contractor fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not effect Contractor's right to be paid for its time and materials expended prior to notification of termination. Contractor waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. 7. INDEMNIFICATION Contractor agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, Contractors, special counsel, and representatives from liability for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the direct or indirect operations of the Contractor or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section I of this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Contractor further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. City shall indemnify, defend and hold Contractor, its representatives (including officers, directors, employees, consultants and agents) free and harmless from and against any and all claims, losses, costs, damages, expenses, including attorney's fees, and liabilities to any party arising from City's improper use of the products. 8. CONFIDENTIALITY If either party receives from the other party information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, the receiving party agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own 5 information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the receiving party disclosed in a publicly available source; (c) is in rightful possession of the receiving party without an obligation of confidentiality; (d) is required to be disclosed by operation oflaw; or (e) is independently developed by the receiving party without reference to information disclosed by the other party. 9. CONFLICT OF INTEREST CLAUSE Contractor covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 10. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M-30) P.O. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 11. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Contractor, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Contractor. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate Contractor nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 12. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Contractor, Contractor may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void, provided however, that Contractor may establish Global Mesh Technologies as a separate corporation and assign this agreement to such separate corporation. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other Contractors retained by City. 13. TERMINA nON 7 This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Contractor shall be entitled to receive and the City shall pay Contractor compensation for all services performed by Contractor prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Contractor to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Contractor consents to the City's use thereof for such purposes as the City deems appropriate. For purposes of this Section, work product includes only executable copies of the proprietary CAMMSTM software and does not include proprietary source code, trade secrets, documentation or data of the Contractor. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 14. DISCRIMINATION Contractor shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Contractor affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 15. JURISDICTION - VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 16. PROFESSIONAL LICENSES Contractor shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Contractor shall notify the City immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 17. RECORDS RETENTION Upon reasonable advance written notice to the Contractor and subject to the confidentiality provision contained in Section 8 hereof, the Contractor agrees to provide to the City, to any federal or state department having monitoring or reviewing authority, to City's authorized representatives and/or their appropriate audit agencies reasonable access to and the right to examine and audit records and documents necessary to determine compliance with 8 relevant federal, state, and local statutes, rules, and regulations, and this Agreement, and to evaluate the quality, appropriateness and timeliness of services performed; provided, however, that this right shall not be exercised unreasonably and shall be conducted during the Contractor's normal business hours and in such a manner as to minimize disruption of the Contractor's day to day operations. Contractor shall maintain and preserve all financial records relating to this Agreement for a period of three (3) years from the termination date of this Agreement, or until audit findings are resolved, whichever is greater. 18. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. The proprietary CAMMSTM software consisting of executable software, data and documentation is provided with Restricted Rights. Use, duplication or disclosure of the proprietary CAMMSTM software and documentation provided pursuant to this agreement shall be subject to the restrictions as set forth in subparagraph (b) (I) (ii) of the rights in technical data and software clause at DFARS 252.227-7013 or subparagraphs (c) (I) and (2) of the commercial computer software- Restricted rights at 48 CFR 52.227-19, as applicable. Contractor/manufacturer is Global Mesh Technologies, a division of Large Screen Display Rentals, LLC. 340 1 West MacArthur Boulevard, Santa Ana, California 92704. Box 1981 Santa Ana, CA 92702 The agreement number shall appear on all invoices. 2.24 Termination: Should the City enter into an agreement with a Proposer, each shall retain the right to terminate said agreement with ninety (90) days written notice. 3.0 Wireless Broadband Network Requirements The broadband network shall consist of all elements that are required to support the deployment of wireless mesh networking devices. The solution will be comprised of subscriber devices, a Network Management/configuration platform, and one or more Access Points and wireless routers to provide communication over the desired coverage areas via a mobile environment with no permanent or fixed infrastructure. 3.1 Architecture: The network shall support infrastructure meshing and ad hoc, peer-to-peer, client meshing. The network shall be automatically self- healing and support multi- hopping. End users in the network shall be able to form a robust and stand-alone broadband network in an ADHOC mode or environment. No infrastructure is required to make the connection between end users, providing a mode of operation, not requiring fixed infrastructure. The end users shall connect seamlessly throughout the coverage footprint without having to re-authenticate and re-associate with network elements. Furthermore, the transition between ad hoc and infrastructure based connectivity shall be transparent, not requiring any user intervention. The broadband network shall include access points and wireless routers that are capable of operating in both the 2.4 GHz band (unlicensed) and in the 4.9 GHz (licensed) public safety band in the same device. The client devices shall operate only in one frequency band (2.4 GHz or 4.9 GHz as specified by the operating municipality). Page lOaf 18 EXHIBIT Al " 'Ii v RFP 07-004 The broadband network shall have a method to manage interference. The network shall employ a protocol that supports full mobility for users at highway speeds up to 100 mph and manage hand-off routing without need to re-authenticate. The broadband network shall manage, analyze and react to the quality of the RF links between network elements to ensure that no dropped connections are experienced. The software shall be a Windows 2000 or Windows XP compatible product. It shall be deployable on-site at any location to non licensed or previously configured compatible hardware via a downloadable self extracting and self executable file. This file shall include a time based license allowing the device to join the Ad Hoc Wireless network for a period not to exceed 48 hours at which time the application becomes unusable. 3.2 Security: The network shall implement security measures at the application, data link and device layers of the communication hierarchy to prevent unwanted intrusion into the network. The provider shall describe the security measures included in their proposal. 3.3 Interoperability: The wireless broadband network components shall employ "open standard" Internet Protocol (IP) as the interface to all network elements and IP networks. 3.4 Supported Services: The wireless broadband network shall support data, voice, instant messaging (1M), mult~ user white boarding, live wireless video and the ability to drag and drop file, video, images and documents via a single wireless system. 3.5 Instant Messaging: Shall allow for real time or auto-saved for review at a later time. It will allow for an Instant Message (1M) to all , preset groups or individuals on the mesh. It will allow for the option of Text to Voice conversio n. It will display senders call signs and time of message. It will provide an audible tone upon receipt ofIM. 3.6 Whiteboard: Shall be real time. Allow multi or single user modes, blank page white boarding or white boarding over maps, images, plans. Page 11 of 18 EXHIBIT A2 " ~ v3.9 RFP 07-004 3.7 File Transfer: Shall be viewable to all on the mesh, or provide for restricted or password protected viewing. Will allow for a Drag and Drop method of transferring jpg, .gif, word, video, excel and .pdf files. All files will be automatically categorized by twe at each user. 3.8 Shared Video: Will allow for IP camera discovery, Live audio from camera. Shall allow users to assign discreet ID or names to the camera. Will provide concurrent or restricted viewing of wired or wireless cameras. It will work with any IP addressable camera. / / \./ Mobilitv: The wireless broadband network will be mounted in various first responder and emergency vehicles that will include, but not be limited to, police cars, fire trucks, Haz-Mat vehicles, command and support vehicles as well as portable/hand-held systems. The network shall support mobile users at speeds up to 100 mph. The responding vendors shall specify the actual speed their technology can support seamless handoffs without interruption of service and without using third party hardware/software. 3.10 Regulatory Compliance: The proposed system must be capable of operating in the licensed 4.9 GHz Public Safety spectrum. 3.7 Wireless Broadband Network Requirements: The system shall be scaleable to any number of users and access points/wireless routers. . The system shall support file transfers of video images and streaming video. . Self- forming and self- healing wide area wireless mesh routing providing increased network availability and robustness. . Mobile soft hand-off (make before break connections delivering seamless mobile networking). . Ad hoc/Peer-to-Peer networking capability for enhanced on-scene incident management with zero infrastructure requirements. . Infrastructure meshing to create a wide-area wireless broadband backhaul. . Non-line of sight broadband connectivity support (achieved with hopping). Page 12 of 18 EXHIBIT A3 RFP 07-004 . Support for synunetric data rates on the uplink and downlink. . Scaleable to support system expansion. 3.8 Vehicle Client Requirements . The equipment input power requirement is 5-15 VDC. . The current drain shall not exceed 1.0 amps. _. The equipment shall not consume more than 15 watts. _. The power connection shall be a 12 VDC cable with inline fuse. . The equipment shall operate over a temperature range of 0 to +55 degrees Celsius. . The equipment slnll be certified under FCC UNIT 31 SM. . The equipment shall have a 10/100 Mbps Ethernet interface with RJ45 sealed Ethernet boot connector. . The equipment shall operate in the 2.4 GHz and the 4.9 GHz frequency bands. . End users in the network shall be able to form a robust and stand-alone broadband network among themselves. No infrastructure is required to make a connection between end users, providing an infrastructureless mode of operation. Every device shall function as both a modem and router transceiver. 3.9 Wireless Client Card Requirements . The wireless client card shall comply with the PC Card form factor as specified by PCMCIA. . The wireless client card shall draw no more than I amp. . Scope Prices quoted are for acceptance within thirty (30) days from date of quotation unless otherwise stated. The terms and conditions of sale set forth below apply to all quotations made and purchase orders accepted by Seller. 2. Acceptance of Orders All orders are subject to acceptance by authorized officials at Seller's division or subsidiary offices. 3. Scheduling Shipping dates are approximate and are based upon prompt receipt of all necessary information. Buyer shall furnish to Seller written shipping instructions is sufficient time to permit SeHer to make shipment at Seller's option within any time or times herein specified for shipment. In the event of a delay in delivery due to any reason described in Section 16 below the delivery date shall be deferred for a period equal to the time lost by reason of delay. In the event such delay shall continue for more than two weeks then at Seller's option. The order will be deemed cancelled without liability to Seller. 4. Quantities Seller reserves the right to ship quantities of the quantity specified by Buyer, and Seller shall not be liable for any over shipment or under shipment within this limit. In the event of any over shipment with this limit, Buyer shall pay for the actual quantity shipped. 5. Delivery and Transportation Seller's delivery dates are approximate. Seller shall not be liable for delays in delivery or other defaults in performance of this order arising out of causes beyond Seller's control. Unless other wise agreed to in writing by Seller, delivery of the products hereunder shall be made F.G.B. at the point of shipment with delivery to the initial carrier to constitute delivery to the Buyer. Title to products passes to Buyer and products are at risks of Buyer from and after delivery to the initial carrier. Transportation expenses will be paid by Buyer from and after delivery to the initial carrier. Transportation expenses will be paid by buyer and risk of loss, shortage, delay, or damage to products in transit shall fall upon Buyer, whose responsibility it shall be to file claims with the carrier. 6. Terms of Payment Invoices are due and payable thirty (30) days from the date of invoice unless other terms are shown on the face hereof. At 1 1/20/0 carrying charge will be due on the date when Seller is prepared to make shipment. If the work covered by the purchase order is delayer by the Buyer, payments shall be made based on the purchase price and the percentage of completion. Taxes Prices do not include foreign or domestic sales, use, excise, or similar taxes. Consequently, in addition to the prices specified herein, the amount of any present or future sales, use, excise or other general or specific tax, or imports, duties or penalty or other governmental charges fixed or imposed by any lawful authority(s) upon or applicable to the production, sale, shipment, delivery or use of the products sold hereunder shall be added to the price and be paid by Buyer Of, in lieu thereof, Buyer shall provide Seller with a tax exemption certificate acceptable to the taxing authorities. If such tax is paid by Seller, Buyer shall reimburse Seller upon presentation of invoice. 8. Warranty Seller warrants the products manufactured by it to be free from defects in material and workmanship only. The extent of Seller's obligation hereunder is to either repair of replace its work or the defective products, F.G.B. SeHer's plant, if returned within 12 months after the date of delivery. No allowance will be granted for repairs or alterations made by Buyer without Seller's written approval. The warranty shaH not be construed to cover the cost of any work done by Buyer on material furnished by Seller or the cost removal or installation of product. Products and parts not manufactured by Seller are warranted only to the extent and in the manner that the same are warranted to Seller by Seller's vendors and then only to the extent Seller is able to enforce such warranty. There is no other warranty, expressed or implied or by law. THE FOREGOING STATES THE SOLE AND EXCLUSIVE WARRANTY OF SELLER. THE WARRANTIES STATED IN THIS PARAGRAPH ARE IN LIEU OF ALL OTHER WARRANTIES, WRITTEN OR VERBAL, STATUTORY, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILlTY AND FITNESS FOR A PARTICULAR PURPOSE, WORKMANUKE EFFORT, TITLE AND NON-INFRINGEMENT, WHICH ARE HEREBY DISCLAIMED. Seller's agreement to sell products is made upon the condition and agreement that, with respect to the products, there have been no representations or undertakings made by or on behalf of Seller and Seller makes no guarantees or warranties, expressed or implied, in fact or in law, except as expressly stated above. 9. Limitation of Liability Seller shall not be responsible, obligated, or liable for any injury or damage resulting from an application or use of its products, either singly or in combination with other products. SELLER'S SOLE LIABILITY FOR BREACH OF WARRANTY OR ANY OTHER CLAIM SHALL BE LIMITED TO REPAIR OR REPLACEMENT OF THE PRODUCTS OR RETURN OF THE PURCHASE PRICE AT SELLER'S SOLE OPTION. SELLER SHALL NOT BE LIABLE FOR DAMAGES, INCLUDING BUT NOT LIMITED TO CONSEQUENTIAL OR SPECIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE PRODUCTS OR ARISING OUT OF ACCEPTANCE OF THIS ORDER.. 10. Acceptance of Products Products will be deemed accepted without any claim by Buyer unless written notice of non- acceptance is received by Seller within 30 days of delivery if shipped F.O.B. point of shipment, or 10 days of delivery if shipped F.O.B. point of destination. Such written notice shall not be considered received by Seller unless It is accompanied by all freight bills for such shipment, with agent's notations as to damages, shortages and conditions of equipment, containers and seals. Non-accepted products are subject to return policy stated below. 11. Damages to Returned Products If buyer elects to return product(s) to Seller for refurbishment, Buyer agrees to accept all risk of damage or destruction of such returned product{s), and Seller shall not be liable for any failure or inability on the part os Seller to complete refurbishment upon any such returned products. 13. limitations of Actions Irrespective of whether Seller agrees to perform field start-up or any other service after the delivery of the product, all claims or actions must be brought within one (1) year of date tender of delivery, or 18 months of Buyer's order, jf no tender of delivery is made notwithstanding any statutory period of limitation to the contrary. 14. Patents Buyer shall hold Seller harmless against any expense or loss resulting from infringement of patents of trademarks arising from compliance with Buyer's design, specifications, or instructions. The sale of products or parts thereof by Seller does not convey any license by Implication, estoppels, or otherwise under patent claims covering combinations of these products or parts with other devices or elements. 15. Copyright All title and copyrights in and to the CAMMS product(s) (including but not limited to any images, photographs, animations, video, audio, and text incorporated into the CAMMS product(s), the accompanying printed materials, and any caples of the CAMMS product(s), are owned by Global Mesh Technologies, a division of Large Screen Displays Rentals LLC or are available in the publiC domain. 16. Financial Responsibility If in the sole judgment of Seller the financial resources of Buyer become impaired or unsatisfactory at any time during the term of the agreement between parties, then Seller may require of Buyer a deposit or suitable security or margin for performance by Buyer in such amount or amounts from time to time as Seller shall specify. Upon requirement of deposit, Buyer shall make such deposit not later than the dose of Seller's next business day. If Buyer fails to make such deposit, then Seller may at its option (1) cancel the agreement between the parties or the undelivered portion thereof, in which case Buyer agrees to pay Seller the difference between the market price on date of cancellation and the contract price; (2) reseH at any time for Buyer's account all or any undelivered portion of the products, in which case Buyer agrees to pay Seller the difference between the resale price and the contract price, or (3) otherwise change the terms of payment. In the event Buyer shall be or becomes insolvent, or admits in writing Buyer's debts as they mature, or if Buyer shall make an assignment with creditors or if there are instituted by or against Buyer proceedings in bankruptcy or under any insolvency laws or for reorganization, receivership or dissolution, Seller may terminate the agreement between the parties at any time and without notice. 16 3401 W. Force Majeure In the event of war, fire, epidemics, quarantine restrictions, flood, strike, labor trouble, breakage or equipment, accident, riot, the imposition of any government price control regulation or any other act of governmental authority, acts of God or other contingencies (whether similar or dissimilar to the foregOing) beyond the reasonable control of the Seller, interfering with the production, supply, transportation, or consumption practice of Seller at the time respecting the products covered by the agreement between the parties or in the event of inability to obtain on terms deemed by Seller to be practicable any raw material (including energy source) used in connection therewith, quantities so affected shall be eliminated from the contract without liability, but the contract shall otherwise remain unaffected. Seller may during any period of shortage due to any of these causes, allocate its supply of such raw material among its various uses therefore (e.g. manufacturing and sales) in such manner as Seller deems practicable and allocate its supply of such products among such various uses thereof in any manner which Seller deems fair and reasonable. 18. Reasonable Attorney's Fees In the event suit or other proceeding shall be brought for the recovery of the purchase price, or any unpaid balance or the breach by Buyer of any term of the agreement between Seller and Buyer, Buyer shall pay to Seller in addition to any damages provided by iaw, reasonable attorney's fees and costs of collection. 19. Security Title Security title and right of possession of the products sold hereunder shall remain with Seller until all payments due from Buyer to Seller (Including deferred payments whether evidenced by notes or otherwise) shall have been made in cash and Buyers agrees to do all acts of necessary to perfect and maintain such security right and title in Seller. 20. Cancellations Buyer may cancel an order only upon written consent and upon payment to Seller of cancellation charges, which shall take into account among other things expenses incurred and commitments already made by Seller, and Seller's profit margin. The agreement between Buyer and Seller and matter connected with the performance thereof shall be construed in accordance with and governed by the law of the State of Seller's accepting offices, as referenced in Section 2. and shall be construed to be between merchants. b. Any assignment of the agreement between Buyer and Seller or any rights or obligation of the agreement by Buyer without written consent of Seller shall be void. c. Except as may be expressly provided to the contrary in writing, the provisions of the agreement between Buyer and Seller are for the benefit of the parties hereto and not for any other person. d. No waiver by Seller of any breach of any provision of the agreement between Buyer and Seller will constitute a waiver of any other breach. e. The terms and conditions set forth above contain all of the representations, stipulations, warranties, agreement between Buyer and Seller, and its execution has not been induced by any representation, stipulation, warranty, agreement, or understanding (including any course of prior dealings between the parties hereto) of any kind other than those set forth above. f. No amendment, addition to, alteration, modification, or waiver of all or part of the agreement between Buyer and Seiler shail de of any force of effect unless in writing and signed by Seller. If the terms and conditions set forth above conmct with those of any purchase order of Buyer written in connection with the sale of the products or any portion thereof, then the terms set forth above shall govern. g. Arbitration.
