ASSIGNMENT AND ASSUMPTION AGREEMENT
THIS ASSIGNMENT AND ASSUMPTION AGREEMENT ("Agreement") is
entered into this 16th day of April, 2007, between the City of Santa Ana, a charter
city and municipal corporation organized and existing under the Constitution and
laws of the State of California ("City"), and the Community Redevelopment
Agency of the City of Santa Ana, a public body corporate and politic ("Agency").
RECITALS:
A. City and Le Plastrier Development Consulting Group, Inc.
(hereinafter "Le Plastrier") entered into Consultant Agreement N-2006-1 08, dated
October 30, 2006 (hereinafter "said Agreement"), by which le Plastrier agreed to
provide a performance review of the Olson Company Disposition and
Development Agreement for the Benefit of the City of Santa Ana and the
Community Redevelopment Agency of the Santa Ana.
B. Subject to the consent of le Plastrier, City desires to assign
to Agency, and Agency desires to assume, all rights, duties, and obligations
under said Agreement.
NOW THEREFORE, THE PARTIES AGREE AS FOllOWS:
1. City hereby assigns and transfers to Agency, City's rights,
duties, and obligations under said Agreement. However, City shall be provided
with le Plastrier's Summary Report, as set forth in Exhibit A to said Agreement
and shall be entitled to utilize said report in any manner deemed necessary by
City.
2. Agency hereby agrees to assume all rights and to perform all
duties and obligations of the City under said Agreement.

TO EFFECTUATE THIS AGREEMENT, the parties have caused
this Assignment and Assumption Agreement to be executed by their duly
authorized representatives as of the date set forth below the authorized
signature.
