RECITALS A. The City desires to retain a Contractor having special skill and knowledge in the field of high-level park landscape maintenance comparable with standard industry practice. B. Contractor represents that Contractor is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Contractor shall perform landscape maintenance services for Santa Ana Parks, District 2, as set forth in City's Request for Proposal 07-031, dated April 19, 2007, on file with the City Clerk and to this Agreement incorporated by reference, and Contractor's Proposal dated May 21, 2007, attached as Exhibit A to this Agreement. Said maintenance includes the baseball/softball diamond maintenance, which Contractor has subcontracted to Major League Softball. 2. COMPENSATION a. City agrees to pay, and Contractor agrees to accept as total payment for its services, the rates and charges identified in Exhibit A. The total sum to be expended under this Agreement shall not exceed $314,549.00, annually, during the term of this Agreement. b. Payment by City shall be made within thirty (30) days following receipt of proper invoice evidencing work performed during the prior month, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by City. 3. TERM This Agreement shall commence on the date first written above and terminate on June 30, 2009 unless terminated earlier in accordance with Section 12, below. The term may be extended for three additional one-year terms at the sole discretion of the City. 4. INDEPENDENT CONTRACTOR Contractor shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer -employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Contractor performs the services which are the subject matter of this Agreement; however, the services to be provided by Contractor shall be provided in a manner consistent with all applicable standards and regulations governing such services. Contractor shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 5. INSURANCE Prior to undertaking performance of work under this Agreement, Contractor shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Contractor shall maintain commercial general liability insurance naming the City, its officers, agents, volunteers, and employees as additional insured(s) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Contractor's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1,000,000 per occurrence. Contractor shall supply City with a fully executed additional insured endorsement in substantially the form attached hereto as Exhibit B upon execution of this Agreement and shall be approved in form by the City Attorney. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Contractor, if Contractor has any employees, is required to be insured against liability for worker's compensation or to undertake self-insurance. Prior to commencing the performance of the work under this Agreement, Contractor agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. The following requirements apply to the insurance to be provided by Contractor pursuant to this section: (i) Contractor shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. (ii) Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved in form by the City Attorney. (iii) Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. e. If Contractor fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not effect Contractor's right to be paid for its time and materials expended prior to notification of termination. Contractor waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. 6. INDEMNIFICATION Contractor agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, Contractors, special counsel, and representatives from liability: (1) for personal injury, damages, j ust compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the direct or indirect operations of the Contractor or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Contractor further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. 7. CONFIDENTIALITY If Contractor receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Contractor agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Contractor disclosed in a publicly available source; (c) is in rightful possession of the Contractor without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Contractor without reference to information disclosed by the City. 8. CONFLICT OF INTEREST CLAUSE Contractor covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 9. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M-30) P.O. Thereafter, any communication shall be addressed and transmitted to the new address. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 10. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Contractor, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Contractor. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, that terms and conditions hereof, shall not bind or obligate Contractor nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 11. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Contractor, Contractor may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other Contractors retained by City. 12. TERMINATION AND DAMAGES This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Contractor shall be entitled to receive and the City shall pay Contractor compensation for all services performed by Contractor prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Contractor to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Contractor consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. c. Material Breach: If the Director determines the Contractor has failed in the performance of its duties and/or schedule as provided, the Director may consider the Contractor in material breach. City may exercise all remedies in law or equity including but not limited to: 1) withholding all or a portion of payment owed, and/or forfeiture for any delay from non- performance 2) directing the work be accomplished by either City employees or another contractor, as determined by the Director. Contractor shall be responsible for all costs resulting from breach, including incidental and consequential damages. d. PUTATIVE DAMAGES: Because of the unknown nature of damage, failure of the Contractor to have the Irrigation Specialist either performing or supervising irrigation system repairs or modifications shall result in $150.00 per occurrence being deducted as damages from the next monthly invoice. 13. DISCRIMINATION Contractor shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Contractor affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 14. JURISDICTION - VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 15. PROFESSIONAL LICENSES Contractor shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Contractor shall notify the City immediately and in writing of her inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 16. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. CrQ 0) 0 :3 cu > 1L) z m ou m 4D WORK STATEMENT AND QUALITY CONTROL PLAN Merchant's landscapes methodology and technical approach to this Contract will be a follows. 1) Prior to start of contract, Merchants will bring to the cities attention any outstanding deficient conditions in the form of a punch list. This list will include irrigation, weeds, plant health problems and any condition not in compliance with the Contract we are accepting. The Branch and Area manager will be involved in this report. 2) Merchants will train staff to the specifications detail in each item of our new contract. This will cover proper trimming, mowing, traffic safety, trash pick up, etc to assure a smooth start and future with the city. -3) Merchants will review our initial schedule attached in this contract with the inspector to maximize efficiency._____ 4) DailyMeekly meeting at the convenience of the inspector will be set up by the area manager to track all proposed and completed work. 5) Irrigation staff will perform system checks and repairs weekly and notify the city of all work performed. 6) Our quality control program will be performed by the area manger and turned into the city inspector at his request. We have attached a copy and the standards for this program in this proposal for your review. 7) Additionally, monthly meetings with the Branch Manager will be held to assure the level of service is consistent with the contract and any issues are addressed. Approximate Annual Contract Value: $10,360.00 Page 6 BALL FIELD MAINTENANCE OPERATIONAL PLAN Overview of the MLS Ball Field Maintenance Division Major League Softball, Inc. (hereafter "MLS') has provided municipal agencies with a vast array of tailored ball field maintenance programs since 1992. MLS's "Ball Field Maintenance Division" is managed by Patrick May, our full time, dedicated Director of Field Maintenance Operations. The MLS Field Maintenance Division is divided into five (5) geographic "Areas" in Southern California and each "Area' has a dedicated "Area Lead" (refer to the attached "Field Maintenance Division Organizational Chart"). Each Area Lead is fully equipped to perform every aspect of the infield maintenance services specified in the City of Santa Ana's Request for Proposals. However, the key ingredient in MLS's success is that Area Leads are "free to roam and inspect' the work of their crew members, referred to as Tractor Operators ("TO's"). Area Leads are also available to "fill in" if there is emergency involving a TO. For quick access and optimal communication, every Area Lead and TO are required to carry a working cell phone at all times. Presently, the five (5) Area Leads oversee a total of ten (10) TO's assigned a set of fields each day that are referred to as "TO routes". The Director is directly responsible for all initial and followup training and also spends a great deal of his time inspecting the work of the Area Leads and their TO's. The Santa Ana contract will be assigned to MLS's "Central Orange County Area" and the work will be managed on a day to day basis by Area Lead Zack Riggan. As this is an extremely important contract to MLS, `the :Director will also be highly involved with the daily operational details and weekly cetmgs< = £" MIS understands that the ball diamonds in Santa Ana are used by a variety of groups which Have diverse needs. For example, the regulation baseball field at Memorial Park is used for highly competitive High School baseball play and must be maintained at a standard acceptable -to a demanding coaching staff. In any City where there are a large number of fields, the infield maintenance contractor has to possess the experience, equipment and staff to handle complicated logistics, unique situations involving third party user groups and unforeseen emergencies. After 21 years in business serving more than 20 municipalities simultaneously at all times, MLS is eminently qualified to meet the City of Santa Ana's challenges. Routine Maintenance Program Major League Softball, Inc. ("MLS") will employ the following maintenance plan to address the Daily, Weekly, Bi-Monthly and Annual tasks ball fields defined in the City of Santa Ana's Request for Proposals for the twenty-three (23) infields specified: The Daily Routine Maintenance Program will take into account that specific locations (referred to as "high -impact areas") on each ball field endure heavy use and thus require special attention. High -impact areas such as batter's boxes, catcher's and umpire's places behind home plate, the pitcher's mound, the base paths, and the sliding areas around the base anchors will receive additional watering and scarifying on a daily basis; and traction material will be added when needed. The Routine Maintenance Program consists of the following steps that are performed on a daily basis: Major League Softball, Inc. Management Plan City of Santa Ana Infield Maintenance 1) Using a gas powered leaf blower or push broom, dugouts will be swept daily. Infield mix will be returned to the infield area and unwanted trash and debris will be disposed of in a proper trash receptacle. (Leaf rakes will be used to ensure maximum trash/debris removal.) 2) All perimeter edges where infield mix meets grass or fencing will be hand raked using a landscape rake. 3) Base anchors, plates and pitching rubbers will be checked for wear or damage. Then, using a landscape rake, any displaced infield mix material in high -impact areas (as defined above) will be backfilled in low areas. 4) The entire traction area will be pre -watered in preparation for dragging. 5) Using a John Deere 1200 ball field conditioner, the grading/leveling attachment will be employed to evenly distribute traction material over the entire traction area surface of the infield while at the same time a "finishing" or "chain" drag will be pulled over the entire traction area surface to leave a smooth or "polished" surface. (Special attention will paid to varying the drag pattern, lifting the drag off the field while the drag is in a high impact area and raking out Ahe spot where the drag is removed from the infield surface. — -—b).---Panalwateri-,ntire-tmctionareaotmileldsurtaceandappiyaawttonai-water_to-aiwirnenign. impact areas: >- 7) Walk the entire field and address any "detail" items that may have arisen such brushing or washing back displaced infield mix from the previous evening's play or using a leaf rake to brush back infield mix that has been carried off the infield into the grass with the JD 1200 tires or a hose. MLS will dedicate two (2) TO's to perform the daily routine described above during the seven (7) "peak" months. The Area Lead will also visit Santa Ana every day to inspect the work and to address any questions or concerns raised by either the General Contractor or City staff. The Area Lead will have a complete "rig" containing a John Deere 1200 and all the necessary hand tools so there will be three (3) fully outfitted rigs in Santa Ana every day during the "peak' months. During the five (5) month "off peak" period, MLS will dedicate one TO for daily routine services and the Area Lead will continue to spend a part of every day in Santa Ana to inspect the work and to assist the TO as needed. Therefore, MLS will ensure that there are two (2) fully outfitted rigs in Santa Ana every day during the "off peak" months. It should be noted that MLS has additional rigs in nearby cities such as Irvine and Orange and can call upon TO's from these areas in the event of an emergency or unforeseen circumstances. MIS has a full scale Area Office in the City of Orange at Hart Park and will stage all Santa Ana operations from its Orange County Area office. Major League Softball, Inc. Management Plan City of Santa Ana Infield Maintenance Specialized Weekly, Monthly and Mowing Programs MLS will dedicate an experienced staffmember (the Director or Area Lead) to handle the specialized tasks associated with border edging, infield mowing, periodic turf aeration and fertilization, and irrigation control ler management. This staffmember will be equipped with a gas powered edger, Tru Cut reel mower, walk behind piston type aerator and a mechanical broadcaster. It is important to understand that the staff member charged with this responsibility will be a highly skilled individual that will be adept with leaving clean, straight borders and will be experienced and knowledgeable with turf maintenance techniques. These tasks will not be performed by the Tractor Operators assigned to provide the Routine Maintenance Program. This way, both routine and specialized services will be rendered at an unsurpassed level of quality and will be consistently performed on schedule. Bi-Monthly Tasks Using either a Kubota 2700 or 4100 tractor, both equipped with customized scarifying tines and a 3 point grading box, scarify each infield surface to a depth of %s inch. Then using the grading box, "float" the infield surface to remove areas that are high and ensure a level playing surface. When the floating process is complete, the infield mixed will be heavy watered to ensure proper compaction prior to use, This task will be performed by the Director or an Area Lead and will be completed based on the time schedule prescribed by City staff. _ _ Annual Tasks LL As one of the State's 3argesfpurchasers of West Coast Sand and Gravel's products, MLS will provide the infield mix materials specified in the RFP during December each year at the most competitive prices obtainable. MLS has already locked in pricing for the next year and West Coast is warranting that the material will be delivered to MLS on demand. After the infield mix has been delivered and dump spread, the Director will laser level each field using one of MLS's Kubota tractors outfitted with a 3 point grading system and dual cone laser. Management Plan City of Santa Ana Infield Maintenance Solutions to Unspecified Problems MLS has been operating for seven (7) years as a sub -contractor to Artistic Maintenance providing an almost identical scope of work in the City of Irvine. As most people in this industry are aware, the City of Irvine holds contractors to some of the most rigidly high standards anywhere and MLS has met those standards for more than 11 years across three different contract terms. Generally speaking in this type of arrangement, sprinkler line breaks and/or sprinkler head problems are repaired by the entity that is responsible for the upkeep of the irrigation systems. If a sprinkler line or head repair is caused by an MLS crew member, MLS will take responsibility and repair the problem immediately at no charge. In cases where a quick coupler breaks or is partially open and leaking due to rocks or debris MLS will repair the coupler and will invoice the work at the contractually defined "Special Service" Call Out rate. Parts and consumables will be invoiced at cost and paid receipts will be submitted with the invoice. MLS staff are capable of repairing sprinklers in emergency cases and can assist in emergency situations. Bid Pricing and Payment Terms The prices provided herewith will be firm for the first two (2) years of this contract. As mentioned earlier, this is an important contract to MLS because of Santa Ana's juxtaposition and other market factors. The area of landscaping immediately south of the drive entrance off Fairview Street is also part of this agreement. The landscaping immediately adjacent to the school parking structure shall not be a part of this agreement. d) Cabrillo Tennis Center — The vacant lot to the south is the Contractor's responsibility. e) Fisher Park — fire pits shall be cleaned by the Contractor daily. f) Santiago Park Lawn Bowling Greens — Contractor shall be required to mow both greens three times per week using a real mower provided by the City. What amount, on the average, has City withheld from contractors in the past for failure to perform? Do not have specific dollar amount at this time. It is assumed that the contractor chosen will perform high quality work and will possess the resources to meet the minimum specifications. Does the Parks, Recreation & Community Services Agency have the capacity to push through a bid that isn't the lowest? Yes. The Parks and Recreation Agency has selected the RFP process, as opposed to a bid, as the procurement tool to select the landscape contractors. --- Page 12 — Section F: Has the City been in contact with the recommended subcontractors for the ball diamond maintenance firms referenced in the RFP? Are we limited to subcontract with just these two firms? City staff chose the two firms based on past experience with these two highly qualified firms. Staff will inform the two ball diamond maintenance firms that they have been recommended in the RFP, but contractors are not required to subcontract with either firm. If an alternative subcontractor is chosen, the contractor must be able to demonstrate their qualifications and past performance in this field (prequalified). The same insurance requirements required by the Cityfor the contractor shall also apply to the selected subcontractor. Why doesn't the City subcontract directly with the two ball diamond maintenance firms? We elected to incorporate this requirement into the agreement to facilitate the administration of the multiple landscape contracts in the parks. Page 13,14, & 15 — Optional Add -on Sites: Are contractors going to be required to bid on both optional add - on sites? Yes. It will help City staff in terms of budgeting. Please put down your best price. If your price includes deviations, i.e., annual CPI increases, so state in the Deviations Section. Page 18 — Item J: Does Santa Ana use reclaimed water at park sites? Veryfew parks in the City have reclaimed water. Page 19 — Item Ic: Is the requirement for contractor to plant new groundcover where needed inclusive in the cost of the overall agreement? Yes. This requirement is inclusive in the base bid. When does the City intend to start the contract? Contract effective date will be determined once the contract is awarded. The contract has to go to City Council for approval first. Midori Gardens, the current contractor, will fill in the gap until the new contract is in place. The City anticipates an August I" start-up date. Page 19 - Item If- Does the City require mulch on the tree wells? No. Page 20 — Item 3b: Is an Irrigation Specialist required to perform irrigation checks? Yes. These are engineered systems, and as such, the City is looking for a better maintenance process. Successful contractor will need to show that they have qualified staff to maintain our irrigation systems. Page 21— Item la: Will Dail mowers be required in open turf areas? Yes. The City is open to proposals for large rotary mowers as an alternative; however, contractor will need appropriate equipment to mow the parks. The City, however, will not accept the substitution of real mowers on priority turf. (Proposers may attach a separate sheet that identifies the type of mowers that they plan to provide.)
