THIS SECOND AMENDMENT, ~s made and entered mto this 3 day of
December, 2007, by and between Parsons Brinkerhof, doing business as "PB Americas,
Inc.", a New York corporation (hereinafer "Consultant"), and the City of Santa Ana, a
charter city and municipal corporation organized and existing under the Constitution and
laws of the State of California (hereinafter "City").
RECITALS
A. The City entered into an Agreement with Consultant on January 17, 2006, ("the
Agreement") to provide support services to complete the Santa Ana Transit
Master Plan.
B. City needs further support services to conduct the Metrolink extension studies
that will meet the various Federal transit agencies' guidelines in order to
complete Step One of the "Go Local Program" with the Orange County
Transportation Authority.
C. The parties hereto now desire to amend the Agreement in order for Consultant
to perform additional services for the City, add additional funding and extend
the term.
NOW THEREFORE, in consideration of the mutual and respective promises, and
subject to the terms and conditions hereinafter set forth, the parties agree as follows:
1. The "Scope of Services" term of the Agreement will be expanded and updated to
allow Consultant Yo conduct the City-Initiated Transit Extensions to the Metrolink
Studies as further set forth in Exhibit A-1 attached hereto and incorporated herein.
2. The "Compensation" term of the Agreement will be increased with additional funding
not to exceed Three Hundred Fifty Thousand Dollars ($350,000.00).
3. The "Term" of the Agreement shall be extended through March 31, 2009
4. The above changes are the only changes to the Agreement, and all other terms and
conditions of the Agreement remain unchanged.

Agreement the date and year first above written.

Phase B -Santa Ana Transit Vision and Go Local Project Concept Study
I have enclosed the revised work scope and cost proposal for Phase B Amendment
No. 2 of the Santa Ana Transit Vision and Go Local Project Concept Study. If you
concur with the enclosures, this study title and work scope would supersede the OCTA
Go Local Program -Step 1 study title and work scope and, along with the cost proposal,
would constitute Amendment No. 2 to the agreement executed between the City of
Santa Ana and PB on January 17, 2006 (Amendment No. 1 was executed on February
5, 2007).
The $279,189 proposed contract amendment generally breaks down as follows:
27% =Preparation of the OCTA Go Local Final Concept Report and OCTA Go Local
Step 2 Application and initiation of the Final Study Report
51 % = Photosimulations and Aerial Tour Video
22% =Completion of the Final Study Report and Project Activities/Project Management
during the additional four months of the contract (March -June 2008)
We have been undertaking work in accordance with the amended work scope per your
direction at our August 1, 2007 Progress Meeting and subsequent meetings since
August 1, 2007. This out-of-scope work has been billed to the existing contract budget
pending formal execution of a contract amendment that incorporates the amended work

The total contract budget amendment requested is $279,189 and would extend the
project contract schedule four months through June 30, 2008. The overall contract
budget summary is:

proposed Phase B Amendment No. 2 by early December 2007 to provide sufficient
funding for us to complete the original contract work scope and the amendment project
work currently underway. It is my understanding that you plan to request the Santa Ana
City Council to amend the contract on December 3, 2007. Upon City Council action,
please forward a contract amendment to me for signature.

Transit Vision and Go Local Project Concept Definition
Study
Phase B
Amendment No. 2
Scope of Work
(November 2007)
Study Purpose
This study will refine and complete the Transit Vision for the City of Santa Ana that
recognizes the importance of the City's regional civic, employment and cultural role as
"Orange County's Downtown°. The Transit Vision focuses on transforming the Santa
Ana Regional Transportation Center (SARTC) into a regional intermodal transportation
hub that will accommodate the vision over the short and long terms. The study will also
define a Project Concept from the Transit Vision for advancement through OCTA's Go
Local program.
NOTE: This study title and work scope supersede the OCTA Go Local Program -
Step (study title and work scope and, along with the revised cost
proposal, constitute Amendment No. 2 to the agreement executed
between the City of Santa Ana and PB on January 17, 2006 (Amendment
No. 1 was executed on February 5, 2007).
Task 1. Project Management and Administration
1.1 PB will provide overall consultant management for the study, including all tasks
necessary to execute the work as defined in this scope, within the schedule and
budget.
1.2 The PB Project Manager will be the primary point of contact for the City of Santa
Ana.
1.3 Project management and administration will include monthly Progress Meetings
with City of Santa Ana staff, the PB Project Manager and other technical and
advisory staff, as necessary.
1.4 PB will prepare and submit regular Progress Reports and Invoices to the City of
Santa Ana. The Progress Reports will document specific accomplishments for
each task, identify any issues and challenges encountered, and describe any
adjustments that may be needed to the project work tasks, schedule and budget.
The Progress Reports and Invoices will identify the percent of work complete and
budget expended for each task and the overall study to ensure the study is
progressing within schedule and budget.
Deliverables:
• Regular Progress Reports and Invoices
• Attendance at monthly Progress Meetings
Task 2. Data Collection
2.1 PB will incorporate the Data List and data analyses conducted to date into this
amendment.
2.2 PB will research, compile and present general operating, cost and performance
data for Modern Streetcars and ground power supply rail systems, including an
identification and discussion of Streetcar and ground power supply rail systems
currently in operation, as possible applications for the Civic Center Fixed
Guideway Project Concept.
2.3 PB will document street and public rights-of-way to assess the opportunities and
constraints related to implementing various transit technologies within the City of
Santa Ana.
2.4 PB will collect, review and evaluate other data and background materials
necessary to successfully develop the Transit Vision and Go Local Project
Concepts Definition.
Deliverables:
• Updated Data List to include data sources on Streetcars and ground power
supply rail systems, street and public right-of-way information, and other new
data sources gathered to complete this work scope.
Task 3. Background Analysis
3.1 PB will summarize and use the results from the draft Travel Patterns and
Demand Analysis Technical Memorandum to support the Transit Vision and Go
Local Project Concept Definition.
3.2 PB will summarize the Alternatives Analysis work completed to date, which
included an initial assessment of possible transit connections between the Santa
Ana Regional Transportation Center and the Civic Center/Downtown, Main
Place/City Place, South Coast Metro/MacArthur Place, Metro East, and along the
Pacific Electric (PE) Right-of-Way, to support the Transit Vision and Go Local
Project Concept Definition by documenting the advantages of the selected
project concept.
3.3 PB will prepare a Background Chapter for the Final Study Report.

• Background Chapter 2 in Final Study Report
Task 4. Transit Vision
4.1 PB will refine and complete a Transit Vision for the City of Santa Ana and
prepare a Transit Vision Chapter for the Final Study Report. The Transit Vision
will:
• Incorporate regional long-term and local short-term transit project concepts,
specifically:
o a fixed guideway/streetcar transit system between the SARTC and the
Civic Center with an extension option onto the PE Right-of-Way and
identification of possible future extensions to Main Place/City Place
and the Metro East area
o along term concept for use of the PE Right-of-Way
o expansion of the SARTC to accommodate the short term project
concept and the long term vision.
• Relate directly to regional and local transit and land use plans, specifically
the:
o OCTA Metrolink Expansion Plan
o OCTA BRT Plan
o HOV, High Speed Rail and maglev plans
o Santa Ana General Plan
o Santa Ana Renaissance Specific Plan
o Santa Ana Metro East Overlay Zone
• Identify the Go Local components of the vision for short range planning and
further definition of the Go Local Concept.
4.2 PB will prepare up to three (3) maps and graphics, and one (1) Power Point
presentation to support the Transit Vision.
Deliverables:
• Transit Vision Chapter 3 in Final Study Report
• Up to three (3) maps and graphics
• One (1) Power Point presentation
Task 5. Go Local Project Concept Definition
5.1 PB will define the concept for a fixed guideway/streetcar transit system
connecting the SARTC with the Civic Center/PE Right-of-Way. The concept
definition will include:
• Routing options
• Potential station locations
• Potential transit technologies
• Possible Right-of-way issues and requirements
• Operating plan scenarios
• Ridership potential
• Land use integration
• Conceptual-level capital and operating costs
• Possible concept extensions
5.2 PB will define the concept for the SARTC Expansion. The concept definition will
include:
• Identification of short and long term capital facilities necessary to
accommodate the components of the Transit Vision as developed in Task 4.
• Proposals for expanding the SARTC to the east and south
• Site plan concept for the expanded SARTC
• Integration of Transit Oriented Development on and adjacent to the SARTC,
consistent with the City of Santa Ana's land use plans and policies.
5.3 PB will evaluate the fxed guideway/streetcar and SARTC expansion project
concept relative to the OCTA Go Local criteria and identify the degree to which
the project concepts address the OCTA Go Local program criteria, goals and
objectives.
5.4 PB will prepare a Project Concept Definition Chapter for the Final Study Report
5.5 PB will prepare one (1) site plan and one (1) architect's rendering of the SARTC
expansion. PB will enhance the Power Point presentation prepared as part of
Task 4 to include the Project Concept renderings and visual simulations.

Task 6. Outreach and Communications
6.1 PB will support the City of Santa Ana staff with outreach and communication
related to the Transit Vision and Go Local Project Concept Definition Study. PB
support will include preparation of meeting materials, and attending and
presenting study information at the following meetings:
• Up to five (5) Strategy Meetings with City staff and OCTA
• One (1) Environmental and Transportation Advisory Committee (ETAC)
meetings
• Up to three (3) Santa Ana City Council Transportation Committee meetings
• Up to two (2) business/property owner meetings
• One (1) City of Santa Ana Planning Commission meeting

• Meeting materials, attendance and presentations
Task 7. Final Study Report, OCTA Go Local Final Concept Report, and Step 2
Application
7.1 PB will prepare a Final Study Report to include the following:

Chapter 1: Introduction
Chapter 2: Background
Chapter 3: Transit Vision
Chapter 4: Go Local Project Concept Definition
Chapter 5: Future Activities
Technical Appendices
7.2 PB will prepare the Final Project Concept Report as defined in the OCTA Go
Local Program guidelines (August 10, 2006) for the City to submit to OCTA by
the February 2008 due date. PB will prepare an initial draft of the Final Project
Concept Report for review by the City of Santa Ana approximately three weeks
before the OCTA submittal deadline. Based on comments received from the
City, the report will be revised, as needed, prior to submission to OCTA.
7.3 PB will prepare the OCTA Go Local Step 2 application package for the Project
Concept identified in Task 5. PB will prepare an initial draft of the application
package for review by the City of Santa Ana approximately three weeks before
the OCTA submittal date and will incorporate City comments into the final Step 2
application package.

Task 8. Photosimulations
8.1 PB will prepare seven computer generated photosimulations as follows:
8.1.1 Santa Ana Blvd/Ross St. View at the intersection of Santa Ana Boulevard and
Ross Street using two photo views and incorporating the streetcar, station(s) and
the new Court building. The photosimulation will include animation.
8.1.2 SARTC Expansion. View of the SARTC looking south from atop the Santiago
Lofts incorporating the streetcar, station, transit-oriented development and other
expansion features. This photosimulation will include animation.
8.1.3 PE Right-of-Way. View along the PE Right-of-Way at Willowick Golf Course
looking northwest from ground level incorporating the streetcar, arterial roadway,
bikepath, pedestrian sidewalk and landscaping. This photosimulation will include
animation.
8.1.4 Santa Ana Blvd Looking East. Ground level view looking east along Santa Ana
Boulevard near Flower Street incorporating the streetcar. This photosimulation
will include animation.
8.1.5 Santa Ana Blvd/Bristol St. View of the intersection of Santa Ana Boulevard and
Bristol Street incorporating the Bristol Street widening concept, the streetcar,
Bristol Street BRT, and an intermodal transfer facility. This photosimulation will
NOT include animation.
8.1.6 SR22 Off-Ramp to PE Right-of-Way. View of the PE Right-of-Way in the location
where it intersects with SR22 incorporating a vehicular off-ramp from the freeway
to the right-of-way and an arterial street along the right-of-way. This
photosimulation will NOT include the streetcar and will NOT include animation.
8.1.7 Civic Center Drive. Ground level view along Civic Center Drive in a location
similar to where photosimulations were created for the Centerline LRT project.
This photosimulation will include the streetcar and animation.
Deliverables:
• Seven (7) photosimulations as described in Sections 8.1.1 through 8.1.7
Task 9. Aerial Tour Video
9.1 PB will develop an aerial flyover video of one (1) streetcar route, using available
aerial photography from either on-line sources or provided by the City of Santa
Ana. The aerial tour will travel over the aerial mapping and include a moving line
to replicate the streetcar route. The aerial tour will incorporate the seven
photosimulations defined and produced in Task 8 which will pop-up at the
appropriate locations on the aerial map. The aerial tour will also incorporate up
to five (5) additional still photos that will pop-up at key landmarks along the route.
9.2 PB will develop a schematic overview graphic of the Santa Ana area in relation to
regional transportation corridors that defines landmarks and transportation
access into the city. The schematic overview will be incorporated into the aerial
tour as an orientation for the tour.
