RECITALS: A. The parties entered into Agreement # A-2007-164, dated June 18, 2007, (hereinafter "said Agreement") by which Consultant has provided environmental consulting services. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said Agreement and amend the Scope of Services and Fee Schedule to reflect additional staff and increased fees during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended by substituting Exhibit A, with Consultant's Proposal dated April 11, 2008, attached hereto as Exhibit A-1 and incorporated to said Agreement by this reference. 2. Section 3.a., COMPENSATION, shall be amended by replacing the fee schedule set forth in Exhibit B with the new fee schedule set forth in Exhibit B-1, attached hereto. Section 3, TERM, shall be amended to extend the termination date to June 30, 2009 4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. As stated in the RFQ, the City of Santa Ana is soliciting SOQs from professional environmental consulting firms to provide environmental services to the City's Planning Division. This submittal has been tailored to meet the specific requirements detailed in the RFQ. P&D has been preparing, processing, and monitoring environmental requirements for programs for public agencies since the inception of state and federal requirements in the early 1970s. P&D is particularly proud of our contributions of environmental support services, planning, engineering, and permitting that we have provided for projects within the County of Orange over the last three decades, including One Broadway Plaza, The City Place Sky Lofts and City Place EIR projects for the City of Santa Ana. We recently completed the Final Environmental Impact Report for the City Place Sky Lofts Project and it is our understanding it is scheduled for certification in May of this year. We have particularly enjoyed working with you and Sergio Klotz, and other City staff that have been assigned to the City Place Sky Lofts Project. P&D is thoroughly familiar with the geography and current infrastructure found throughout the City's jurisdiction. P&D has worked on many of the milestone projects in our County and local communities. Whether the project environmental support services have been for mixed use or commercial development, flood control and conveyance, solid waste disposal, thoroughfares and toll roads, jails, airport planning at John Wayne or the Marine Corps Air Station (MCAS) El Toro or for regional parks, P&D has always been committed to meeting the client's needs and delivering quality services. The regulatory environment continues to challenge project management. Quality service for this contract means assembling a Project Team that has the requisite skills to meet regulatory compliance needs. We are particularly pleased to have Ms. Anne Pietro as our designated Project Manager. Ms. Pietro has recently completed the environmental documentation effort on the City Place Sky Lofts Project for the City and she looks forward to continuing in a leadership role on future assignments. Task 1.0 Prepare/Review Technical Reports P&D will prepare the appropriate technical reports as directed by the City. If the technical reports are prepared by another firm, P&D will conduct a peer review of the reports and provide the City with a memorandum summarizing the review and adequacy of the reports. Task 2.0 Prepare the Initial Study and Mitigated Negative Declaration P&D will prepare the project IS/MND and assess the project's impacts on the environment using the City's Environmental Checklist. The analysis will be prepared based on the project description provided by the City. The IS will respond to the Environmental Checklist Form and provide explanation to each question. As part of CEQA compliance, preparation of the IS/MND will serve to determine if the project may have a significant effect on the environment. The analysis prepared within the IS/MND will be sufficient in detail to meet the substantive requirements of CEQA. P&D will work with the City in order to ensure that relevant issues of concern are addressed. It should be noted that if the proposed project does not meet the requirements for an MN D, P&D would notify the City that the preparation of an EIR would be needed. Task 3.0 Revise and Final IS/MND P&D's Project Manager will coordinate with the City to discuss the findings of the IS/MND. The IS/MND will then be revised based on comments received, and a Final IS/MND will then be prepared and sent to the City. Task 4.0 Prepare Notice of Intent (NOI)/Notice of Completion (NOC) and Distribute IS/MND P&D will prepare the required Notice of Intent (NOI) and Notice of Completion (NOC) for review and approval by the City. P&D will coordinate with the City ,3. Project Approach to create a mailing list of addresses, which P&D will use to distribute the IS/MND for the required 30-day public review period to the City, all applicable responsible agencies, trustee agencies, State Clearinghouse and interested parties. P&D will then file the NOI with the County Clerk's Office and the NOC with the State Clearinghouse. Task 5.0 Prepare Response to Comments on the IS/MND P&D will respond to comments received on the IS/MND and prepare one (1) Draft Response to Comments Report (Report) for the City's review and comment. The responses contained in the Report will be revised, as appropriate by P&D. P&D will make the required copies of this document and send a copy of the Report to all responsible agencies and other parties who commented on the IS/MND. P&D will provide a copy of the Report to responsible agencies ten (10) days before the City Council considers the approval of the project and adoption of the MND. Task 6.0 Prepare Mitigation and Monitoring Plan/Notice of Determination P&D will prepare the CEQA required Mitigation and Monitoring Plan in cooperation with City staff. The plan will include all the final mitigation measures developed for the project that the City is responsible to see are implemented. The plan would be included as part of the Final MND. P&D will prepare a draft of the plan for the City's review and comment. P&D will make all requested changes to the plan and will send the City one (1) copy of the plan for inclusion in the project files. P&D will prepare the required Notice of Determination (NOD) for review and approval by the City. Necessary revisions would be made to the NOD by P&D before it is finalized. P&D will file the NOD with the County Clerk's Office and with the State Clearinghouse. Task 7.0 Meetings/Public Hearings P&D's Project Manager will be available to attend any project related meetings as determined by the City. P&D Consultants U/03521005.30.01 City of Santa Ana Environmental Consultants TCB I AECOM Project Approach —Page 3-2 Task 8.0 Project Management and Coordination P&D's Project Manager will serve as the main contact with City staff on preparation of the IS/MND. The Project Manager will also interface with City, applicant, and all P&D subconsultants on the preparation of the IS/MND. The Project Manager will be responsible for scheduling, assignments, budget control and invoicing, coordination and communication with the City, project deliverables, preparation of status reports and other related project management activities. 3.2 EIR Project Approach The following is a typical project approach for an EIR prepared for a public agency. Task 1.0 Collect Data and Review Technical Studies This task will entail gathering existing documentation on the development proposal. It is anticipated that much of this material will be derived from existing resources currently available from the City and P&D's existing in-house library. Memorandum will be prepared summarizing P&D's review of the technical studies, such as air quality, noise, Phase I site assessment, geotechnical and water quality/hydrology. Task 2.0 Prepare Notice of Preparation/ Initial Study (NOP/IS) P&D will prepare a NOP in compliance with CEQA Guidelines using the City's standard form. The NOP will include a project description and a brief discussion of the impacts that may result from the project. In addition, P&D will prepare an IS to identify potential project impacts and to inform public agencies and the general public as to the environmental parameters that will be evaluated in detail in the EIR. All questions marked on the IS Checklist will be explained in an attachment to the IS. P&D will submit a Draft NOP/IS for review by City staff and will make required revisions before finalizing the NOP/IS. The NOP/IS will be sent to the State Clearinghouse, all responsible and trustee agencies, federal cooperating agencies and other interested parties. The NOP/IS will be filed with the County Clerk by P&D. An NOP/IS distribution list provided by City staff will be used. Comments received on the NOP/IS will be addressed in the EIR. Task 3.0 Public Scoping Meeting Although CEQA does not normally require scoping meetings, we would highly recommend that the City 'consider holding a public scoping meeting to gain input from residents to understand their concerns. P&D recommends a scoping meeting be held during the NOP/IS comment period. This allows residents to have a chance to review the NOP/IS and then provide comments or concerns. P&D will assist the City in organizing the scoping meeting (public meeting notices, agenda, and other scoping meeting -related materials). Task 4.0 Screencheck DEIR P&D will prepare a comprehensive and legally adequate Screencheck DEIR that meets the requirements of CEQA. The various analyses will be compiled into a single coherent EIR and will be carefully reviewed for content and consistency by P&D's QA/QC Officer and the EIR Project Manager. The Screencheck DEIR will contain the information outlined in the following sections: 4.1 Executive Summary of Impacts and Mitigation Measures This section will contain a brief summary of the proposed project and its consequences. The summary will include significant effects, mitigation measures, proposed alternatives and unavoidable adverse impacts. 4.2 Introduction This section will contain an overview of the CEQA process, including the statutory requirements for preparing an EIR and the City's role in processing the EIR. It will also include a summary of the comments/letters received during the NOP/IS 30-day public review period and reasons for preparing an EIR. 4.3 Project Description This section will contain the following information: • Precise location and boundaries of the proposed project will be shown on a detailed map. In addition, the project site will also be identified on a regional map • A list of permits and other approvals required to implement the project and related environmental review under federal and state laws, regulations or policies • A description of the projecfs technical, economic, and environmental characteristics P&D Consultants f://03521005.30.01 City of Santa Ana Environmental Consultants TCB I AECOM Project Approach —Page 3-3 A • clearly written statement of project objectives which will assist the client in developing a reasonable range of alternatives to be evaluated in the EIR as stated in Section 15124(b) of the CEQA Guidelines 1= A statement briefly describing the intended use of the EIR • A list of agencies expected to use the EIR in their decision -making 4.4 Environmental Setting, Environmental Impacts and Mitigation Measures This section will contain a description of the physical environment conditions (existing conditions) in the vicinity of the proposed project, as they exist at the time the NOP/IS is circulated/filed. This description will constitute the baseline physical conditions which will be used to determine whether an impact is considered significant. In addition, this section will include regulatory policies and programs that apply to this project, impact criteria (thresholds), potential environmental impacts, appropriate mitigation measures and the level of significance after mitigation is implemented. The EIR will include an analysis, as appropriate, of the following environmental parameters: • Aesthetics • Agricultural Resources • Air Quality • Biological Resources • Cultural Resources • Geology, Soils and Seismicity • Hazards and Hazardous Materials • Hydrology and Water Quality • Land Use and Planning • Mandatory Findings of Significance • Mineral Resources • Noise • Population and Housing • Public Services • Recreation • Transportation and Circulation • Utilities and Service Systems 4.5 Effects Found Not to be Significant This section will contain a discussion indicating the reasons why various effects of the project were determined not to be considered significant. 3 I P&D Consultants f://03521005.30.01 City of Santa Ana Environmental Consultants 4.6 Cumulative Impacts This section will discuss the cumulative impacts that would be created by construction and operation of the N project. P&D will consult with the City concerning methods best used to address cumulative projects (e.g., list approach, General Plan build -out, etc.) and corresponding impacts. 4.7 Project Alternatives This section of the EIR will address a range of reasonable and feasible alternatives that would attain most of the project's basic objectives and lessen significant impacts resulting from the proposed project. They will be developed throughout the scoping and documentation process in cooperation with the City. P&D assumes that at least three (3) alternatives will be discussed, including the Proposed Project, No Project Alternative and one other build Alternative. 4.8 Growth -Inducing Impacts This section will discuss the Growth -Inducing impacts that could be created by the approval of the proposed project. 4.9 Unavoidable Adverse Impacts This section will discuss the significant unavoidable adverse impacts that will be created by construction and operation of the proposed project. 4.10 Significant Irreversible Environmental Changes This section will discuss significant adverse irreversible environmental changes that would be caused by implementation of the proposed project. In addition, irretrievable commitments of resources will be discussed. 4.11 List of Preparers This section will include a list of personnel and consultants who were primarily responsible for preparing the EIR or performing environmental studies. Task 5.0 Prepare Notice of Availability (NOA) and Notice of Completion (NOC) and Print/Distribute DEIR P&D will prepare the NOA and the NOC in compliance with CEQA. The City will be sent these notices for review and approval before they are finalized by P&D. Hard copies of the Draft EIR (DEIR) will be printed and distributed with the notices to all responsible and trustee agencies, federal cooperating agencies, and other interested parties identified on the distribution list provided by the City. P&D will also create CDs of the DEIR and make them available for distribution. TCB I AECOM Project Approach —Page 3-4 Task 6.0 Prepare Response to Comments Received on the DEIR P&D and City staff will jointly review comments received during the 45-day public review period of the DEIR. P&D will prepare draft written responses to appropriate comments received on the DEIR that focus on the adequacy of the DEIR, as required by CEQA. P&D will integrate all the responses into the Draft Responses to Comments (RTC) Report and submit the RTC for City staff review. P&D will incorporate City comments into the final RTC Report. Task 7.0 Final EIR 7.1 Preparation of the Final EIR P&D will prepare the Final EIR that contains a list of commentors, comment letters and responses to comments, as well as any other pertinent information for the project record, such as any corrections, by reference, to the DEIR. Any revised mitigation measures or addenda to the DEIR, which may be solicited through public review or required by the City, will be incorporated by P&D into a revised DEIR text. 7.2 Mitigation Monitoring and Reporting Program (MMRP) P&D will prepare an MMRP for adoption at the time of the CEQA Facts and Findings. A draft MMRP will be prepared, per City direction, during preparation of the DEIR. The Final MMRP will be prepared concurrently with the preparation of the Final EIR and the Response to Comments. The MMRP will be designed to ensure compliance with adopted mitigation measure requirements during project implementation. In coordination with City staff, P&D will prepare the MMRP for mitigation measures that address significant adverse project impacts or are adopted as conditions of approval. 7.3 Statement of Facts and Findings (F/F) and Statement of Overriding Considerations (SOC) P&D will prepare the F/F in support of findings describing each of the significant impacts identified by the EIR and whether those impacts would be reduced to below a level of significance by implementation of the proposed mitigation measures. In addition, P&D will prepare the SOC for any unavoidable adverse impacts identified in the Final EIR. Task 8.0 Certify Final EIR and Notice of Determination (NOD) P&D will prepare and file an NOD with the State Clearinghouse in compliance with the CEQA (within five days of the Final EIR certification). P&D will also file the NOD with the County Clerk. P&D will coordinate with the California Department of Fish and Game (CDFG) to apply for a fee exemption ($2,606.75) if the proposed project is not anticipated to result in significant adverse impacts on fish, wildlife, and habitat. If the CDFG does not concur with these findings, a payment in the amount $2,606.75 will be required at the time the NOD is filed with the County Clerk. Task 9.0 Meetings/Public Hearings P&D's Project Manager and/or Principal -in -Charge will be available to attend as many meetings necessary as determined by the City.
