CAD(2� <br />Ik. rc� ASSUMPTION OF BANNAN GREEN FRANK & TERZIAN AGREEMENT <br />BY BURKE WILLIAMS & SORENSEN, LLP <br />THIS ASSUMPTION OF AGREEMENT, is made and entered into this (date of merger), 2008 <br />by and between the Barman, Green, Frank & Terzian, LLP (hereinafter "BGFT") and Burke Williams <br />and Sorensen (hereinafter "BWS "). <br />RECITALS <br />A. BGFT contracted with the City of Santa Ana, a charter city and municipal corporation of the State of <br />California ( "City "), through that certain Agreement dated January 3, 2006 whereby BGFT agreed to <br />provide professional legal services to the city (hereinafter "said Agreement "). <br />B. BWS desires to assume the rights and responsibilities of BGFT pursuant to said Agreement. <br />NOW THEREFORE, in consideration of the mutual and respective promises, the parties agree as <br />follows: <br />1. ASSUMPTION AND AMENDMENT TO AGREEMENT <br />BGFT hereby assigns to BWS, all of BGFT's rights and responsibilities set forth in said <br />Agreement, attached hereto as Exhibit A and incorporated by this reference. <br />BWS hereby assumes the rights and responsibilities of BGFT pursuant to said Agreement. <br />Any notices as required pursuant to paragraph 10 of said agreement shall be sent as follows: <br />To BWS: Richard Terzian, Esq. <br />BURKE, WILLIAMS & SORENSEN, LLP <br />444 South Flower Street <br />Suite 2400 <br />Los Angeles, CA 90071 <br />Telefacsimile (213) 236 -2700 <br />2. CITY ACKNOWLEDGEMENT <br />City acknowledges that BGFT has assigned its rights and responsibilities to BWS and agrees that <br />City will pay BWS for professional legal services provided to City pursuant to said Agreement. The <br />responsibilities and obligations set forth in said Agreement shall be performed on behalf of, and at <br />City's request.
