Introduction <br /> This Settlement Agreement and Mutual Release ("Agreement") is made <br /> and entered into on April 1, 2025 by and among Lawrence M. Kuda, Jr. as <br /> Trustee of the Kuda Family Surviving Grantors Trust ("Kuda"), and Bruce <br /> Metal and Salvage, Inc. ("Bruce Metal" collectively with Kuda, the "Bruce <br /> Metal Parties") on the one hand, and the City of Santa Ana (the "City" or <br /> "Santa Ana") on the other hand. <br /> 2. Definitions <br /> 2.1 "Action" <br /> "Action" shall mean the state court action initiated by the Notice of <br /> Appeal and Verified Petition for Writ of Mandate and Complaint for <br /> Declaratory Relief, Injunctive Relief, and Taking of Property Without Just <br /> Compensation filed in the Orange County Superior Court captioned Lawrence <br /> M. Kuda, Jr. et al. v. City of Santa Ana. (OCSC No. 30-2024-01414415-CU- <br /> WM-CJC) ("Petition and Complaint"). <br /> 2.2 "Agreement" <br /> "Agreement" shall mean this Settlement Agreement. <br /> 2.3 "Amortization Period" <br /> "Amortization Period" shall mean 36-months from the Effective Date of <br /> this Agreement or March 31, 2028, whichever occurs first. <br /> SETTLEMENT AGREEMENT <br /> 1 <br /> 7315S250v1 <br />
