10 THIS AMENDMENT NO. 1 is made and entered into this _ day of , 2025
11 (Effective Date), by and between the Orange County Transportation Authority, ("AUTHORITY") and the
12 cities of Fountain Valley, Huntington Beach, and Santa Ana (hereinafter referred to as"PARTICIPATING
13 AGENCIES").
14 RECITALS:
15 WHEREAS, by Cooperative Agreement No. C-0-2038 (Agreement) dated January 5, 2021,
16 AUTHORITY and PARTICIPATING AGENCIES entered into a cooperative agreement for the MacArthur
17 Boulevard/Talbert Avenue Regional Traffic Signal Synchronization Program Project; and
18 WHEREAS, AUTHORITY and PARTICIPATING AGENCIES agree to extend the term of the
19 agreement for an additional twelve (12) months through June 30, 2026; and
20 WHEREAS, the City of Fountain Valley's City Council approved this Agreement on the
21 day of , 2025.
22 WHEREAS, the City of Huntington Beach's City Council approved this Agreement on the
23 day of 2025.
24 WHEREAS, the City of Santa Ana approved this Agreement on the Cc4'— day of
25 2025.

1 NOW, THEREFORE, it is mutually understood and agreed that Agreement No. C-0-2038 is
2 hereby amended in the following particulars only:
3 1. Amend ARTICLE 9. ADDITIONAL PROVISIONS, page 9 of 14, Paragraph A, lines 17 and 18, to
4 delete "June 30, 2025", as the expiration date of the Agreement and, in lieu thereof, insert"June 30,
5 2026".
