AMENDMENT TO AGREEMENT
THIS AMENDMENT, made and entered into this 23td day of February, 2009, by and behveen Steven Gaffney
Architecture, Inc. ("Consu[tattt") and tite City of Santa Aua, a charter city and municipal corporation duly organized
attd existing under the Constitution and laws of the State of California ("City").
RECITALS
A. The City and Consultant entered into that certain Consultant Agreement dated December 1, 2008, hereinafter
referred to as "said Agreement".
B. The parties hereto now desire to amend the "Scope of Services" term found in Section 1 of said Agreement,
and the "Compensation" term found in Section 2 of said Agreement.
WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and
made, and subject to all of the terms and conditions of said Agreement as hereby amended, the patties hereto do
hereby agree as follows:
1. The "Scope of Servvices" section of said Agreement will be amended to inclade all of the services listed
on the updated Exhibit A, attached hereto and incorporated herein. The updated Exhibit A shall supplement the
originaE Exhibit A to the Agreement.
2. The "Compensation" term of said Agreement shall be amended to add additional funds of Fifteen
Thousand Dollars ($15,000) for a revised not to exceed amount of Twenty Five Thousand Dollars ($25,000).
3. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in
full force artd effect.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment to said Agreement the date and
year first above written.

This reflects services to be provided in addition to the above referenced professional services agreement as
indicated below. Unless stated otherwise, all other terms and conditions of the original Agreement remain the same.
1. Additional Services: Provide the following "Basic Services" as additional scope of services to #hose services
described in Exhibit "A° of the original Agreement:
Basic Services -Basic Services will include Architectural Services Only.
Basic Services do nvt include the following consultants, engineers or services; geotechnical engineering,
civil engineering, structural engineering modifications to existing structure, mechanical engineering,
electrical engineering, fire sprinkler/ life safety, landscape design services, final graphiclsignage design and
vehicular access and pedestrian security design services.
Basic Services will include coordination with the City's other selected as maybe required.
Basic services do not include utility relocation or temporary facilities which may or may not be required.
Conceptual (Master Planning) Design:
Upon approval of the overall Project Programming /Master Plan, Architect will provide the following
services:
Prepare a computer generated base plan of the existing Project area including site plan, floor plans
and elevations.
Prepare conceptual design studies of the project, which may offer one or more possible solutions
for review and approval. These studies will include diagrammatic exterior elevations that delineate
the basic shape, size, and character of the proposed improvements.
Prepare overall design intent concepts for site improvements.
Prepare presentation graphics including colored site plan, floor plans, exterior elevations and
materials /color boards with the assistance of the City or other City consultants.
Meet with and verify proposed designs with focal governing officials including building, fire and
planning authorities.
Attend meetings with the Ciry as may be required and make presentations as requested or
required.

Design Development Services:
As-Built Verification:
Review the building to verify current existing conditions and review documents to be provided by
the City or as may be obtained from the City including plans with existing as-built conditions as
may be available.
Review and assess the existing building conditions with the intent to document potential
deficiencies and other likely architectural or code impediments to the proposed renovation /
improvements.
Design Development Documents
Prepare a package of drawings and other documents refining and explaining the Concept Design.
This package includes refinement of the site plan, floor plans, elevations, sections and details as
maybe required.
Coordinate any required street improvements directly adjacent to the Project with the appropriate
City Department or consultant.
Coordinate any signage and graphic designs with the appropriate City Department or consultant.
Attend meetings with the City as may be required and make presentations as requested or
required.
Construe#ion Document Services:
Architectural Construction Documents:
Architect will prepare construction documents consisting of drawings and specifications setting
forth the requirements for project construction. The final construe#ion documents will be of
suffiicient detail to reasonably bid and build the project by a competent general contractor familiar
with this type of work.
The architectural construction documents are prepared from the approved Design Development
drawings with two-dimensional graphic representations, such as plans, elevations, sections, and
de#ails indicating the design, location, size, and dimensions of the project and of the parts thereof.
Notes on the drawings and specifications support and explain the graphic representations.
Attend meetings with the City as maybe required and make presentations as requested or required.
Plan Check:
NGA will submit the appropriate documents to the various govemmental departments for the
purpose of checking plans prior to issuing building permits.
NGA, and where appropriate their consulting engineers, will coordinate with the various
governmental agencies and make adjustments necessary to the construction documents so #hat
they will satisfy the requirements for issuance of a building permit.

Construction Administration Services:
General
Assist the City in the bidding and selection of an overall Project or Construction Manager andlor
General Contractor.
Construction Observation:
In addition to the Construction Adminislration duties indicated below, during the construction
periods indicated above, the Architect shad make bi-monthly visits to the site during the
construction of the project, to familiarize themselves generally with the progress and quality of the
Work and to determine in general if the Work is proceeding in accordance with the contract
documents and the general conditions of the contract.
The Architect will provide assistance to the contractor, his superintendent and subcontractors as is
reasonably required to explain or interpret the drawings.
Shop Drawings and Submittal Review:
The Architect and Client's selected general contractor shall review and take appropriate action on
shop drawings, product data, samples, and other submittals required by the construction
documents.
Addendums, Bulletins and Change Orders:
The Architect shall prepare Addendums prior to the construction contract award and Bulletins after
the construction contract is awarded or construction has commenced. Addendums and Bulletins
will provide the contractor with information relating to clarification, documentation of field changes,
detail changes and Client changes. The Architect shall review and respond to Change Orders
submitted by the general contractor.
Request for information {BFI's}
The Architect shall review and respond to requests for information or clarification submitted by the
general contractor. BFI's resulting in a change to the contractors contract shall be issued as an
Addondum or a Bulletin.
2. payment for Additional Services: in accordance with Paragraph 2, subparagraph a., Architect shall be
compensated for these additional services hourly in accordance with the original contract wilh the total sum to be
expended under ibis revised Agreement to be increased by Fifteen Thousand Dollars ($15,000) for a revised not
to exceed amount of Twenty Five Thousand Dollars ($25,000).
