SELECTION OF BOND COUNSEL
RESOLVED, by the Board of Directors of the Countywide Public Financing Authority
that the firm of Quint & Thimmig LLP, San Francisco, California, is designated as bond counsel
to the Authority.

I, the undersigned Chairman of the Countywide Public Financing Authority, hereby
certify that the foregoing is a full, true and correct copy of a resolution duly adopted by the
Board of Directors of the Authority at a meeting thereof on the 9th day of June, ~ 1999, by the
following vote of the members thereof:
AYES: Tiember Representatives from the Cities of Buena ParY.,
Garden Grove, Orange, Santa Ana and Tustin
NOES: None
ABSTAIN: None
