FIRST AMENDMENT TO AGREEMENT
N-2008-151-001
THIS FIRST AMENDMENT TO AGREEMENT is entered into on March 24, 2010, by
and between ZONAR Systems, Inc., a Washington corporation ("Consultant") and the City of
Santa Ana, a charter city and municipal corporation organized and existing under the Constitution
and laws of the State of California ("City").
RECITALS:

A. The parties entered into that certain Agreement N-2008-15,~, dated November 21, 2008,
(hereinafter "said Agreement") by which Consultant has provided sweeper GPS tracking
system services.
B. The parties desire to terminate said Agreement and provide compensation for services
through the termination date.
WHEREFORE, in consideration of the covenants contained in said Agreement,. and subject to all
the terms and conditions of said Agreement, except those amended in this First Amendment to
Agreement, the parties agree as follows:
1. Pursuant to TERM, City hereby elects to terminate said Agreement, effective June 24, 2010.
2. City shall pay compensation of $1,829, for services provided from November, 21, 2009
through June 24, 2010.
3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in
full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement
on the date and year first written above.
