FOR
RAIL-HIGHWAY GRADE CROSSING SAFETY ENHANCEMENTS
AND
SAFETY MEASURES RELATED TO QUIET ZONE IMPLEMENTATION FOR CITIES
THIS AMENDMENT NO. 1 is made and entered into this _ day of
2010, by and between the Orange County Transportation Authority ("AUTHORITY"), and the City of
Santa Ana ("CITY").
WITNESSETH:
WHEREAS, by Agreement No. C-8-0862 dated October 20,2008, AUTHORITY and CITY
entered into a cooperative agreement for rail highway grade crossing safety enhancements and
safety measures related to quiet zone implementations; and
WHEREAS, AUTHORITY and CITY agree to extend the term of the Agreement for an
additional twenty (20) months to allow time for construction delays, with no increase in the
maximum cumulative payment obligation;
NOW, THEREFORE, it is mutually understood and agreed by AUTHORITY and CITY that
Agreement No. C-8-0862 is hereby amended in the following particulars only:
Amend ARTICLE 9. ADDITIONAL PROVISIONS, paragraph B. Term of Agreement, Page
11 of 14, to delete "December 31,2010" and in lieu thereof insert "August 31,2012."

1 The balance of said Agreement remains unchanged.
2 Upon execution by both parties, this Amendment No. 1 shall be made effective on January 1,
3 2010.
4 IN WITNESS WHEREOF, the parties hereto have caused this Amendment NO.1 to
5 Agreement No. C-8-0862 to be executed on the effective date above written.

Crossing Safety Enhancements and Safety Measures Related to Quiet
Zone Implementation
Dear Mr. Alvarez,
Please find enclosed Amendment NO.1 to Cooperative Agreement No. C-8-0862,
between the City of Santa Ana and the Orange County Transportation Authority for the
Rail-Highway Grade Crossing Safety Enhancements and Safety Measures Related to
Quiet Zone Implementation, which needs to be signed and returned to my attention as
soon as possible, or by January '11, 2010. Please do not date the first page. A fully
executed copy will be mailed to you.
This Amendment is to extend the current term of the original agreement through ,,"
August 31, 2012. Please be advised that additional Amendments shall be issued to
address budget and possible scope changes, if required. We appreciate your timely
approval and execution of the subject Amendment.
