RECITALS: A. The parties entered into that Agreement A-2008-048, dated March 3, 2008, (hereinafter "said Agreement") by which Consultant has provided environmental assessment services in relation to the Grand Avenue Widening Project. B. On June 2, 2008, the City Council approved a list of prequalified environmental consultants with which the various City departments are authorized to contract for environmental review services. Consultant is included on the prequalified consultant list. C. Consultant completed the NEPA Environmental Assessment and CEQA Addendum for the Grand Avenue Widening Project, submitted for Caltrans review and is required to prepared additional technical studies not included in the original Scope of Work. D. Since the submission of the NEPA Environmental Assessment and CEQA Addendum, the project description has been revised, requiring an update of completed technical studies and updating both the NEPA Environmental Assessment and CEQA Addendum. E. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Work to include additional and updated technical studies and updates of the NEPA Environmental Assessment and CEQA Addendum, and an increase in compensation to pay for the additional services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to include those services set forth in Consultant's Proposal dated March 9, 2010, attached hereto as Exhibit A-1, and incorporated by this reference. 2. Project Manager City of Santa Ana, Public Works Agency 20 Civic Center Plaza — Ross Annex (M-36), 3rd Floor Santa Ana, California 92701 RE: Grand Avenue Widening Project (Contract No. 08-1732) — Contract Amendment No. 1 Dear Mr. Nguyen: Provided herein is URS Corporation's (URS) request for Amendment No. 1 regarding preparation of the requisite documentation pursuant to the National Environmental Policy Act (NEPA) and California Environmental Quality Act (CEQA) and supporting technical studies for the City of Santa Ana's (City) proposed widening of Grand Avenue from First Street to Fourth Street (Contract / File No. 08-1732). Amendment No. 1 involves preparation of technical studies not otherwise included in URS' originally approved contract. The additional reporting requirements were directed by the California Department of Transportation (Caltrans) District 12 during the course of the project. The specific reporting requirements for each of the below -listed additional technical studies (i.e., Tasks 1 through 4) is provided on Caltrans' Standard Environmental Reference ("SER") and associated handbooks. Amendment No. 1 also includes updating the project's technical studies and the NEPA Environmental Assessment and CEQA Addendum (i.e., Tasks 5 through 10) to account for the revised project description per recent coordination with Caltrans. Specifically, the project maintains 3 through lanes in the southbound direction along Grand Avenue between First and Fourth Streets, but now includes two through lanes in the northbound direction (as opposed to three through lanes as originally proposed) to demonstrate independent utility and logical termini. Provided below is a description of the out -of -scope tasks that have been completed (i.e., Tasks 1 through 4) and those that will be completed (i.e., Tasks 5 through 10) to update the pertinent project -related studies as coordinated with the City and Caltrans. The detailed fee proposal to address the below -described tasks is enclosed, and, in addition to the total cost for Amendment No. 1, also presents costs for each of the respective tasks described below. Community Impact Assessment At the direction of Caltrans District 12, URS prepared a Community Impact Assessment (CIA) in accordance with reporting guidelines detailed in Caltrans' Environmental Handbook, Volume 4 (Community Impact Assessment). As part of URS' originally approved contract, it was believed that preparation of a Caltrans -compliant Relocation Impact Statement (RIS) would be satisfactory to assess the project's potential impacts on the surrounding community, particularly given the relative short distance of widening along the existing Grand Avenue alignment, and also because the project does not involve the displacement of any residential development. Furthermore, the previously prepared and certified Final Environmental Impact Report prepared for the proposed widening of Grand Avenue between First and Seventeenth Streets revealed no significant impacts to community cohesion. However, and as part of the preparation and approval of the Preliminary Environmental Studies (PES) Form, Caltrans memorialized therein that a stand-alone CIA technical study is required for the project. The additional effort associated with this task included preparation of the CIA and its associated analyses, including, but not necessarily limited to, additional field analyses. Further, URS prepared five draft versions of the CIA before Caltrans ultimately approved the report. It is important to note that the comments that were provided by Caltrans during their review of the CIA were different in nature than the round of review previous. Therefore, URS received new comments as part of each round of review by Caltrans (even though URS had addressed the comments in each previous round of review). Preparation of the CIA also entailed separate (i.e., not parallel) rounds of review by the City. Task 2. Historic Resources Evaluation Report As documented in the previously prepared and certified FEIR addressing the proposed widening of Grand Avenue between First and Seventeenth Streets, it was not anticipated that any historically significant structures would be impacted as a result of widening that section of Grand Avenue between First and Fourth Streets. Therefore, URS' originally approved contract only included preparation of a Caltrans -compliant Historic Property Survey Report (HPSR), accompanied by an Archaeological Survey Report. However, and at the direction of Caltrans District 12 Professionally Qualified Staff, URS was required to prepare a Historic Resources Evaluation Report (HRER) to accompany the above-described HPSR. The HPSR was prepared to meet the reporting requirements set forth in Caltrans SER, Volume 2 (Cultural). More specifically, the following out -of -scope efforts were incurred by URS to prepare the HRER and route it through the City, Caltrans, and ultimately the State Historic Preservation Office (SHPO) for final approval: Preparation of the HRER pursuant to requirements set forth in Caltrans SER, Volume 2 (Cultural), including additional rounds of review of the draft HRER by the City and Caltrans; Revision of Area of Potential Effects (APE) Map for review by City and Caltrans staff to account for direct and indirect effects to three historic -period properties (i.e., 1215 E. Second Street, 1215 E. Third Street, and 1212 E. Fourth Street); Additional site survey to assess above -referenced buildings potentially subject to direct and indirect impacts; 2 LFJr "1. _._.. • Preparation of Department of Parks and Recreation (DPR) forms for inclusion in the HRER; • Updating of the HPSR to account for the analyses included in the HRER; and • Formal consultation with SHPO to obtain effects determination (SHPO no effect concurrence issued on April 20, 2009). Task 3. Natural Environment Study (Minimal Impacts) As documented in the previously prepared and certified FEIR addressing the proposed widening of Grand Avenue between First and Seventeenth Streets, it was not anticipated that the widening of Grand Avenue between First and Fourth Streets would result in impacts to special -status plant and wildlife species (particularly given the urbanized nature of the project area). However, and through its approval of the PES Form, Caltrans memorialized the requirement for preparation of a Natural Environment Study (Minimal Impacts) [NES(MI)] pursuant to reporting requirements set forth on the SER, Volume 3 (Biological Resources). Preparation of the NES(MI) entailed a site survey by a qualified biologist and coordination for review and approval of the report between the City and Caltrans. Task 4. Noise Abatement Decision Report As documented in the previously certified FEIR addressing the proposed widening of Grand Avenue between First and Seventeenth Streets, it was not anticipated that the widening of Grand Avenue between First and Fourth Streets would result in potential significant noise -related impacts to sensitive receptors. However, and as documented in the project's Noise Study Report (NSR) (approved by Caltrans on May 11, 2009), it was revealed that widening of the segment of Grand Avenue between First and Fourth Streets would result in future -with -project noise levels to approach (i.e., 66 dBA) or exceed Caltrans' Noise Abatement Criteria (NAC) of 67 dBA for pertinent land uses. More specifically, the results of the project's NSR revealed that future -with - project noise levels would approach or exceed Caltrans' NAC at the Our Lady of Guadalupe Catholic Church (1322 E. Third Street) and three residences located at 1318 E. Second Street, 1215 E. Third Street, and 1215 E. Second Street. Furthermore, since the project's NSR revealed that the noise barriers (soundwalls) evaluated would be acoustically feasible (i.e., result in a reduction in 5 or more dBA), the next step is to prepare a Noise Abatement Decision Report (NADR) to determine if the noise abatement (soundwalls) would be acoustically reasonable (i.e., cost of the project -related abatement is at or less than the reasonableness allowance set froth in Caltrans' Traffic Noise Analysis Protocol ("Protocol") (2006) for the respective land use category]. URS prepared a Caltrans -compliant NADR pursuant to reporting guidelines set forth in the SER, Volume 1 (General), Chapter 12 (Noise) and Caltrans' 2006 Protocol. A total of three versions of the NADR were prepared to address Caltrans' comments; Caltrans issued its concurrence of approval of the NADR in a written memo dated June 16, 2009. In addition to preparation and coordination between the City and Caltrans for ultimate approval of the NADR, URS representatives, in coordination with the City, worked closely with representatives from the Our Lady of Guadalupe Catholic Church to discuss the project and its potential noise impacts to the property. In addition, URS, in coordination with the City, worked closely with church 3 representatives to ultimately confirm the type and location of noise abatement the church would require for project approval. The results of the coordination are detailed in the project's NADR. Task 5. Update Traffic Impact Analysis Per Caltrans' e-mail direction dated March 8, 2010, the Traffic Impact Analysis needs to be updated / remodeled for the year 2035 using a straight-line projection method using a City - approved traffic growth factor. It is assumed that the existing year will remain as 2008. The text of the existing Traffic Impact Analysis will be updated as necessary. It is assumed that the City and Caltrans will review the updated report concurrently, and Caltrans will require a maximum of one round of revisions to approve this study. It is also assumed that a total of no more than 10 copies of the revised traffic impact analysis will need to be reproduced. Task 6. Update Noise Analysis Utilizing the results of the updated Traffic Impact Analysis, a memorandum will prepared that qualitatively documents that the results of the updated traffic analysis (e.g., changes in volumes) will not affect the already performed impact analyses and mitigation (abatement) requirements. The memorandum will be reviewed concurrently by the City and Caltrans. This scope of work does not include updating the Caltrans approved Noise Study Report or Noise Abatement Decision Report above and beyond changing the project description in each report. Therefore, it is assumed that Caltrans will not perform a formal round of review of either one of the aforementioned noise studies as part of updating the noise analysis. It is also assumed that a total of no more than 10 copies of the noise impact analysis memorandum will need to be reproduced. Task 7. Air Quality Conformity Finding — Southern California Association of Governments Coordination The project will be re -presented to the Southern California Association of Governments' Transportation Conformity Working Group utilizing the traffic data generated as a result of the updated Traffic Impact Analysis (see Task 5). URS will coordinate directly with SCAG's TCWG to agendize the project to confirm that it is not a Project of Air Quality Concern. If deemed necessary, Caltrans will request an updated conformity determination from the Federal Highway Administration. This scope of work does not include updating the Caltrans approved Air Quality Study or Air Quality Conformity Analysis above and beyond changing the project description in each report. Therefore, it is assumed that Caltrans will not perform a formal round of review of either one of the aforementioned air quality studies. It is also assumed that a total of no more than 5 copies each of the Air Quality Study or Air Quality Conformity Analysis that include the revised project description. Task 8. Update Other Technical Studies This task includes updating the project descriptions in the technical studies not otherwise described above. This includes the Relocation Impact Statement; Community Impact Assessment; Historic Property Survey Report and Historic Resources Evaluation Report; and Natural Environment Study (Minimal Impacts). It is assumed that revisions to the project description write-ups of these technical studies will not require a formal round of review by 4 r Caltrans or the City. It is also assumed that a total of no more than 5 copies each of the above - referenced technical studies for this particular that include the revised project description. Task 9. Update NEPA Environmental Assessment URS will update the NEPA Environmental Assessment (EA) to account for the change in project description. URS will coordinate with the City and Caltrans to do so, and anticipates this involving revision the project description write-up and, as necessary, the purpose and need discussion. It is assumed that revising the NEPA EA will not require consideration of additional alternatives or analyses above and beyond the revisions made to the technical studies are described above. Task 10. Update CEQA Addendum URS will update the CEQA Addendum to account for the change in project description. URS will coordinate with the City to do so, and anticipates this involving revision the project description write-up and, as necessary, the project objectives discussion in the Addendum. It is assumed that revising the CEQA Addendum as such will not require a Supplemental or Subsequent EIR, consideration of additional alternatives, or analyses above and beyond the revisions made to the technical studies described above. It too is assumed that the CEQA Addendum will not be formally reviewed by Caltrans (thereby requiring additional revisions).
