TO PROVIDE LONGTERM FINANCIAL PLANNING AND WATER RATE STUDY FOR THE WATER AND SEWER ENTERPRISES Q v* ��, THIS AGREEMENT is made and entered into on this 20`b day of May, 2025 by and between 4p*n o Robert D. Niehaus, Inc. ("Consultant"), and the City of Santa Ana, a charter city and municipal �o nWf corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. On January 30,2025,the City issued Request for Proposals No. 25-013,by which it sought a Consultant to perform long-term financial planning and water rate study services for the City's water and sewer enterprises. B. Consultant submitted a responsive proposal that was selected by the City. Consultant presents that it is able and willing to provide the services described in the scope of work that was included in RFP 25-013. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall perform the services described in the scope of work that was included in RFP No. 25-013, which is attached as Exhibit A and incorporated in full. 2. COMPENSATION a. City neither warrants nor guarantees any minimum or maximum compensation to Consultant under this Agreement. Consultant shall be paid only for actual services performed under this Agreement at the rates and charges identified in Exhibit B. The total amount to be expended during the term of this Agreement under RFP 25-013 shall not exceed One Hundred Forty-Three Thousand,Nine Hundred and Thirty-Five Dollars ($143,935), including any extension periods. The sum is comprised of(1) a base amount of$130,850 for the entirety of the term, including extensions, and (2) a contingency in the amount of$13,085 for the entirety of the term, including extensions. b. Payment by City shall be made within forty-five (45) days following receipt of proper invoice evidencing work performed, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by City. Page 1 of 9
