FIRST AMENDMENT TO AGREEMENT WITH TK CREATIVE LLC FOR GRAPHIC
DESIGN SERVICES

Nib THIS FIRST AMENDMENT to the above-referenced agreement is entered into
UPI June 3, 2025, by and between TK Creative, LLC, an Arizona limited liability company
("Consultant"), and the City of Santa Ana, a charter city and municipal corporation
organized and existing under the Constitution and laws of the State of California ("City").
Consultant and the City shall be collectively referred to as the "Parties."
RECITALS
A. The Parties entered into Agreement No. N-2023-212 ("Agreement") dated July 1, 2023,
whereby Consultant agreed to provide graphic design services for the City.
B. The term of the Agreement runs through June 30, 2025, and is still in effect.
C. The Parties now wish to amend the Agreement to acknowledge other City departments that
will utilize services, extend the term of the Agreement and increase the overall
compensation paid by the City to the Consultant for the remaining term of the Agreement,
including the extension. No further terms are contemplated by this Amendment.
The Parties therefore agree:
1. Recitals, Section A, is hereby amended to read as follows:
The City desires to retain a consultant to provide graphic design services for various projects
for the City's Community Development Agency, Planning and Building Agency, and Public
Works Agency.
2. Section 2.a, Compensation, is hereby amended to increase the overall amount of the
Agreement by $25,000. The total amount to be expended under the term of the Agreement
shall not exceed$50,000.00,
3. Section 3,Term, is hereby extended through June 30,2026.The City hereby exercises its first
option to extend the Agreement for a one (1) year period.
4. Except as modified by this First Amendment, all terms and conditions of the Agreement, shall
remain in full force and effect.

possess the authority to legally bind Company.
In my capacity as Representative of Company, I represent and confirm the following, as relates to the
agreement between Company and City of Santa Ana, agreement number N-2023-212
("Agreement")to provide 'Graphic Design ("Services"):
(Services to be provided under agreement/contract)
During the course and scope of Company's agreement with the City of Santa Ana,
Company will not use the services of an expert necessitating professional liability/errors
& omissions liability insurance coverage in the performance of Services to, for, or on
behalf of City of Santa Ana.
If at any time it is found that Company is not adhering to any and/or all of the statements in this
document and does not maintain the minimum professional liability insurance coverage as
required in the Agreement, it will be considered a breach of Agreement rendering the Agreement
null and void and Company will be fully liable for any and all damages.

Dear City of Santa Ana Risk Management Division,
TK Creative, LLC has intent to enter into an agreement with the City of Santa Ana.Throughout the course
of this agreement TK Creative, LLC attests that I am not a licensed professional and will not employ a
licensed professional during the course of my contract with the City of Santa Ana. By signing below, I attest
that I possess the legal authority to enter into an agreement with the City of Santa Ana as well as the legal
authority to attest to the statements above. If at any time it is found that TK Creative, LLC is not adhering
to any/all statements in this document, the contract will be considered null and void and the company will
be held fully liable for any and all damages.
