Docusign Envelope ID:030D2B63-5582-4D40-9D78-224202894BCB A-2026-015 <br /> CITY CER", <br /> 1a'J` (%B 2 n 2026 AGREEMENT WITH AXON ENTERPRISE,INC TO IMPLEMENT AND <br /> p PO f PROVIDE THE CITY OF SANTA'S PILOT PROGRAM FOR <br /> cl�iaa sarenlQht6�� UNMANNED AERIAL SYSTEMS <br /> THIS AGREEMENT is made and entered into on this 3rd day of February, 2026 by and between <br /> Axon Enterprise, Inc.,a Delaware corporation("Consultant'),and the City of Santa Ana,a charter <br /> city and municipal corporation organized and existing under the Constitution and laws of the State <br /> of California("City"). <br /> RECITALS <br /> A. The City desires to retain a Consultant having special skill and knowledge to implement <br /> and provide the City with the use of unmanned aerial systems of three (3) drones as a first <br /> responder ("DFR") bundles and two (2) patrol kit bundles for the City of Santa Ana's <br /> Police Department. <br /> B. Pursuant to Santa Ana Municipal Code § 2-807(d), this contract may be entered into <br /> between the parties, and is exempt from competitive bidding, for purchases from vendors <br /> awarded the same type of purchase contract by a federal agency (including the general <br /> services administration), a state agency, county, city or other public agency after a <br /> competitive bidding process determined by the purchasing manager to be substantially <br /> equivalent to that prescribed by Article VII.II regarding purchasing rules and procedures. <br /> C. On October 8, 2025, the City's purchasing manager approved an exception to process to <br /> the competitive bid process as the project was competitively bid through a Sourcewell <br /> awarded contract#101223-AXN. <br /> D. Accordingly, City has selected Consultant to provide the services detailed for this <br /> Agreement and Consultant has represented that it is able and willing to provide such <br /> services to the City. <br /> E. In undertaking the performance of this Agreement, Consultant represents that it is <br /> knowledgeable in its field and that any services performed by Consultant under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional consulting firm in the field. <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> a. Consultant shall perform during the term of this Agreement, the tasks and obligations <br /> including all labor,materials,tools,equipment,and incidental customary work required <br /> to fully and adequately complete the services described and set forth in Consultant's <br /> Master Services and Purchase Agreement, identified as Exhibit A, which is attached <br /> hereto and incorporated by reference.
