RECITALS A. The City desires to retain a Consultant having special skill and knowledge to implement and provide the City with the use of unmanned aerial systems of three (3) drones as a first responder ("DFR") bundles and two (2) patrol kit bundles for the City of Santa Ana's Police Department. B. Pursuant to Santa Ana Municipal Code § 2-807(d), this contract may be entered into between the parties, and is exempt from competitive bidding, for purchases from vendors awarded the same type of purchase contract by a federal agency (including the general services administration), a state agency, county, city or other public agency after a competitive bidding process determined by the purchasing manager to be substantially equivalent to that prescribed by Article VII.II regarding purchasing rules and procedures. C. On October 8, 2025, the City's purchasing manager approved an exception to process to the competitive bid process as the project was competitively bid through a Sourcewell awarded contract#101223-AXN. D. Accordingly, City has selected Consultant to provide the services detailed for this Agreement and Consultant has represented that it is able and willing to provide such services to the City. E. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES a. Consultant shall perform during the term of this Agreement, the tasks and obligations including all labor,materials,tools,equipment,and incidental customary work required to fully and adequately complete the services described and set forth in Consultant's Master Services and Purchase Agreement, identified as Exhibit A, which is attached hereto and incorporated by reference.
