Home My WebLink AboutOUTDOOR DIMENSIONS, LLC (3) A-2024-110-02 v9 ZoZe APR 13 2026 0,PW A(Z) 12�crnrdo�Qrez CDz) FIRST AMENDMENT TO AGREEMENT WITH OUTDOOR DIMENSIONS,LLC TO BUILD AND INSTALL DIGITAL MARQUEES THIS FIRST AMENDMENT to the above-referenced agreement is entered into on February 11,2026 by and between Outdoor Dimensions,LLC,a Delaware limited liability company("Contractor")and the City. of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California(`'City"). RECITALS A. The parties entered into Agreement No. A-2024-110, dated August 6, 2024 ("Agreement") by which Contractor agreed to provide and install digital marquees at six(6) locations Across the City("Project"). On July 25,2025,the parties exercised the sole option to extend the term of the Agreement through August 5,2026. The Agreement is current and in-effect. B. In its August 6, 2024, Staff Report to the City Council, the City Council approved Recommended Action#1 for the execution of the Agreement with the Consultant in an amount of$1,859,909, This amount included the base amount of the compensation defined in Section 3 of the Agreement. it also included costs for project contingencies and testing to reach the total amount for the total construction delivery cost approved by Council. C. In addition to the amounts approved by Council on August 4,2024,pursuant to Santa Ana Municipal Code Section 2-748,the City Manager is authorized to bind the City on change orders to any one(1) public works contract,when such change order for any one(1)public works contract,together with any previously approved change orders for said contract,do not cumulatively amount to an increase of the city's expenditure obligation under said contract of more than twenty (20) percent of the original contract amount. D. As additional contingency amounts were previously approved by Council, and City Code allows for the City Manager to approve change orders for work which may be paid for under the approved contingency amounts,this Amendment is subject to approval under the Authority of the City Manager as detailed in these recitals. E. The parties now wish to amend the Agreement to increase the overall compensation to include the approved project contingency costs which are no greater than 10% of the approved Agreement. No other changes are contemplated by this First Amendment, The Parties therefore agree: 1. Section 2.a,, COMPENSATION, is amended to increase the overall compensation by $166,809.87. The total amount to be expended under the term of this Agreement, including any extensions exercised by the parties,shall not exceed$1,834,908.58. 2.
