A-2026-061 IRK MAY 2 7 2026 FIRST AMENDMENT TO AGREEMENT WITH BERNARDS BROS.,INC FOR CONSTRUCTION MANAGEMENT SERVICES FOR THE STATE BUILDING DEMOLITION THIS FIRST AMENDMENT to the above-referenced agreement is entered into on April 21,2026 by and between Bernards Bros., Inc. ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California("City"). RECITALS A. The parties entered into Agreement No. A-2024-131, dated August 20, 2024 C Agreement") by which Consultant agreed to provide construction management services for the demolition of the State Building located at 28 Civic Center Plaza. B. The term of the Agreement runs through August 19,2027, and is current and in effect. C. The Agreement utilizes a Construction Manager at-Risk delivery method, whereby Consultant is the single entity to complete plans,publicly bid the project,and oversee the demolition.As part of delivery, the project was divided into two phases. The first phase included pre-demolition planning, environmental analysis and preparation of plans and specifications.The second phase includes specific services related to the implementation of the demolition plans and is further delineated in the supplemental scope of work,attached hereto as Exhibit A-1. D. The parties now wish to amend the Agreement to update the Scope of Work to incorporate tasks required for Phase 2,and also to increase the overall compensation to Consultant under the Agreement to account for the additions to the Scope of Work under Phase 2. E. No other changes are contemplated by this Amendment. The Parties therefore agree: l. Section L,SCOPE OF SERVICES,is amended to add Exhibit A-1,which is attached hereto to this Amendment and incorporated fully into the Agreement. 2. Section 2.a., COMPENSATION, is amended to increase the overall compensation by $923,076. The total amount to be expended under the term of this Agreement, including any extensions exercised by the parties,shall not exceed$1,773,076.This section is also amended to add rates and charges in Exhibit B-1,which is attached hereto to this Amendment and incorporated fully into the Agreement. 3. Except as modified by this First Amendment, all terms and conditions of the Agreement shall remain in full force and effect. Includes preconstruction services for Design Development, Construction Drawings, permitting and bidding leading up to GMP only. 4. Includes remainder of the preconstruction services(from DID Drawings through bidding of permitted 100%CD drawings)as a continuation of the preconstruction services completed for Schematic Design Services and Historical Assessment studies as part of Bernards COR No. 1 (Group 4 ASR 1A). 5. Scope of Work Description included in Group 4 ASR 113 dared 2.27.2026). 6. Consultant(Bernards Brothers, Inc)staffing includes Estimating, Planning and Operations staff on a part-time basis. 7. CEQA related tasks including documentation for Categorical Exemption(CE)will be on a T&M basis, all other preconstruction services will be on a lump-sum basis as listed in Bernards COR No. 2. 8. Perform Architectural,Engineering services from Design Development through permitting and Bidding (REF: Group 4 ASR 1B for detailed description of Sub-Consultant services). 9. Coordinate with applicable jurisdictions,City and County,throughout design and entitlement processes: a. Participate in City OAC meetings and design review procedures. 10. Collaborate with adjacent building stakeholders (Law Library, State and Federal buildings) through the City to define the design scope as it relates to shared or adjoining structures. Coordination with other agencies to include the City of Santa Ana as a participant. 11. Prepare and submit demolition plans in accordance with jurisdictional requirements. 12. Obtain demolition permits from the City of Santa Ana and the County. 13. Includes design services for a new east stair from the Law Library. 14. Includes design of new railings: a. at the Plaza of the Flags where the bridge is to be removed. b. along the upper-level walkway from the Federal building. 21. Provide restoration repairs at the east and south elevations of the Law Library where impacted. 22. Design of new retaining walls to support the existing parking structure walls as indicated on the Schematic Design package. 23. Provide options to replace or restore existing striping in areas affected by the demolition. 24. Include lighting design for safety and wayfinding. 25. Include civil engineering to capture and manage stormwater following plaza and landscape demolition. 26. Develop a site signage plan within the limit of work and additional signs very near the limit of work if they are the same or simple variations. 27. Prepare preconstruction cost estimate at each design steps(DD and CD set of documents).And includes a comprehensive project schedule aligned with design and permitting milestones. 28. Coordinate the development of bidding documents with the City. 29. Facilitate a public bidding process per applicable procurement regulations. 30. Lead a bid leveling process to ensure all subcontractor bids are compared based on identical scope and evaluation criteria. 31. Package and submit the Guaranteed Maximum Price (GMP) for review and approval. 32. Prepare and deliver presentations to City Council for project review and approval. 33. Consultant will submit CEQA documentation for certification or approval and pay fees up to$4,400 that will be reimbursed with markup by the City. (Fees not included in Estimate). Pre-Construction Services- Exclusions 1. Estimate excludes Owner Contingency. 2. Exclusions per Group 4 ASR 18 dated 2/23/2026. 3. Any Design and Preconstruction services and associated costs beyond January 2027 as shown on Work Plan, 4. The scope does not include any interior modifications to the Law Library. While such modifications may support continued operations during stair removal and replacement,they are not part of this scope. 5. The scope excludes assessment of Central Plant capacity or any other evaluations beyond the defined project limits. 6. SWPPP Plans preparation is not included. ASRs are under one acre and exempt. 7. Any work beyond the defined project limits is excluded from this scope. 8. Changes to Limit of Work. 9. Design and engineering of any permanent paving or parking lot construction is excluded. 10. The preparation of construction documents for vertical construction (new buildings or major additions) is not part of this scope. s� 11. Work related to permanent tie-ins to the Federal or State buildings (mechanical, structural, or other utility connections) is not included unless explicitly requested and authorized. 12. Utility capacity upgrades or off-site utility infrastructure improvements beyond disconnection and termination are excluded. 13. Permitting and associated fees for traffic control plans, street closures, or public right-of-way improvements are excluded, except as needed for haul routes or demolition access. 14. Fabrication or procurement of permanent fixtures (e.g., lighting poles, signage, railings) is not included; design intent documents only are provided. 15, Any services required by agencies not listed in the scope coordination (such as FEMA,SHPO, or EPA) are excluded unless later requested and approved. 16. Full construction-phase services (such as construction administration, inspections, and contractor coordination during demolition) are not included in the preconstruction phase. 17. Design or coordination for future tenant improvements or programming within adjacent buildings is excluded. 18. LU U B7 LU A2 ' O N LU B2 Group 4 & Sub-Consultants - Qualifications & Exclusions ASR 01 B - Demolition of Plaza of the Fountains - PART 2 CONTEXT: In 2023 the City of Santa Ana (City) purchased approximately 0.46 acres from the State of that is adjacent to its City Hall for the purpose to land bank the parcel for future City purposes yet to be determined. Within the boundaries of this parcel is a vacant nine story buildingwith the address of 28 Civic Center Plaza (State Building) and portions of an elevated outdoor space called Plaza of the Fountains (Plaza), a covered parking area below the Plaza, and adjacent at grade portions of Orange County Civic Center(OCCC)campus roadways, sidewalks, landscape and infrastructure. Basic Services were initially scoped with the intention to demolish State Building and City owned portion of the Plaza. In Basic Services Phase 1 the following findings were made: • Demolition of the State Building is greatly facilitated by and has lower cost when deconstruction activities can be conducted along both long sides which requires demolishing the Plaza of The Fountains first. Therefore the City now intends to proceed with Plaza demolition first. The City determined it did not have funds currently available to demolish the State Building and intends to proceed at this time with demolition of The Plaza of the Fountains only. • The City-County property line is located mid-way in one of the elevated Plaza's long span structural bays. Demolition of only the City's portion of the Plaza would require costly interim structural reinforcements of the County's remaining portion, and the County's remaining portions would result in an awkward half demolished condition. Consequently,the City and County intend to execute an agreement with the County to adjust the property lines so that essentially the full Plaza will be within the City's control so that the full Plaza may be completely demolished in one deconstruction and adjacent areas repair sequence. • Adjacent and partially interlocked with the Plaza is the County Law Library(Library). The Library has a third floor entry from and a second floor exit onto the Plaza (Library Exits). After the demolition of the Plaza the Library Exits will need to be replaced with new exterior stairs. • Below the plaza is a lower level on-grade parking area that after the Plaza is demolished will be open to the sky. The City desires to continue to use this area as an open-air parking lot in much the same way as it is used today. SASE PLAZA DEMO ASR 01 B-PART 2 GROUP 4 ARCHITECTURE 2026-02-23 Page 1 of 10 ASR 01 was requested to rescope the project to the demolition of the Plaza only.To expedite this work, the City requested this ASR be broken into two parts, the ASR01-A Part 1 that can be conducted within the balance of initial Basic Services fee remaining, and the remaining services that will require City Council action for supplemental funding. ASR 01A-Part 1 Services were provided in the Fall of 2025. It included preparing an historic assessment of the OCCC campus; an expanded survey including a legal description of the new property Line, and schematic design services of architectural, civil, mechanical, electrical, plumbing engineering and fire protection demolition scoping, and architectural, structural, and electrical engineering services related to the new Library Exits stairs. During ASR-01A Part 1 the following findings were made: • The Plaza of the Fountains structure was found to be only a Secondary contributor to the OCCC potential eligibility for historic designation. It was found that the demolition of the Plaza of the Fountain will not cause a significant impact to a potential OCCC Historic District. Therefore, a Categorical Exemption was found to be the appropriate approach to CEQA compliance needed to obtain the demolition and repair permit(s). • While the County Law Library was determined to be a Primary contributor to the OCCC potential eligibility for historic designation,the proposed demolition scope of the Library's east stair and its proposed reconstruction and related repairs were found to be not significant to its consideration for Historic registration. THIS ASR01 B-Part 2, includes the preparation of a CEQA Categorical Exemption (CE)for this project, and also the Architecture and Engineering services to take the proposed scope through to permit(s)and bidding. ASR 01 B PART 2 SCOPE OF WORK ROLES FOR THE SERVICES PROVIDED: • CEQA/Preparation of documentation needed for a Categorical Exemption—ECORP • Civil Engineering-IMEG • Structural Engineering-KPFF • MEP/FP,-MEP Cat • Environmental Graphics-Group 4 • Support to Bernards for Cost Estimates at each Phase SASB PLAZA DEMO ASR 01 B—PART 2 GROUP 4 ARCHITECTURE 2026-02-23 Page 2 of 10 131 CEQA ENVIRONMENTAL PLANNING SERVICES-PART 2. 81.1 technical Memorandum in Support of a Categorical Exemption(CE). ECORP will update the previously prepared technical memorandum substantiating the Categorical Exemption (CE) class. It is anticipated that the proposed project is exempt from CEQA under Class 32(In-Fill Development Projects). Class 32 consists of projects characterized as in-fill development meeting the conditions described below: (a)The project is consistent with the applicable general plan designation and all applicable general plan policies as well as with applicable zoning designation and regulations. (b)The proposed development occurs within city limits on a project site of no more than five acres substantially surrounded by urban uses. (c)The project site has no value as habitat for endangered, rare orthreatened species. (d)Approval of the project would not result in any significant effects relating to traffic, noise, air quality, or water quality. (e)The site can be adequately served by all required utilities and public services. The memorandum will include substantiating language describing how the Project meets conditions (a)through (e) above. In response to condition (c) publicly available information on biological resources at the site will be collected using public databases including California Department of Fish and Wildlife's (CDFW) California Natural Diversity Data Base (CNDDB), California Native Plant Society's Electronic Inventory, range maps for special-status species,the National Wetland Inventory,and other documentation pertinent to the region.The search will identify the approximate locations of known or expected sensitive biological resources and habitats Located with respect to the project site. The memorandum will also address exceptions (a)through (f) of CEQA Guideline 15300.2. The exceptions include: (a)Location (b)Cumulative Impact (c)Significant Effect (d)Scenic Highways (e) Hazardous Waste Sites (f) Historical Resources ECORP previously conducted a records search of the Project Area at the South Central Coastal Information Center(SCCIC)of the California Historical Resources Information SASE PLAZA DEMO ASR 01 B—PART 2 GROUP 4 ARCHITECTURE 2026-02-23 Page 3 of 10 System at California State University, Fullerton on September 15, 2025 in support of the architectural history evaluation of the Orange County Civic Center.As these results are still considered current, ECORP will utilize this record search results to complete an updated records search summary in response to exception (f).A new search of the Sacred Lands File (SLF)will also be requested from the Native American Heritage Commission (NAHC) in Sacramento.The search will identify any known sensitive or sacred Native American resources located within or near the project area.The results of the new SLF search will be included in the record search summary. The paleontological records search and literature review conducted in 2024 for the previous Project will be utilized for the proposed Project.The records search includes a review of known fossil localities in the project vicinity and an assessment of the potential for the project area to contain buried paleontological resources based on geologic maps of the region.A summary letter report has already been prepared to document the results of the records search. The previously conducted Biological Resources Literature Review will be utilized for the Project. To address the Project's potential impacts regarding historical resources, ECORP will utilize the historical analysis that has been conducted in 2025 for the Project.The results of this report will be incorporated into the CE analysis for the Project. B1. 2 Air Quality Study As part of the Technical Memorandum ECORP will perform short-term emissions modeling for the Project using CaIEEMod which would assess potential air quality and greenhouse gas impacts from demolition of the plaza.The results of the modeling will be appended to the Technical Memorandum. 81.3 CEQA Categorical Exemption The proposed project is likely exempt from CEQA under Class 32: In-Fill Development Projects(CEQA Guidelines Section 15332).The City of Santa Ana Department of Public Works will serve as the CEQA Lead Agency. ECORP will update the previously prepared Exemption Form from Appendix E of the CEQA Guidelines.This form will be filed at the Orange County Clerk's office and the State Clearinghouse.A receipt forthe filingwill be obtained from both of these entities. B2 ARCHITECTURAL&ENGINEERING SERVICES FOR DEMOLITION AND RELATED REPAIRS—PART 2—DESIGN DEVELOPMENT THROUGH BIDDING. B2.1.7 Permits • Consultant shall submit plans and specifications for the demolition and repair permits to the City and also separately to the County for work required on County Property(Law Library stairs and repair). • Permits related to the means and methods of demolition will be obtained through deferred approvals by the to be selected demolition subcontractor. • Permit Fees will be the responsibility of the City. B2.1.8 Procedures for safe conduct of the work in the work zone will also be part of the means and methods,which will be obtained through deferred approvals by the to be selected demolition subcontractor. B2.1.9, BIM modeling,where provided will be prepared to Level of Development (LOD)200. B2.2 Project Phases and Submissions for Preparation of Plans and Specs: B2.2.1 Phase 2 Design Development SASB PLAZA DEMO ASR 01 B—PART 2 GROUP 4 ARCHITECTURE 2026-02-23 Page 7 of 10 Architectwillfacilitate a part-day Integrated Design Workshop (IDW)with various stakeholders from City departments invited at the request of the City Project Manager. Sub consultants will attend virtually or in-person,to review AE deliverables from Schematic Design Phase and do a"page-turn"to review design intent, confirm directions from City provided ASR01 comments, and confirm directions for DD development. Consultants will advance the project to the Design Development level drawings and specifications. Deliverables: Design Development drawings and Outline specifications. B2.2.2 Phase 3 Construction Documents-90% Submission-Permit Submittal Consultants shall incorporate responses to City comments from the DID submission and begin preparation of construction documents and details of sufficient detail to be deemed sufficient for permit review. Deliverables: Permit Submittal Plans and Specifications. B2.2.3 Phase 4 Construction Documents-100%Submission-Back check submittal Consultants shall incorporate responses to City comments from the Building Department and prepare a re-submission of sufficient detail to obtain building permit. Deliverables: Permit Re-Submittal Plans and Specifications. B2.2.4 Phase 5 Bidding Support Consultant shall support Contractor and City in obtaining bids for the work by providing answers to questions and issuing addendum as needed. 132.3 Project Meetings and Coordination: B2.3.1 Project Meetings Architect shall attend up to 12 Contractor-Architect Coordination meetings. Architect shall conduct Architect subconsultant meetings as needed. Architect shall attend and support Owner-Architect-Contractor(OAC) meetings on a two-three week interval during active design phases up to a total of 12 meetings. Architect shall conduct up to six additional stakeholder meeting as requested by the City-that may include City Planning, meetings with County, City Building Off iciat, SASE PLAZA DEMO ASR 01 B—PART 2 GROUP 4 ARCHITECTURE 2026-02-23 Page 8 of 10 Law Library staff, Police, Fire, City Manager's office, OCCC Authority, OCCA operations and maintenance staff,Accessibility Coordinator or others. Subconsultants shall attend up to two addition virtual meetings with City representatives to present options and facilitate obtaining direction from the City for preferred options. The Architect scope includes four person-trips for on-site in-person meetings. All of the other meetings listed above will be conducted virtually.
