AMENDMENT TO AGREEMENT
N -2008- 063 -02
THIS AMENDMENT TO AGREEMENT is entered into this 1st day of July,
2010, between Don A. Ruffin and Arlene B. Ruffin, j ointly (hereinafter "Provider") and
the City of Santa Ana, a charter city and municipal corporation organized and existing
under the Constitution and laws of the State of California (hereinafter "City').
RECITALS:
A. The parties entered into Agreement N -2008 -063, as amended from time to time, (the
"Agreement ") by which Provider provides recreation and leisure class services.
B. The parties wish to amend said Agreement to renew the agreement for another one
year term and to revise the Scope of Services (Exhibit A).
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
Second Amendment to Agreement, the parties agree as follows:
1. Section 1, entitled "Scope of Services ", shall be amended by substitution of a new
Exhibit A, attached hereto.
2. Section 3, TERM, shall be deleted in its entirety and replaced with the following:
"This Agreement shall commence on July 1, 2010 and terminate on June 30, 2011,
unless terminated earlier in accordance with Section 12, below."
3. Except as herein amended, all terms and conditions of said Agreement shall remain in
full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to
Agreement the date and year first above written.

Class is designed for kids to have fun while being introduced to the sport of tennis. Students must wear non -
marking tennis shoes and bring a racquet; instructor will provide the tennis balls.

marking tennis shoes and bring a racquet; instructor will provide tennis balls. $55 per month for 2 classes per
week, 3rd class FREE.

toughness and physical skills. Students must wear non - marking tennis shoes and bring a racquet; instructor will
provide tennis balls. $95.00 per month for 2 classes per week, 3rd class FREE.

Private & Semi - Private Tennis Lessons
Beginners learn basic grips /forhands/backhands/volleys /services. $25.00 for %x hour lessons and $45.00 for 1
hour lessons.
Consultant will provide and be responsible for equipment, records, personnel and clean up
of the facilities and materials necessary to ensure the safety and effectiveness of said
instruction.
If Consultant allows others to teach his/her class, those teachers must be over 21, have
obtained and maintain an instructor rating, and be covered by Consultants' insurance.
Consultant shall provide City with documentation to verify instructor and insurance
requirements.
CLASS SIZE
1) Each class must have a minimum of 4 paid students and no more than a maximum of 32.
2) In the event the minimum number of enrollees is not met by the class meeting the class
shall be canceled. Consultant will be under no obligation to provide services and the City
will have no obligations to pay Consultant compensation
CLASS FEES
1) Each participant shall pay a $30.00/$40.00/$50.00 class registration fee per session;
$60.00 per week for Tennis Camp. Anticipated revenue from this class is $10,000.00.
2) No refunds will be made to participants after the second class meeting unless the class is
cancelled by the City.
3) The City shall collect registration fees from each participant during the registration
period. Consultant shall not collect fees, but shall refer all interested participants to City
for registration.
4) Consultant shall receive seventy per cent (70 %) of the total fees collected each month.
City and Consultant agree that City shall retain thirty per cent (30 %) of the fees collected
as an administration fee.
5) Consultant agrees that City is entitled to audit Consultant's records and classes to insure
compliance with this Agreement.
6) Consultant may not waive class participation/registration fees.
7) City shall prepare class rosters and provide a copy to Consultant. Only registered
participants may participate in class.
