HomeMy WebLinkAboutANGELS BASEBALL FOUNDATION, INC., THE INSURANCE NOT REQUIRLD WORM MAY PROCEED -2026-224 CITY CLERK PATE'AUG 2 5 2026 4.�'zcsr}c� REVIVING BASEBALL IN INNER CITIES ANGELS BASEBALL FOUNDATION PARTNER AGREEMENT The Angels Baseball Foundation,Inc.("ABF"),located at 2000 E.Gene Autry Way,Anaheim,California 92806,agrees to recognize your youth baseball/softball organization,City of Santa Ana Parks&Ree("Organization")as an affiliated Reviving Baseball in Inner Cities ("RBI") organization, subject to the terms and conditions contained in this agreement, including Exhibits A-D (the "Agreement"): A. The Oreanization. 1. The Organization will operate a minimum of five(5)divisions of RBI play with a minimum of twelve(12)participants aged four or five or six and seven or eight and nine or ten and eleven or twelve and thirteen or fourteen years;that meets at minimum once a week on Saturdays from 8:00 am to I:00 pm at Jerome Park and Carl Thorton Park, for ten (10) consecutive weeks (as applied for on the Organization's application for affiliation) between tune 27th, 2026 — September 1',2026. 2. The Organization agrees to conduct play according to the standards and guidelines set forth herein, including,but not limited to,the following requirements.The Organimtion must: a. Furnish a copy of the Organization's game or activity schedule, including dates, times, and locations to ABF as requested by ABF; b. Provide accurate participation information to ABF regarding the applicable RBI divisions ofplay,number of teams, and participants in the Organization by September 11, 2026. This information should live on your LeagueApps site or RBI Program Registration Information spreadsheet, and your application for affiliation on the RB1 Player Management System("RPM"); C. Refrain from discriminating on the basis of any protected characteristic,including,without limitation,race, creed, color, national origin or gender identity; d. If the parent/guardian of a potential youth participant("Participant")advises that he/she cannot afford the Organization's registration fee,the Organization must sign up the identified Participant to participate in the Organization for either a reduced lee,freeof charge,or via a payment plan,as appropriate; e. Agree to programmatic and fiscal monitoring,evaluations,and observations by ABF and its designee(s), including those detailed in Exhibit B hereto; f. Secure and maintain insurance coverage satisfactory to ABF as detailed in Exhibit A hereto(insurance requirements can also be found within the resources lab on the RPM); g. Require each parent(s)or guardian(s) of each Participant to execute the"Angels Baseball LP Consent, Indemnification and Release Agreement" and provide health insurance information via the Platform(as defined below),or the Organization Platform (as defined below)(with tracking/confirmation provided to ABF on request) prior to any participation in Organization's RBI programming. The foregoing documentation is included as part of the digital registration platform, administered by the Platform registration process and available on the resources section on the RPM if the Organization is notusing the Platform; h. Execute indemnification and other agreements as required by ABF; i. Provide ABF with a comprehensive list of local sponsors on your application for affiliation on the RPM; j Use materials furnished by ABF, including the uniform patches and written materials, in the manner required by ABF; k. Obtain ABF's prior written approval of any proposed local television,press releases or other transmission of the Organization's activities;and 1. To the extent applicable,comply with USA Baseball Pitch Smart guidelines. Page l of 15 3. The Organization must comply with the following procedures for the safety of the Participants: a. Background Checks: L The Organization shall conduct,or represents and warrants that it has conducted within the twelve(12) months preceding the Effective Date, a background check, which includes, at a minimum,a stational criminal and national sex offender search("Organization Background Check"),on all hired workers or volunteers associated with the Organization, including without limitation, managers, coaches, the Organization's board of directors and other persons with regular contact with.Participants("Organization Personnel") who oversee, chaperone, or otherwise interact with Participants on behalf of the Organization.For the avoidance of doubt,the definition of Organization Personnel includes individuals who are employed by ABF or any ABF partners or afflliates. ii. In addition to the Organization Background Check,ABF requires the completion of a comprehensive criminal background check("Comprehensive Background Check")on all Organization Personnel that will participate in Tournament Play conducted within the twenty-four (24) months preceding any Tournament Play.ABF will only accept comprehensive background checks conducted either by JDP or MLB Club Human Resources. If conducted by MLB Club Human Resources, the Comprehensive Background Check must,at a minimum,include a county/state/prov 1 nce-wide,where applicable,check through the appropriate governmental agencies(unless prohibited by law),based,for example,offofthe individual's address history or social security number;and an applicable sex offender registry check. iii. Given the unique risks and requirements inherent in any manner of participation with the Organization, the Organization shall not permit any individual to participate in any manner with the Organization if such individual's Organization Background Check or Comprehensive Background Check reveals that the individual: (x) has a criminal conviction (including it plea of no contest or nolo contendere), civil judgnent, or finding by a court or credible, investigative body that the individual committed any act, j however classified,that would constitute child abuse;or(y)is listed as a registered sex offender on any ' state or federal registry.Beyond the enumerated offenses,the Organization must assess individually the results of cacti individual's background check to determine whether any individual's prior conduct poses a safety risk to the Organization or any Participants. iv. To ensure that the above minimum requirements are satisfied,Organizations must employ screening and selection criteria that is thorough,consistent,current,and accessible for future reference.The results of the background check must be handled with utmost confidentiality and respect in compliance with Paragraph F,and,for the avoidance of doubt,all PI]collected and/or otherwise processed in connection with an Organization Background Check or Comprehensive Background Check shall be handled in accordance with all applicable terms of this Agreement. V. In addition to the standards listed above,the Organization must comply with any local legal requirements regarding background checks for the Organization Personnel, including any mandated evaluation or process criteria and any local or state-specific background check requirements for youth programs. vi. The Organization shall collect and maintain copies of all Organization Personnel background check completion.ABF reserves the right to audit the Organization to determine whether the Organization has complied with the background check requirements. b. Training: i. All Organization Personnel in regular contact with Participants must successfully complete child abuse prevention and mandatory reporting training prior to the person performing any services in connection with RBI programming or having access to or contact with Participants.Training must be completed in regular intervals,with no more than 12 months between trainings.Recommended training optlons.include SafeSpori Trained(access instructions found in Exhibit.D)or at USA Baseball's Muse Awareness for Adults(found at tt s://usabd evetoiyscom/ a e/3532/courses). ii. The Organization shall retain records demonstrating training completion,such as records of attendance or ccrti ficates of completion,for all Organization Personnel who complete the training requirement.ABF reserves the right to audit the Organization to determine whether the Organization has complied with the training requirement. The Organization must comply with any and all applicable federal,state or county concussion prevention and treatment laws, ABF may immediately suspend or terminate this Agreement and Organization's affiliation with RBI for failure to comply with any of the requirements set forth in Paragraph 133.Additional guidance on Participant safety may be found in the MLB Youth Program Protection Policy,available upon request. 4. The Organization must implement non-baseball educational programming in conjunction with on-field programming that is either(a)recommended by ABF or(b)pre-approved in writing by ABK B. Term. Unless earlier terminated and/or discontinued in accordance with this paragraph,this Agreement shall be in effect through September 1",2026. ("Term").ABF reserves the right to(1)discontinue or suspend RBI or any part of the RBI programs and/or(2)suspend or terminate the Organization's affiliation with RBI or ABF at any time and for any reason (collectively,"ABF Suspension"). C. No Qbll ion.The Organization acknowledges and agrees that ABF has no obligation to make any payment directly to the Organization for any purpose. D. Binding- Effective (late. This Agreement will become effective and binding when an authorized signatory of the Organization a-signs this Agreement on the RPM and such date shall be referred to herein as the"Effective Date". E. gontidentiality;Data Security and Use. 1. "Confidential Information" means any information in whatever form disclosed or made available to Organization by ABF,ABLP,any MLB Company,or their designees,employees,participants,volunteers,staff or any person or entity prior to,on or after the Effective Date,which relates to ABF,ABLP,or any other MLB Company or its/their actual or contemplated business, operations, data (whether statistical or otherwise), software, strategies, financial positions, research, development and trade secrets, or which relates to personally identifiable information of Participants or Organization Personnel("PIP),or otherwise accessed or used by the Organization hereunder,except for information (excluding PIl) (a) previously known to the Organization before it was received from ABF, ABLP, or any MLB Company without an obligation not to disclose such information, (b) independently developed by the Organization without any use of any Confidential Information received from ABF,ABLP,or any MLB Company,(c)acquired by the Organization from a third party which was not under an obligation to ABF,ABLP,or any MLB Company not to disclose such information,(d)which is or becomes part of the public domain without breach of this Agreement or other wrongful act of the Organization or its employees,agents,or subcontractors,or(e)which is disclosed with the prior written consent of ABF, 2. The Organization shall protect and preserve the secrecy and confidentiality of the Confidential Information from access by and disclosure to third-parties, using physical, technical, and administrative safeguards that meet all industry standards and applicable state,national,and international privacy regulatory requirements to ensure the confidentiality of Pll and other Confidential Information(as applicable)and to protect it from unwarranted,accidental or unauthorized access,disclosure,modification or destruction with at least the same degree of care used by the Organization to protect its own proprietary information,but in any case using no less than a reasonable degree of care.The Organization may disclose the Confidential Information to Organization Personnel in each case only if such Organization Personnel have a need to know the Confidential Information to perform the services in connection with this Agreement and such Organization Personnel agree to be bound by the terms of this section to the same extent as if they were parties hereto; provided that the Organization shall remain liable for any breach of this section caused by any such Organization Personnel.In addition,the Organization shall inform and instruct all of the Organization Personnel as to the confidential and proprietary nature of the Confidential information and the requirements and duties imposed on the Organization Personnel under this Agreement.In the event that the Organization is required pursuant to a valid and binding subpoena, court order,or other legal process to disclose any Confidential information,the Organization shall immediately notify ABF and provide ABF with copies of all documentation thereof: In addition, the Organization shall give ABF an adequate opportunity to interpose an objection,take action to assure confidential handling of such information and/or cooperate and assist ABF in seeking a protective order or other remedy that ABF,in its sole and absolute discretion, deems appropriate. 3. The Organization shall use the Confidential Information only for purposes expressly authorized by ABF in writing. Without limitation of the Organization's obligations set forth in Paragraph F.8 below,the Organization acknowledges and agrees that all the Organization servers storing PH hereunder are(and will remain throughout the Term)located in the United States of America.All PH must be transferred encrypted in a secure manner approved in advance in writing by ABF. Confidential Information disclosed under this Agreement (including information in computer software or held in electronic storage media),and all copies thereof,shall remain the property of the ABF.Upon the written request of ABF at any time, the Organization shall promptly return or destroy, at the Organization's cost and at ABF's direction, all such tangible Confidential Information,including,but not limited to,all documents,materials,and other information (together with all copies thereof and regardless of form of media)which pertain to or contain Confidential Information in the Organization's possession or under its control,and no such Confidential Information shall thereafter be retained in any form by the Organization. Notwithstanding anything to the contrary contained herein, at the termination or expiration of this Agreement,the Organization shall return to ABF all records and other materials and copies produced pursuant to this Agreement or otherwise related to ABF,ABLP,or any MLB Company, S. The Organization acknowledges that any breach of this section shall cause irreparable Injury to ABF,ABLP,and/or an MLB Company for which ABF,ABLP,and/or the MLB Company would not have an adequate remedy at law.In the event of such breach,ABF, ABLP,and/or the MLB Company shall be entitled to injunctive relief in addition to any other remedies it may have at law or in equity.The confidentiality obligations specified in this section are continuing irl nature and shall survive the termination or expiration of this Agreement and the terms of any other agreement or relationship between the Organization and ABF. b. The Organization will immediately advise ABF as to any threatened,suspected,or actual compromise of the integrity, security,or confidentiality of PII[or other Confidential Information in its possession or if any P11 or other Confidential Information has been acquired by any unauthorized third party or misappropriated in any way,and will cooperate fully with ABF, including keeping ABF fully advised as to the ongoing status of same. The Organization will maintain a written recovery plan designed to minimize risks associated with any unplanned interruption of the Organization's operation or business or any unplanned inaccessibility of PII.The Organization will immediately,and in no event later than twenty-four(24)hours after the occurrence of any unplanned interruption or inaccessibility,advise ABF in writing as to any such unplanned event.The Organization acknowledges that it will promptly cooperate with all investigative requests of ABF in connection with any potential investigation of such acquisition or misappropriation including but not limited to complying with an audit request by ABF.In the event that any such breach is subject to any law requiring notification to customers and/or government authorities of such breach, ABF reserves the right to be the only party authorized to engage in such notification procedures, 7. Non-compliance with the confidentiality provisions of this Agreement shall not subject the Organization to criminal or civil liability under any Federal or State trade secret law for the disclosure of an MLB Company trade secret: (a) in confidence to a Federal,State,or local government official,either directly or indirectly,or to an attorney in confidence solely for the purpose of reporting or investigating a suspected violation of law;(b)in a complaint or other document filed in a lawsuit or other proceeding,provided that any complaint or document containing the trade secret is Fled under seal;or(c)to an attorney representing the Organization in a lawsuit for retaliation by ABF for reporting a suspected violation of law or to use the trade secret information in that court proceeding,provided that any document containing the trade secret is filed under seal and the Organization does not disclose the trade secret,except pursuant to court order. 8. Without limiting any confidentiality or any other obligation of the Organization,the Organization may only collect and store personal data including,without limitation,PII,on(a)the preferred ABF registration platform(the"Platform"for purposes of Exhibit C),subject to,(i)the Terms of Use and Privacy Policy and any other then-current terms required by ABF(collectively,"Terms")as provided by ABF's service provider LeagueApps,Inc.(including any ABF selected successor thereto,the"Service Provider"),(ii)all terms of this Agreement and(iii)any terms and conditions posted by the Service Provider within the Platform or separately agreed upon by the Service Provider and the Organization(the terms referenced in subsection(iii),collectively,"Service Provider Policy")or(b)if applicable and approved by ABF as set forth in this Agreement,the Organization Platform(as defined below),For the avoidance of doubt,with respect to the rights and obligations of the parties,in the event of any conflict,any Service Provider Policy shall be subordinate to this Agreement and any Terms. q. The Organization will ensure that any person who needs access to the Platform or otherwise has access to PH in connection with this Agreement complies with all terms of this Agreement, including the then-current MLB Youth Program IT Policy (to the extent applicable, mulalis ►nulandis, with respect to if the Organization is not using the Platform), attached hereto as of the Effective Date as Exhibit C, as the same may be updated from time to time by posting an updated version within the Platform by ABF in ABF's sole discretion or otherwise provided by ABF in writing. 10. The Organization will comply with any and all applicable terms or policies that may be posted from time to time within the Platform by MLB,ABF,or Service Provider. 11. The Organization shall use commercially reasonable efforts to utilize the Platform; provided, however, that the Page 4 of IS Organization may use a different registration platform to collect and store personal data, including,without limitation Pit, if the Organization determines in good faith that it is not reasonable or practicable for the Organization to utilize the Platform, provided such alternate online registration platform is pre-approved in writing by ABF in ABF's sole discretion ("Organization Platform"). Prior to any use of the Organization Platform, Organization shall submit the Organization Platform registration flow for ABF review.Notwithstanding ABF's approval of the Organization Platform, the Orgauixation understands and agrees(a)as between ABF and the Organization,the operation and maintenance of the Organization Platform is the sole responsibility of the Organization;(b)it and the Participants may not receive the full benefits of RBI affiliation,including,without limitation,special offers from ABF,if the Organization does not use the Platform to collect Participants' and/or their parents/guardians' Pit under the MLB Privacy Policy; (c) the Organization shall remain obligated to secure agreement to the applicable waiver and any other terms required by ABF from Participants and/or their parents/guardians; and(d)and participation by the Organization or its Participants in ABF-organized events will be subject to Participants or their parents/guardians,as applicable,re-registering with ABF via the Platform or another ABF-provided or approved online registration flow. For the avoidance of doubt, the Organization(x)may only use the Platform or the Organization Platform to collect,store or otherwise process personal data,including,without limitation Pil and(y)use of paper records(unless pre-approved in writing by ABF)or any other digital platform or process shall be deemed a breach of this Agreement. 12. If the Organization utilizes an Organization Platform,it shall: a. Provide the following aggregated, nnonymized demographic information (collectively, "Demographic Information"): i. Demographic Information regarding the paren€s/guardians of the Participants who completed the registration on the Organization Platform —gender identity, zip code, race/ethnicity, whether the household qualifies for free or reduced lunch;and ii. Demographic Information regarding all Participants--month/year of birth,gender identity,zip code, race/ethnicity and grade. The Organization represents and warrants that the Demographic Information shall not contain any PII,and,for the avoidance of doubt,that it will not otherwise provide ABF with any P(I collected via the Organization Platform unless expressly requested and approved by ABF in accordanc e with the provisions of the following subsections and all other applicable terms of this Agreement. b. If,and only to the extent,requested in writing by ABF,in accordance with its privacy policy,Exhibit C,and applicable law, share with ABF all PH, collected in connection with this Agreement ("Organization Data Share").In connection with any ABF requested Organization Data Share,unless otherwise directed by ABF, Organization shall prominently display within the registration flow(i) a disclosure to be provided by ABF informing parents and guardians that their and the registrants'PH will be provided to ABF in connection with the FZBI activities and including a link to the Terms provided by A BF and(ii)an unchecked checkbox or similar functionality that allows eligible end users confirmed by the Organization to be at least thirteen(13)years of age(or sixteen(16)years of age with respect to California residents)to opt-in to receive commercial emails from ABF and other MLB Companies and including a,link to the Terms,each as provided by ABF(collectively, "Data Sharing Disclosures and/or Consents").ABF reserves the right to make any updates to the Data Sharing Disclosures and/or Consents at any time during the Term.The Organization acknowledges and agrees that it shall be required to immediately make any updates,or compel the Organization Platform service provider to make any updates,ABF may require;provided that the Organization will immediately notify ABF if, in the Organization's opinion,any ABF instruction with respect to the collection and/or processing of PII is contrary to arty applicable law. Any and all PII shall be transferred in a secure, encrypted manner pre-approved in writing by ABF. Organization represents and warrants that it will not transfer any Pli to ABF not collected pursuant to the applicable Data Sharing Disclosures and/or Consents,that the Pit collected pursuant to(a)and (b) above will be provided separately or logically separated and clearly marked or tagged as opt-in and/or registration PII(as applicable)in a manner to be directed and approved by ABF,and that Organization will not provide to ABF any Pit about any individual under the age of thirteen (13) or sixteen (16) with respect to California residents In connection with the opt-in or any information whatsoever about any individual providing a home address located in the European Union,European Economic Area,or the'United Kingdom. In the event that Organization shares with ABF any PII that has not been verified as complying with the Data Sharing Disclosures and/or Consents,ABF shall not accept such PII and those Participants will not receive the full benefits ofassociation with RBI.Ifrequested by ABF,Organization will provide an audit report orsimilar from the Organization Platform confirming the applicable PII was collected pursuant to the applicable Sharing Disclosures and/or Consents.Notwithstanding anything to the contrary stated herein,under no circumstances may the Organization engage in an Organization Data Share without a written request from ABF and any such Page 5 of 15 Organization Data Share shall follow the requirements set forth above. 13. I n the event of conflict between the provisions of this Paragraph F and the provisions of K h___ ibit.C.the ntvre restrictive provisions (l.e, provisions granting greater protection of P11 and/or other Confidential Information) and provisions granting greater remedies to A13F in the event of a breach shall govern and control. P. Safely ProtocolslCommunicable DI ease/Assum tion of Risk. I. The Organization is responsible for (a) formulating its own health and safety protocols ("Organization Safety Protocols")that comply with(i)any and all health and safety protocols mandated by any federal,state or local authority and(ii)all terms set forth in this Agreement and(b)ensuring that its Organization Safety Protocols are implemented and followed at all RBI events held by Organization ("Organization Events"). Organization must submit the Organization Safety Protocols to ABF in writing prior to holding any Organization Events. Notwithstanding the foregoing,in the event that the Organization participates in Tournament Play or any other event operated by ABF or any MLB Company(each,an"MLB Event"and,collectively,"MLB Events"),the Organization shall implement and follow any health and safety protocols mandated by ABF(or any other MLB Company)("MLB Safety Protocols"), When the Organization is participating in MLB Events, in the event of any conflict between the Organization Safety Protocols and MLB Safety Protocols,the MLB Safety Protocols shall govern in all instances. 2. The Organization acknowledges and agrees, on its own behalf and on behalf of all Organization Personnel that(a) operating and participating in any RBI event,including,without limitation,MLB Events and Organization Events(each, a"Baseball Event"and,collectively,"Baseball Events"),as set forth herein carries significant risk of contracting and/or spreading Communicable Disease(as defined below); (b)it/they has/have determined, in its/their sole discretion,to operate,and participate in,Baseball Events and(c)it(they understand(s),accept(s)and assume(s)the risk of operating, and participating in, Baseball Events, including, without limitation, the risk of contracting and/or spreading Communicable Disease.In connection therewith,the Organization,on its own behalfand on behalf of all Organization Personnel,hereby waives,releases,forever discharges and covenants not to sue ABF or arty of the ABF Companies for any claims in connection with the operation of Baseball Events,including, without limitation, claims of exposure to j and/or contraction of Communicable Disease.For the purposes of this Agreement,"Communicable Disease"is COVID- 19(as defined by the World Health Organization)and/or any strains,variants,or mutations thereof,the coronavirus that causes COVID-19 and/or any other airborne, acrosolized or surface transmissible communicable and/or infectious diseases,viruses,bacteria or illnesses or the causes thereof. 3. The Organization represents and warrants that no Organization Personnel will participate in any Baseball Event if the Organization knows or has reason to know any Organization Personnel is required or recommended by current guidance of the Centers for Disease Control and Prevention and/or applicable laws and policies of federal,state,city and/or local authorities to stay at home,quarantine and/or isolate(e.g.,as a result of testing positive for,experiencing symptoms of, or being in direct contact with someone who tested positive for,Communicable Disease). ABF reserves the right to change the foregoing requirements at any time in its sole discretion. 4. The Organization agrees it and the Organization Personnel shall be required to follow all MLB Safety Protocols during MLB Events, A13F reserves the right to dismiss any Organization Personnel from participation in any MLB Events for any failure to comply witli the MLB Safety Protocols("Dismissal").Notwithstanding anything else in this Agreement and without waiver of any other remedy ABF may have under this Agreement,whether in law or in equity,if there is a Dismissal,the Organization shall be solely responsible for replacing the applicable Organization Personnel,if necessary and in accordance with all the terms set forth in this Agreement,at no cost to ABF.Further,any Organization Personnel dismissed pursuant to the terms of this provision may not participate in any MLB Events for the remainder of the Term unless pre-approved in writing by ABF. S. The Organization,on its own behalf and on behalf of all Organization Personnel,acknowledges and assumes all risks and dangers incidental to participating in, attending and/or observing, any Baseball Events, including all risks and dangers inherent in the sport of baseball or softball and all warm-ups,practices and competitions associated with baseball or softball, including specifically (but not exclusively) the dangers of being injured by thrown bats (and fragments thereof),thrown or batted balls or contact or collisions with any Participants at the Baseball Events.The Organization, on its own behalf and on behalf of all Organization Personnel,waives and releases any and all claims or causes of action (including specifically,but not exclusively,for personal irtjury,property damage or any other injury or loss of any kind) against ABF,ABLP,and the MLB Companies,the venue at which a Baseball Event is taking place,and any entity with jurisdiction over such venue.In connection with any injury any Organization Personnel may sustain or any other medical condition any Organization Personnel may experience during any Organization Personnel's participation in or with any Baseball Event, the Organization, on behalf of all Organization Personnel, authorizes any emergency first aid, medication, medical treatment or surgery (collectively, "Emergency Medical Services") deemed necessary by the Page 6 of 15 attending medical,first aid or emergency personnel(collectively,the"Medical Staff')if any Organization Personnel is not able to act on such Organization Personnel's own behalf.The Organization,on behalfofall Organization Personnel, further authorizes(i)the Medical Staff to execute on Organization Personnel's behalf any permission forms,consents or other appropriate documents relating to medical attention for any Organization Personnel and to act on Organization Personnel's behalf if such Organization Personnel is not able or immediately available to do so and(ii) the disclosure of any Organization Personnel's personal information by ABF's or any of their representatives to any of the Medical Staff in connection with such Emergency Medical Services. Additionally, the Organization,on its own behalf and on behalf of the Organization Personnel, agrees to assume responsibility for any costs, fees or other monetary charges associated with such Emergency Medical Services or any permission forms,consents or other appropriate documents relating to medical attention executed by any of the Medical Staff, G. Subordination to NILB Documents. Organization shall provide ABF with copies of its insurance policies and/or endorsements upon request.If any of the required policies are written on a claims made basis,Organization shall maintain such coverage for a period of three(3)years after termination of the Agreement and provide evidence of such coverage on an annual basis during the three(3)year period.The insurance requirements set forth will in no way modify,reduce,or limit the indemnification obligations required herein by Organization.Any actions,errors or omissions that may invalidate coverage for Organization shall not invalidate or prohibit coverage available to the Additional Insureds. Electronic transactions originated through a User's Platform account,which include e-mail,shall be considered to bear that User's signature.In using the Platform,User will ensure that the User is the named sender of all Program-related communications.
