4 ORANGE COUNTY TRANSPORTATION AUTHORITY
5 AND
6 CITIES OF HUNTINGTON BEACH, SANTA ANA, TUSTIN,WESTMINSTER,
7 AND THE COUNTY OF ORANGE
8 THIS AMENDMENT NO. 1 is effective as of this day of , 2026 ("Effective
9 Date"), by and between the Orange County Transportation Authority, 550 South Main Street, P.O. Box
10 14184, Orange, CA 92863-1584, a public corporation of the State of California (hereinafter referred to
11 as "AUTHORITY"), and the cities of Huntington Beach, Santa Ana, Tustin, Westminster, and the
12 County of Orange (hereinafter referred to as "PARTICIPATING AGENCIES"), each individually known
13 as"Party" and collectively known as"Parties".
14 RECITALS:
15 WHEREAS, the AUTHORITY in cooperation with the PARTICIPATING AGENCIES is working
16 together in coordinating traffic signals across multiple jurisdictional boundaries as part of the Renewed
17 Measure M (M2) Regional Traffic Signal Synchronization Program (RTSSP or Project P) to enhance
18 countywide traffic flow and reduce congestion; and
19 WHEREAS, AUTHORITY and PARTICIPATING AGENCIES agree to extend the term of the
20 Agreement for an additional twelve (12) months, through December 31, 2027, with no change to the
21 maximum obligation.
22 NOW, THEREFORE, it is mutually understood and agreed by AUTHORITY and
23 PARTICIPATING PARTIES that Agreement No. C-1-3598 is hereby amended in the following
24 particulars only:

1 I. Amend ARTICLE 9. ADDITIONAL PROVISIONS, page 10 of 18, Paragraph A, line 5, to
2 delete "December 31, 2026" as the expiration date of the Agreement and, in lieu thereof, insert
3 "December 31, 2027".
4 This Amendment shall be made effective upon execution by all Parties.
5 IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 1 to
6 Agreement No. C-1-3598 to be executed as of the date of the last signature below.
