THIS FIRST AMENDMENT TO AGREEMENT is entered into on September
-, 2010, by and between United Healthcare, a UnitedHealth Group Company ("UHC")
and the City of Santa Ana, a charter city and municipal corporation organized and
existing under the Constitution and laws of the State of California ("City").
RECITALS:
A. The City and ProcessWorks, Inc. entered into Agreement N-2007-077, dated August
1, 2007, (hereinafter "said Agreement") by which ProcessWorks, Inc. agreed to and
has provided Flexible Spending Account Reimbursement services.
B. ProcessWorks has been reorganized and is now known as United Healthcare.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
extend the term of said Agreement for an additional one-year period, and provide
compensation to pay for services during the extended term.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
First Amendment to Agreement, the parties agree as follows:
Section 3. 1, Fees and Payment Terms, shall be amended to increase compensation by
$25,000, to pay for the Flexible Spending Account Plan services at the rates and
charges set forth in the Renewal Agreement attached hereto as Exhibit A-1, and
incorporated by this reference.
2. Section 4.2, Duration of Agreement, shall be amended to provide that said Agreement
will be renewed for a twelve (12) month period, from January 1, 2011 through
December 31, 2011 ("Renewal Term").
3. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Agreement on the date and year first written above.
