FIRST AMENDMENT TO AGREEMENT

THIS FIRST AMENDMENT TO AGREEMENT is entered into this day of
J-eJY)6f_fs 2010, by and between County of San Luis Obispo
("Sub-Recipient") and the City of Santa Ana, a charter city and municipal corporation of
the State of California ("Grant Administrator").
Recitals:

C-- A. The parties entered into Agreement #A-2008-075-02, dated 08/26/08 , (hereinafter
"said Agreement") to assist public safety agencies in the acquisition of, deployment
lsl? of or training in the use of regional interoperable communications systems for FY07
Public Safety Interoperable Communications (PSIC).
Q B. The Grant Administrator previously adopted a resolution authorizing the City Manger
and the Chief of Police to execute a grant award agreement with the State of
California Emergency Management Agency (previously the Office of Homeland
Security (OHS) for the FY2007 Public Safety Interoperable Communications (PSIC)
funding program in the amount of $12,748,170.
C. The Grant Administrator was awarded additional funding in the amount of $196,774
from the California Emergency Management Association (previously the Governor's
Office of Homeland Security) for the PSIC Grant Program, which was accepted by
the Santa Ana City Council in Resolution No. 2009-054, which also authorized and
directed the City Manager and Chief of Police, or their designees, to accept and
authorize the additional grant award, and to take any necessary action to obtain this
funding and sub-grant the same.
D. In accordance with the terms and conditions of said Agreement, the parties wish to
extend the term of said Agreement and update the reimbursement to the Sub-
Recipients based upon the remaining funding and the federal government's extension
of the term of the grant.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of the Agreement, except those amended in this First
Amendment to Agreement, the parties agree as follows:
1. Section 201, TIME OF PERFORMANCE, shall be amended to extend the term of
said Agreement to end on June 30, 2011 or upon the final disbursement of the Grant
Amount (as defined in Section 201) and any additional period of time as is required to
complete any necessary close out activities.
2. Except as hereinabove modified, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Agreement on the date and year first written above.
