This Addendum ("Addendum") modifies the Lawson Software Customer Agreement (the "Agreement") entered into between the undersigned Lawson Company and Customer, and is effective as of the latest c.o la"6S date signed below when all parties have signed. All of the capitalized terms not otherwise defined in this Addendum have the same respective meanings as contained in the Agreement. The following sections amend or replace the respective sections contained in the Agreement, or add additional section(s) to the Agreement. The sections of the Agreement that are not expressly modified or replaced by this Addendum shall remain in effect pursuant to their terms. The following is added to the Agreement: Change in Maintenance renewal payments. For the Maintenance renewal period of June 1, 2009 through May 31, 2010, Customer shall pay a pro-rata portion of its annualized Maintenance Fee monthly for the first two (2) months of the Maintenance renewal period. These two (2) pro- rata invoices shall be payable to Lawson on or before June 1, 2009 and July 1, 2009. Customer shall pay the remaining Maintenance Fees for the final ten (10) months of the Maintenance renewal period by paying to Lawson the outstanding portion of the annual Maintenance Fees on or before August 1, 2009. Customer's failure to pay Lawson by the due dates listed above may result in: (i) a suspension of Maintenance services without notification and (ii) all remaining unpaid annualized Maintenance Fees for the Maintenance renewal period becoming immediately due and payable.
