THIS SECOND AMENDMENT TO AGREEMENT is entered into on April 18,
201 ], by and between Municipal Code Corporation, a Florida corporation ("Consultant")
and the City of Santa Ana, a charter city and municipal corporation of the State of
California ("City").
REC]TALS:
A. The parties entered into Agreement # N-2008-084, dated July 1, 2008, (hereinafter
"said Agreement") by which Consultant has provided municipal code republication
and update services.
B. By Amendment dated July 1 , 2009, the parties added compensation and extended the
term of said Agreement.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
execute this writing evidencing their agreement to renew for the 2010-201 1 fiscal
year, to extend the term of said Agreement for an additional one-year period with
automatic renewals thereafter, and to add Compensation to pay for services provided
during the renewal term.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
Second Amendment to Agreement, the parties agree as follows:
1 . Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the
following:
"a. During fiscal year 201 O-1 1 , City agrees to pay, and Consultant agrees to accept as
total payment for its services, the rates and charges set forth in Exhibit A-1 to the
First Amendment to Agreement.
Commencing July 1 , 201 1 , City agrees to pay, and Consultant agrees to accept as
total payment for its services, the rates and charges identified in Exhibit A-2, attached
to this Second Amendment to Agreement. The total sum to be expended under this
Agreement shall not exceed $1 0,000.00 per fiscal year, during the term of said
Agreement."
2. Section 3, TERM, shall be amended to read, in full, as follows:
"This Agreement shall commence on July 1, 2008 and terminate on June 30, 2012,
unless terminated earlier in accordance with Section 12, below. Thereafter, the
Supplement Service shall be automatically renewed from year to year unless
cancelled or changed by either party upon sixty (60) days written notice prior to the
end of the then current term."
3. Except as hercinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to
Agreement on the date and year first written above.

Payment for Supplement and Additional Services
Invoices will be submitted upon shipment of project(s).

Price Index -Internet Publishing as reported by US Department of Labor -Bureau of Labor Statistics. The Transit
Zoning Code per page rate is under a separate contract with MCC.
? We do not charge a per page rate for updating CDs or the Internet -this is included in the supplement per page
rate.
