AMENDMENT TO JOINT EXERCISE OF POWERS AGREEMENT
2 BETWEEN THE CITY OF-SANTA ANA AND THE COUNTY OF ORANGE
CREATING THE ORANGE COUNTY CIVIC CENTER AUTHORITY
3 THIS AGREEMENT, dated for convenience as of

4 1984, is between the CITY OF SANTA ANA, a municipal corporation duly
5 organized and existing under the laws of the State of California,
6 hereinafter called the "City", and the COUNTY OF ORANGE, a subdivision
7 of the State of California, hereinafter called the "County";
8 WHEREAS, the City and County have heretofore entered into a Joint
9 Exercise of Powers Agreement dated January 17, 1966 for the purpose of
10 establishing a comprehensive civic center in the City of Santa Ana;
11 and
12 WHEREAS, pursuant to said Agreement, the County has previously
13 conveyed certain property, a portion of which is described in Exhib-
14 i it A, attached hereto, to the Orange County Civic Center Authority,
15 I and the Authority has in turn leased said property to the County; and

Exhibit A is not needed by the Civic Center Authority for the purposes
18 of said Agreement;
19 NOW, THEREFORE, the parties hereto agree as follows:
20 1. The Authority shall quitclaim to County its right, title and
21 interest in the property described in Exhibit A and shall execute an
22 amendment to the above lease excluding said property therefrom and
23 shall execute such other instruments as are reasonably necessary to
24 vest fee simple title to the County.

2. The parties hereto agree to promptly secure approval of this

Approval of the Amendment to Joint Exercise of Powers Agreement between
the City of Santa Ana and the County of Orange creating the Orange County
Civic Center Authority.

financing purposes.

SUBJECT: AMENDMENT OF THE JOINT ENERGISE OF POWERS HGREEMENT BETWEEN THE
CITY OF SANTA ANA AND THE COUNTY OF ORANGE
Honorable Mayor and City Council Members;
Under a Joint Powers Ngreement between the City of Santa Poo and the County of
Orange dated January 11, 196fi, the County conveyed certain property to the
Civic Center Authority to establish a comprehensive Civic Center in the City
of Santa Pna, In order to finance the rehabilitation of two buildings located
in the Civic Ceuter, 601 and 645 N, Ross Street, the CDUnty requests an
amendment to the Joint Powers Agreement which would release the property
surrounding these buildings from the Civic Center Authority,
The rehabilitation of the buildings, along with the expansion of Harbor Court
are being financed through a nonprofit corporation using certificates of
participation, Because Harbor Court was included, the Civic Ceuter Puthority
could not be used to provide the financing. Ps security for the financing,
the County must provide a ground lease of the property occupied by the
buildings for as long as certificates are outstanding. Title to the land and
buildings will remain with the County.
The area of land to be released extends approximately seven feet beyond the
walls of 645 N. Ross and seven feet beyond the east, south and west walls of
601 N. Ross. An area extending approximately 50 feet to the north of 601 N,
Ross has been included to accommodate an addition to the building, A map
depicting the property to be released is attached,
The attached resolution amends the 1966 Joint Powers Agreement to exclude the
property described above and directs the Ruthority to quitclaim the property
to the County,

Amendment to Civic Center Joint Powers Agreement
Subject:
The County of Orange is requesting that the City approve an
amendment to the Civic Center Joint Powers Agreement so that
they can accomplish bond financing on three projects, two of
which are within the authority of the Civic Center Joint
Powers Authority. The bond financing cannot take place
unless the projects are under the control of the County of
Orange, not the Joint Powers Authority.
The two projects the County is asking be removed from the
Joint Powers Authority are two office building renovations
that are occurring on the east side of Ross Street between
Civic Center Drive and Santa Ana Boulevard, The third
project is not within the Civic Center and not under control
of the Joint Powers Authority.
To accomplish the County's request, the City Council must
adopt a resolution amending the Joint Powers agreement by
eliminating the two projects (properties) from the Civic
Center Joint Powers Authority. 7`hat amendment and map
showing the sites is attached. This action will have no
impact on any existing Civic Center financing or any main-
tenance or other Civic Center Authority agreements. County
officials will be present at the City Council meeting to
answer any questions the City Council may have.
It is recommended that the City Council adopt the amendment
to the Civic Center Joint Powers Agreement.
