GOhRD CIERKO?CUJICiI 1/??91 OP"AfVCc WUNiV aarE; 1991 AMENDMENT TO JOINT EXERCISE OF POWERS AGREEMENT BETWEEN THE CITY OF SANTA ANA AND THE COUNTY OF ORANGE CREATING THE ORANGE COUNTY CIVIC CENTER AUTHORITY THIS AGREEMENT, dated for convenience as of November 1991, is between the CITY OF SANTA ANA, a municipal corporation duly organized and existing under the laws of the State of California, hereinafter called the "City", and the COUNTY OF ORANGE, a subdivision of the State of California, hereinafter called the "County"; WHEREAS, the City and County have heretofore entered into a Joint Exercise of Powers Agreement dated January 11, 1966 for the purpose of establishing a comprehensive civic center in the City of Santa Ana; and WHEREAS, pursuant to said Agreement, the County has previously conveyed certain real property, a portion of which is described in Exhibit A, attached hereto, to the Orange County Civic Center Authority, and the Authority has in turn leased said property to the County; and WHEREAS, both parties agree that the real property described in Exhibit A is not needed by the Civic Center Authority for the purposes of said Agreement; NOW, THEAEFOAE, the parties hereto agree as follows; 1, The Authority shall execute a grant deed to County conveying its right, title and interest in the property described ONR\191 1. 1 3 4 S 6 i B 9 IO 13 I4 w, 4i? SO PuNicHeadngFor cm?ro: POWERS AGREEMENT OrdinanceonlelReadng RECOMMENDED ACTION Direct the City Attorney to prepare, and authorize the Mayor and Clerk of the Council to execute, an amendment to the Orange County Civic Center Authority Joint Powers Agreement to allow the County of Orange to recover title to the land underlying the County Jail and Intake and Release Center. DISCUSSION On January 11, 1966, the City entered into a Joint Powers Agreement with the County establishing the Orange County Civic Center Authority, One of the stipulations of that agreement provides for the reconveyance of land contributed by the County to the Civic Center Authority if such property is free of outstanding bonded indebtedness at the time of the requested transfer, FILE NUMBERR ANAGER Currently, the County is undertaking a bond financing measure to raise funds for specific County projects, including acquisition of the office project currently being constructed by Hutton Development at the southwest corner of Santa Ana Boulevard and Flower Street. The County-owned Men's Central Jail and adjoining Intake and Release Center have been selected as collateral for the bond measure, However, in addition to holding title to the buildings, the County must also be vested of title to the land underlying these structures in order to pledge this property as collateral for the bond issue, The County is therefore requesting that City Council approve an amendment to the Joint Powers Agreement, facilitating the Civic Center Authority's reconveyance to the County of fee title to the land underlying the two aforementioned facilities, The Amendment of Orange County Civic center Authority Joint Powers Agreement Page Two November 4, 1991 property is currently indebtedness; thus, unde Agreement, the County no exercise its right to have reconveyance. free of any outstanding bonded r the terms of the Joint Powers w seeks the necessary amendment to the Civic Center Authority issue a FISCAL IMPACT There is no fiscal impact associated with the amendment.
